organization chart,President,General Manager and relevant quality responsible person,contact method(e-mail,fax and telephone)to CTCS Quality Department in hard copy.1.2 双方必须遵循南方天合发布的最新版本产品图和双方签订的技术协议。Both parties should follow the lat5、est product drawing which is issued by CTCS and the technical agreement which is signed by the two parties.1.3 在南方天合事先通知的情况下，供应商应允许南方天合或南方天合与其客户在任何适当的时间参观其生产现场，并对供应商质量管理体系的运行情况、生产过程或产品进行检查、评估和审核。在该期间，供应商应给予充分的合作,并对发现的问题及时整改，以不断提升质量水平，达到南方天合期望。Supplier should allow CTCS and/or its customer to visit h6、is requirements:1.4.1.南方天合要求所有直接材料供应商及过程供应商必须通过 ISO/TS16949:2009 质量体系认证；All direct material suppliers and process suppliers shall pass timely provide CTCS copy of latest effective quality system certificate which is validated by qualified certification company.Supplier should promise that its quality management system must be certified by an 9、independent and authorized certification company according to the regulation of the standard.If there is any doubt from CTCS on Suppliers quality system operation or quality audit result,CTCS reserves the right to appeal to his certification company;1.4.3.对未通过 ISO/TS16949:2009 质量体系的供应商和质量体系证书逾期没有再进行10、ISO/TS16949:2009 质量体系换证的的供应商，南方天合将保留停止供货、收取风险保证金的权利。For suppliers who dont pass ISO/TS16949:2009 or whose quality system certificate is expired,CTCS has the rights to implement supply stop and ask for risk assurance deposit.2.过程管理要求 Process management requirements 2.1 新品开发阶段，供应商须严格遵守 GSQM 程序并按照南方天合要11、求向南方天合提供各阶段的APQP 文件，准时交付合格的样件及全尺寸（包括性能）检测报告；并在 PPAP 运行后（以南方天合项目节点），认真如实按南方天合 SDE、SQA 与供应商共同签署的 PCM 项目进行检查，每周向 SQA 提交 SLP 报告，直到收到由南方天合 SQA 签署的 SLP 退出函。Supplier should comply with GSQM and provide APQP file,qualified sample and full size test report(including capacity)shall be delivered on time to CTC12、S as required during new product development and conduct relevant check according to PCM which is countersigned among SDE、SQA and supplier after PPAP running.Submit SLP report to SQA weekly till receiving CTCS approved SLP Exit letter.2.2 供应商的 PPAP 运行须严格按照南方天合要求进行，PPAP 文件包的格式需要遵从南方天合管理规定。关键特性的测量系统分析13、需要满足 R&R 10%的要求。在未满足的情况下，针对单向公差尺寸，对过程控制公差进行 3sigma 的收缩，针对双向公差尺寸，对过程公差进行+/-3sigma 收缩，同时需要向南方天合提供 MSA 改善计划并实施。供应商有证据表明对关键特性的测量系统进行了定期的监控。关重工序能力指数（CPK）必须不小于 1.67，如果未达到要求，则必须采取相应的检测手段对所提供的产品进行 100%检验，同时，供应商要努力改进生产过程，使其工序能力指数至少达到这一指标。Supplier shall ensure that PPAP documentation and format are in accorda14、nce with the requirements of CTCS.Measurement system analysis for key characteristics shall meet R&R 10%;if not,for unilateral tolerance size,conduct 3sigma shrinkage in process control tolerance,for bilateral tolerance size,+/-3sigma shrinkage and present and implement MSA improvement plan at the s15、ame time.Supplier has the evidence to show that they have implemented regular monitoring on key characteristics measurement system.Key station CPK shall be more than 1.67,if not reach,100%inspection on supplied product shall be implemented with related test 未经南方天合同意，供应商不能擅自变更产品设计和变更生产过程，过程变更包括生产厂址、供应商的分供商、零部件生产过程、工装、检测方法、包装等与 PPAP 批准的过程不一致的变动，所有变更都必须遵从南方天合变更管理要求，南方天合保留是否进行确认的权利；供应商未经南方天合书面批准擅自进行变更，除了承担一切相关的质量损失外，根据严重程度不同还将被置于新业务终止，甚至被17、提交至公司资源评估会进行评估。Supplier cannot change product design and production process(consist of manufacturing location,sub-supplier,components production process,tooling,test method and any other not consistent with PPAP approval process)without prior consent of CTCS.All the change shall be consistent with C18、TCS change management requirements and CTCS has the right to identify.Supplier who conduct change without authorization is responsible for all quality lost related and may be resulted to new business end per its severity,even to be assessed by company resources evaluation.2.4 供应商须遵循南方天合对质量记录的管理要求：关重19、参数记录至少保存 15 年，其它记录至少保存 5 年，并确保南方天合可以随时查阅。Supplier should follow the quality documentation requirements of CTCS:Keep the records of key and significant parameters for at least 15 years and other records for at least 5 years and CTCS can check these records at any time.2.5 供应商必须遵守南方天合入厂验收方面的规定和要求。Supp20、lier shall comply with the incoming acceptance specifications and requirements of CTCS.3.包装与运输 Packaging and Transportation 3.1 供应商的包装应确保产品在运输、存储和到南方天合现场过程中产品的质量。Supplier should guarantee the intact of product during transportation,storage or shipping to CTCS.3.2 供应商应遵循与南方天合商定的产品包装系统和运输方式。包装作为 PPAP 21、运行的一部分必须获得批准。Supplier should follow the product packaging system and transportation way agreed with CTCS.Packaging shall be approved as a part of PPAP.3.3 包装必须保证产品批次不能混淆,包装标签应符合南方天合的要求，并保证包装标签上的批次、数量与实物相符。Product batch shall not be mixed up when packaging and packing label must conform to CTCS requi22、rement.Batch number and quantity information on the card shall be consistent with the physical concern.4.批次管理：供应商必须实施有效的批次定义和可追23、溯性程序，确保送交的产品可以追溯到原材料。细节须遵从 GSQM 对批次管理的最新要求。Batch management:All Suppliers to CTCS shall have an effective batch definition and traceability procedure to ensure that the delivered product can be traced back to the raw material.Details shall comply with the latest lot management requirements in GSQM.524、.零缺陷战略 Zero defect strategy 5.1 供应商应承诺尽最大努力实现零缺陷战略目标。供应商因产品质量问题应承担相应的质量索赔。由于供应商产品质量问题给用户和南方天合造成损失的，供应商须按南方天合质量索赔管理办法（见附件 1）的规定，承担经济赔偿责任。Supplier makes commitment to achieve the goal of zero defect strategy.Supplier shall undertake related quality claims due to its product quality issue.Any Customers25、 or CTCS economic loss caused by Suppliers product quality issue shall be paid by Supplier per CTCS quality claims management procedure(attachment 1).5.2 对产品质量责任发生争议时，应由甲乙双方协商解决。双方协商无效时，可向国家仲裁机构申请仲裁。If theres any discrepancy about product quality responsibility,it should be negotiated by CTCS and Su26、pplier.If the negotiation cannot solve the problem,the two parties could apply for arbitration from Chinese arbitration organization.5.3 供应商承诺不得将南方天合授权开发的产品销售给南方天合以外的其他任何用户，由此造成的任何后果和损失将由供应商全部承担。Supplier cannot sell the product which is authorized and developed by CTCS to any customer other than CTC27、S.Otherwise,Supplier should take all quality consequence,loss and effect incurred from herein.5.4 供应商必须承诺对产品质量的持续改进，包括售后问题改进支持。Supplier shall make commitment to continuously improve product quality,including warranty issues improvement and support.5.5 当供应商提供的产品出现质量问题时，供应商必须在接到南方天合书面通知的 30 分钟内，采取围堵行动28、，并确保措施的有效性；若供应商不能在规定时间内安排人员抵达现场，供应商可委托第三方或南方天合有权通知第三方人员进行分选，其费用将由供应商支付。供应商原则上 南方天合底盘系统有限公司供应商质量保证手册南方天合底盘系统有限公司供应商质量保证手册 第三版第三版 5 在一周内完成原因分析和验证，一个月内关闭问题。If supplied product has any quality problem happening at CTCS site or CTCSs customer site,Supplier shall take containment action and ensure the eff29、ectiveness of the actions in 30min once get CTCS written notification.If they cant assign people to the site in the defined time,they can find agent party or CTCS will ask agent people to deal with it,the cost will be paid by the supplier.Supplier shall complete root cause analysis and validation wi30、thin one week in theory,and issues shall be closed within one month.5.6 为了保护南方天合及其客户不会收到不合格品，当出现下列任何情况时，南方天合将强制执行发货控制程序，直到供应商收到南方天合发布的发货控制解除函。南方天合在确定问题责任后，根据保护南方天合及其客户不受到供应商免受质量风险的原则，有权决定发货控制等级。对被纳入二级发货控制的供应商，南方天合保留通知供应商质量认证机构的权利。In order to protect CTCS and its customer from receiving non-conformin31、g product and material,in the case of following happened,Controlled Shipping Procedure should be mandatory until Supplier gets delivery control termination letter.After CTCS confirm problem owner,CTCS is entitled to decide delivery control level according to the principle of protecting CTCS and its 32、customer from suffering any quality risk of supplier.For supplier who has been brought into level II delivery control,CTCS reserves the right to inform suppliers quality certification institution.a)A 类问题；A Concern;b)高的 PPM 值，或对于南方天合和南方天合客户存在高风险；High PPM parts/High risk to CTCS&customer;c)在 6 个月中重复出现33、 B 类问题；Repeated B Concerns within past 6 months;d)缺乏过程控制和过程能力证明。Lack process control and process capability certificate.5.7 供应商或供应商的仓储将已经判定不合格的产品重复送到南方天合现场或南方天合客户，南方天合将对其处以经济处罚；同时南方天合保留对判定不合格的产品的报废处理权利。Suppliers or their warehouse that send adjudged NG parts to CTCS or CTCS customer site,CTCS will i34、mplement economic punishment.And CTCS has the right to scrap those NG parts.5.8 因供应商产品质量问题造成汽车整车召回，或因供应商缺陷产品导致强制性召回，供应商应承担一切损失。Supplier should compensate for all the losses of vehicle recall which is caused by its 9 个月不能关闭，将升级至高风险供应商管理;Supplier who cant close after 9 months in SQIP will be listed into high risk Supplier management;6.1.2.供应商被纳入 2 级发货控制 6 个月不能关闭，将升级至高风险供应商管理；Supplier who cant close af36、ter 6 months in Tier 2 delivery will be listed into high risk Supplier management;6.1.3.提供虚假报告或私自变更的供应商;Supplier who present false report or conduct change without permission;6.2 高风险供应商管理要求:Requirements:6.2.1.高风险期间将没有资格获得南方天合的任何新业务;The loss of CTCS new business in high risk period 6.2.2.高风险期间南方天合将有权37、通知其质量认证公司重新认证;CTCS has the right to request for re-validation by its quality certification company in high risk period.6.2.3.高风险期间南方天合将保留冻结供应商 30%的货款的权利。CTCS reserves the right to freeze Suppliers 30%payment for goods in high risk period.6.3 高风险供应商的退出条件包括但不限于以下条件：Exit conditions are included,but not38、 limited to:6.3.1.退出 SQIP 后 3 个月申请退出；Application after exit SQIP for 3 months;6.3.2.退出 2 级发货控制后的 3 个月申请退出；Application after exit tier 2 delivery for 3 months;6.3.3.由于 requirement.And Supplier shall present reports in requi40、red time as CTCS requirements.7.2 年度产品过程确认最低提交要求和检查点(但不限于)：Minimum product process validation Submission Requirements&Check Points:7.2.1.年度产品过程确认提交保证（PSW/RSW）；Annual product process validation Submission Warrant;7.2.2.变更资料（制造过程变更申请），若有；Change Documents(MPCR)if have;7.2.3.设计记录（产品图、规范）；Design Records(41、Drawings,Specifications);7.2.4.全尺寸报告，不仅限于控制计划中所罗列的尺寸，必须与产品图上的编号所对应；需检测 6件，需要考虑到多模腔的情况；Full Dimension Reports including items not considered by Control Plan,must be numbered in conjunction Article One:Generals 为使质量索赔工作按标准、有序、规范的执行，做到公平、公开、合理，特制定本办法。In order to perform quality claim as per standard and regulation,and be fair,open and reasonable,we herby specify this rule.第二章 范围 Article Two:Scope 本办法适用于外购件、工序外协件、三包件等，由于不符合南方天合产品技术条件要求的零（部）件在60、公司内加工、装配过程出现质量问题以及在主机厂和终端用户装配、正常使用过程中出现质量问题的，都在索赔范围内。This rule is applicable for out-sourced part,sub-contract process etc.Quality concerns Supplier.1.3 中间工序价：按南方天合财务部门制定的价格执行。Interim operation cost:The price stipulated by financial department of CTCS.1.4 装配料废数量：由于供应商提供的产品71、零件在装配或装配后发生的废品数量以及连带其它产品报废的数量，引起质量问题的责任在于供应商。Assembling scrap quantity:The quantity of scraped parts found during assembling or after assembling,which are supplied by Supplier,and other associated scrapped parts caused by the said scraped parts.Supplier should be specified by financial department of CTCS).1.6 返修返检损失：由于供应商提供的产品零件质量问题，造成需南方天合返检返修所发的费用。全数返检费用按该批产品总价的 5%计算；返修费用=返修工时工时单价与设备与动力消耗的总合（南方天合财务部制订）所消耗的材料费。Rework(re-inspection)cost：The cost incurred from re-inspection or rework by CTCS due to qualit74、y concern of parts of Supplier.Rework expense will be calculated as 5%of the total value of the batch of parts to be re-inspected.Rework 因质量问题南方天合向主机厂及终端用户的赔偿：由于供应商提供的产品零件质量问题，南方天合向主机厂及终端用户的赔偿，由产品零件质量问题责任单位承担。Claim against CTCS from customer and end-user due to quality concern(including all compensation due to recall):All the compensation CTCS paid to customer or end-user due to quality concern of Supplier s 79、part will be paid by the faulty supplier.1.10 当执行控制发货程序后所发生的所有费用。All expenses incurred after implementation of Controlled shipping procedure.2.一批零件中不良品大于 10 件即定义为批量问题，批量问题供应商除承担一切损失外，南方天合还将保留对其处罚 2000 元50000 元的权利。Its defined as serial production concern when the quantity of nonconforming parts is mo80、re than 10 pcs per batch.All loss incurred from that shall be born by the supplier s，and CTCS will retain the decision of the extra penalty of 2000-50000 RMB.3.任何设计变更或过程变更须得到南方天合的书面批准方可实施。一经发现供应商擅自变更，供应商承担一切损失外，南方天合还将对其处罚 10 万30 万。Any design change or process change shall be approved by CTCS in writ81、ten prior to implementation,or suppliers should undertake all the loss and be fined 100,000 to 300,000 yuan by CTCS.4.供应商或供应商的仓储将南方天合已经判定不合格的产品重复送到南方天合现场或南方天合客户，除该供应商承担所有的质量损失外，南方天合还将对其处以 1 万10 万的罚款。Suppliers or their warehouse that send adjudged 的，一经发现，每次处罚 1000 元。Fine suppliers who not submit SLP weekly report 500 yuan,fine 1,000 yuan to those who not implement SLP as required.7.南方天合根据月度料废和质量问题统计，以邮件或传真的方式向供应商开出 质量赔偿通知单。供应商必须在规定时间内（10 issues statistics;Supplier shall identify and feedback within 10 days.For any of the case as follows,CTCS will take claims from the payment for goods.7.1 供应商在收到质量赔偿通知单25 天内85、没有确认返回的，将被视为默认索赔。Supplier has not identified and given feedback within 25 days after receiving Quality Concern Claim Notification,then it will be regarded as default claims.7.2 供应商在收到质量赔偿通知单后有异议，但未在 25 日内书面反馈的，将被视为默认索赔。Supplier has oppositions towards Quality Concern Claim Notification,but not prese86、nt documented feedback which will be regarded as default claims.7.3 供应商在收到质量赔偿通知单后有异议，并在 25 日内做出了书面回复，但理由不充分，在 60 天内不能与南方天合达成一致的。Supplier has oppositions towards Quality Concern Claim Notification,and present documented feedback with insufficient reasons,however,cant reach an agreement with CTCS in 87、60 days.8.废品确认 Scrap validation 8.1 南方天合开出质量赔偿通知单后，供应商须在每月的 12 日至 20 日（节假日除外）派人确认并退件。Supplier shall assign persons to confirm and remove the returned parts from 12th to 20th of each month(except holidays)after Quality Concern Claim Notification released by CTCS.8.2 如供应商未在规定时间内到南方天合废品库确认并退件，将被视为委托南方天88、合全权处理。南方天合将对废品库进行清场处理，不再保留废品。If the supplier hasnt confirmed and removed the returned parts from CTCS scrap storehouse within specified time,this action will be construed as supplier consigning to CTCS to deal with this material scrap.CTCS will remove these scrap from Management cost of CTCS includes labor cost，CTCS warehouse management cost.2.每月 10 日至 15 日和 25 日至 30 日供应商到南方天合清理三包退件两次，其余时间不予退件（退件时间96、如遇节假日或周末则认领时间顺延至节假日及周末后正常上班的第一天），供应商到派业务代表或委托相关人员到南方天合清理认领三包件，并在三包件认领表上写明品种及数量，最后签字认领走实物。Supplier shall sent business representative or relative person(postpone to the first work day after holiday or weekend)to sort out the warranty reject parts twice a month(first:10th to 15th,second:25th to 30th o97、f each month)and record the product and quantity in record sheet and take the parts away after signing.3.供应商超过规定时间没来南方天合清理认领或对三包件认领表不签字，南方天合将视为供应商已经默认其所有三包件实物，南方天合将对供应商三包件实物进行销毁，随后向供应商开具三包索赔通知单并通知南方天合财务部直接扣取供应商货款。If supplier doesnt check and fetch the warranty reject parts or give signature for conf98、irmation at the specified time,supplier will be deemed to agree it.CTCS will destroy the reject parts,and issue claim notification and notify CTCS Financial Department to deduct from the goods payment.4.供应商每月在南方天合底盘系统有限公司三包库房已经清理认领完三包件并在“供应商“三包”质量问题零部件出库单”上签字确认后，供应商需立即将三包零件实物运出库房，供应商三包零件一旦运出三包库房，发生任99、何问题（包括零件丢失等），南方天合底盘系统有限公司不负任何责任。After supplier claimed rejected warranty parts in CTCS warranty warehouse and sign on Supplier“Warranty parts outbound note”,Supplier shall take away these parts immediately.CTCS assumes no responsibility to any problems(such as parts missing)happening on these warran100、ty parts after being taken out from CTCS warranty warehouse.5.如供应商对三包件判定有异议，可以从认领之日起在三周内根据实际分析检测结果向南方天合质量部提出书面申诉，并如实提供分析报告，南方天合根据分析结果确定供应商承担索赔的金额。If supplier has objection to judgment for warranty part,he can make an appeal in writing to Quality Department of CTCS within 3 weeks from the date fetchi101、ng the parts according to the actual analysis and test result,and provide analysis report.Quality Department will determine claim from the supplier according to discussion results.6.供应商分析报告不真实，南方天合一经发现将取消本年度申诉机会，其所有三包退件实物100%直接向供应商索赔。南方天合底盘系统有限公司供应商质量保证手册南方天合底盘系统有限公司供应商质量保证手册 第三版第三版 18 If the suppli102、er makes unreal analysis report,he will be refused to make appeal in the year.And he will be 100%charged a claim for all actual parts.7.由于我国汽车售后维修技术水平比较低下，供应商应允许并自动承担三包件有不超过20的误判率（包含不可复现故障模式的三包件）。Since vehicle maintenance skill level in China is lower,suppliers shall agree no more than 20%misjudgmen103、t for warranty part(including unrepeatable failure mode)and bear the expense incurred therefore.8.对于供应商产品标识、质量不符合南方天合产品图要求的三包件，如确认是供应商生产的产品供应商应承担全部责任。Supplier shall be liable for all responsibilities for the warranty parts whose identification and quality dont match the requirements of CTCS product 104、drawing.9.鉴于南方天合三包件大部分都是金属物品而且重量不轻，因此南方天合在客户处退件转运过程中，以及客户从售后市场退件转运过程中难免会造成故障卡脱落或故障卡字迹污染，因此供应商应无条件允许约 30的产品存在上述问题。如供应商不同意可在南方天合客户规定退件时间内同南方天合退件人员一起直接到主机厂认领三包退件。Since most of warranty parts in CTCS are metal parts and heavy,it is hard to avoid label falling off for failure part or illegible label duri105、ng transportation(from customer site and customer to aftermarket).Thus the supplier shall agree unconditionally to be presence of above phenomena for 30%products.If Supplier disagrees with this,they can come to the plant for returned warranty parts confirmation in defined date together with CTCS rel106、evant operator.10.若因供应商产品存在缺陷或不符合要求（图纸、法规等要求）而造成重大事故，即使发生在最终用户的保修期之外，供应商也应承担相应费用。The supplier shall be liable for relative expense arising from serious accident caused by defect in product or non-conforming to the requirement(in drawing and regulations)even if it took place out of warranty period of107、 end user.11.通常情况下，海外三包索赔只有客户复印过来维修服务卡或三包退件信息清单，没有实物。如供应商需要海外三包实物退件，需预先向南方天合提出要求，否则南方天合将按客户索赔维修服务卡或三包退件信息清单对海外客户三包索赔向供应商进行转移索赔；供应商如需要海外三包件实物，将承担海外运费及其它费用。In general,oversea warranty claim is based upon the copy of customer maintenance service card or returned parts list,no physical part.Therefore,if108、 the supplier needs warranty physical part,formal request is needed in advance,Otherwise,CTCS will
