月_日由下列双方签订:(1)常州莱蒙都会置业有限公司,一家根据中华人民共和国(“中国中国”)法律正式成立并有效存续的有限责任公司,其法定地址在中国常州市勤业西路 1 号(“业主业主”);及 (2)沃尔玛华东百货有限公司沃尔2、玛华东百货有限公司,一家根据中国法律组建并有效存续的有限责任公司,其法定地址在中国上海市浦东新区长清路 2238 号 202 室(“沃爾瑪沃爾瑪”)(业主与沃尔玛合称时为“双方”)鉴于鉴于:(a)沃尔玛欲承租业主擬建于中国江蘇省常州市西瀛里地區南大街以西,早科坊以東,延陵西路以南,西瀛里以北之物業莱蒙都会(“大厦大厦”)的_部分地下室及部)的_部分地下室及部分首层分首层(“房屋房屋”);THIS LETTER OF INTENT is made on June _,2004 by and between:1)Changzhou Le Lemon Duhui Real Eastate Co.,L3、td.,a limited liability company established and existing under the laws of the Peoples Republic of China(“China”),with its legal address at No.1,Qinye Xi Lu,Changzhou City,Jiangsu Province,China(hereinafter referred to as the“LANDLORD”);and 2)Wal-Mart East China Stores Co.,Ltd.,a limited liability c4、ompany established and existing under the laws of China,with its legal address at Room 202,2238 Changqing Road,Pudong New District,Shanghai,China(hereinafter referred to as“WAL-MART”)(LANDLORD and WAL-MART shall be collectively referred to as“Parties”.)WHEREAS a)WAL-MART wishes to lease from LANDLOR5、D certain area on Ground Floor and certain area in Basement(the“Premises”)of the Building named World of Le Lemon(the“Building),which is located to the west of Nan Da Jie,to the east of Zao Ke Fang,to the south of Yan Lin Xi Lu and to the north of Xi Yin Li,Xi Yin Li District,Changzhou City,Jiangsu 6、Province,China;筑龙网 (b)业主亦欲将房屋出租给沃尔玛;(c)沃尔玛和业主愿按照本意向书列明的条款和条件,寻求双方达成有关房屋的租赁协议的可能性。現双方达成下列意向条款和条件並在此基础上就有关房屋租赁事宜作进一步协商和谈判以期达成正式的房屋租赁协议。本意向书仅列明双方对意向中的房屋租赁协议条7、款和条件的初步意见,并不具有法律上的約束力。本意向书和任何确定文件中敘述的条款和条件均須经沃尔玛百货有限公司(沃尔玛总部)房产委员会审阅并得到其批准。(1)租赁协议(1)租赁协议 双方欲在下列条款和条件的基础上,进行有关房屋租赁协议的谈判。(a)租用面积租用面积 如本意向书附件二所示,房屋内沃尔玛的租用面积总计为_平方米(_M2)(“租用租用面积面积”),其中_的租用面积为_平方米(M2)的租用面积为平方米 b)LANDLORD seeks to lease to WAL-MART the Premises;c)WAL-MART and LANDLORD seek to explore the8、 possibility of entering into a lease agreement for the Premises pursuant to the terms and conditions specified herein.Both Parties hereby reach the intent as below and,based on such intent,shall further negotiate and discuss with regard to the lease of the Premises with a view to concluding a forma9、l Premises Lease Agreement.This Letter of Intent sets forth only the preliminary views of both Parties towards the terms and conditions of the proposed Premises Lease Agreement and is legally non-binding except Articles 4,5,6 and 7.The terms and conditions outlined in this Letter of Intent and any d10、efinitive documents shall be subject to the review and final approval of the Real Estate Committee of Wal-Mart Stores Incorporation(home office of WAL-MART).(1)Lease Agreement The Parties propose to proceed with negotiation of a Lease Agreement for the Premises based on the following terms and condi11、tions.(a)Leased Area The overall area leased by WAL-MART within the Premises,as shown in Exhibit II of this Letter of Intent,is _square meters(_M2)(the“Leased Area”),with _ square meters(_M2)on the _Floor,_square meters(_M2)_ and Eight Thousand and Five 米(M2),_的租用面积为_平方米(_M2)。房屋的租金应根据租用面积计算。若遇本款项下的描述与本意向书附件二的内容不一致,租用面积以附件二的内容为准。双方同意,若业主需对本意向书附件一、附件二所示内容进行任何修改,须于租赁协议签署之日起三十(30)日内书面告知沃尔玛,并在取得13、沃尔玛书面同意后方可实施。若修改后的租用面积与本意向书附件一、附件二所示的租用面积存有差异,且面积误差比不超过正负百分之三(3%)时,沃尔玛应根据修改后的租用面积向业主支付租金。若面积误差比超过正负百分之三(3%)时,沃尔玛享有同意或拒绝的选择权。如果沃尔玛同意,则租金应按修改后的租用面积计算。如果沃尔玛拒绝,如面积误差比超出正百分之三(+3%),超出部分的房屋租用面积由沃尔玛无偿使用;如面积误差比超出负百分之三(-3%),不足部分的房屋租用面积 沃尔玛无需支付租金,业主还应按不足部分原沃尔玛应付租金的标准双倍向乙方支付补偿金,沃尔玛有权从应付租金中相应扣除。Premises shall be14、 calculated on the basis of the Leased Area.In the event of any inconsistency between the description hereof and the specifications shown in Exhibit II,the specifications with respect to the Leased Area as shown in Exhibit II shall prevail.Both Parties agree,in the event that LANDLORD intends to adj15、ust any of the contents contained in Exhibit I and Exhibit II of this Letter of Intent,LANDLORD must notify WAL-MART in writing of such intention within thirty(30)days from the execution of the Lease Agreement and shall not make any adjustment without WAL-MARTs written consent.In the case there are 16、differences between the adjusted leased area and the Leased Area as shown in Exhibit I and Exhibit II hereof,and the variance is no more than 3%,WAL-MART shall pay LANDLORD the Rent according to the adjusted leased area.In the event that the aforesaid variance surpasses 3%,WAL-MART has the discretio17、n to accept or reject such variance.If WAL-MART agrees to accept the variance,the Rent shall be computed according to the adjusted leased area.If WAL-MART rejects the variance,in the case that the variance exceeds+3%,WAL-MART has the right to use the extra area for free;in the case that the variance18、 is less than 3%,WAL-MART is not obligated to pay Rent for the actual shortage area and LANDLORD must on the other hand compensate WAL-MART for the shortage area on an amount equal to the double of the originally agreed Rent and WAL-MART has the option to set off the above 業主同意,1)自房屋符合本意向书附件四所規定的进场條件后并沃尔玛进场施工之日起至房屋內沃尔玛購物开业之日止的四个月,授予沃尔玛免费施工租期;和,2)自房屋内沃尔玛购物广场开业日起,业主另授予沃尔玛二(2)个月的免租期(合稱“免租期免租期”)。(c)租 期租 期 20、初始租期为十五(15)年,自免租期屆滿日开始计算。沃尔玛可单方面酌情行使续约权三(3)次,每次续约期的最長期限为五(5)年。(d)租 金租 金 房屋的租金已包括租金、管理费(备注:管理费 为 租用 面 积每月每平 方米人民币两 元RMB2.00)、空調系统及其它設施使用费以及依照中国法律应由业主承担的房屋所涉及的任何其它费用和支出。沃尔玛承租范围内的水费(包括空调用水)、电费(包括空调用电)、气费,按沃尔玛实际用量,单独计量,由沃尔玛自行向相关公用事业(b)Rent-free Period LANDLORD agrees,1)not to charge WAL-MART any Rent fo21、ur(4)months from the day when WAL-MART conducts its construction work within the Premises upon LANDLORDs satisfying the criteria set forth in Exhibit IV of this Letter of Intent to the Grand Opening Day of Wal-MARTs Supercenter within the Premises;and,2)to grant WAL-MART a an additional rent-free pe22、riod of two(2)months commencing from the Grand Opening Day of WAL-MARTs Supercenter within the Premises(collectively refereed as to “Rent Free Period”).(c)Term The Initial Lease Term shall be fifteen(15)years beginning on the expiration date of the Rent Free Period.WAL-MART shall be granted the opti23、on,exercisable at its sole discretion,to renew the lease term for three(3)consecutive periods of up to five(5)years each.(d)Rent The Rent for the Premises includes rental,management fees(Note:management fee for the Leased Area shall be RMB2.00 per square meter per month),charges for use of air-condi24、tioning system and other utilities,and any other costs and expenses related to the Premises that shall be borne by the LANDLORD under the laws of China.Charges for water(including water for A/C),electricity(including electricity for A/C)and gas consumed by WAL-MART within the leased area shall be se25、parately calculated and directly paid to relevant public utility authorities by WAL-MART upon its actual consumption.A Lease Year 量,单独计量,由沃尔玛自行向相关公用事业单位缴纳。一?租約年系指連續十二?月的期間。?計算租金方便,免租期結束後的次日?第一?租約年和租期的開始日。初始租期内房屋租用面积的租金按如下标准计算 第一个租约年至第三年租约年的租金为每月每平方米人民币二十八元(RMB28.00 m2/month);第四个租约年至第五年租约年的租金为每月每平方米人民币二十八元八角四分(RMB28.84 m2/month);第六个租约年至第七年租约年的租金为每月每平方米人民币二十九元七角一分(RMB29.71 m2/month);第八个租约年至第九年租约年的租金为每月每平 方 米 人 民 币 三十 元 六27、 角 零 分(RMB30.60 m2/month);第十个租约年至第十一年租约年的租金为每月每平方米人民币三十一元五角一分(RMB31.51 m2/month);第十二个租约年至第十三年租约年的租金为每月 每 平 方 米 人 民 币 三 十 二 元 四 角 六 分(RMB32.46 m2/month);month period.For calculation of Rent purpose,the date following the expiration of the Rent Free Period shall be the date of commencement for Lease Y28、ear 1 and the Lease Term.The Rent for the Lleased Aarea during the Initial Lease Term shall be calculated as follows:Lease Year 1 to Lease Year 3:RMB28.00 per square meter of Leased Area per month(RMB28.00 m2/month);Lease Year 4 to Lease Year 5:RMB28.84 per square meter of Leased Area per month(RMB229、8.84 m2/month);Lease Year 6 to Lease Year 7:RMB29.71 per square meter of Leased Area per month(RMB29.71 m2/month);Lease Year 8 to Lease Year 9:RMB30.60 per square meter of Leased Area per month(RMB30.60 m2/month);Lease Year 10 to Lease Year 11:RMB31.51 per square meter of Leased Area per month(RMB3130、.51 m2/month);Lease Year 12 to Lease Year 13:RMB32.46 per square meter of Leased Area per month(RMB32.46 m2/month);Lease Year 14 to Lease Year 15:RMB33.43 per square meter of Leased Area per month(RMB33.43 m2/month).If WAL-MART decides to renew the Lease Agreement upon expiration of the Initial Leas31、e Term,The increased margin of the Rent during the Draft/Aug.3,2004 LOI-changzhou central-2D-Aug.3,2004(意向书32、)6 第十四个租约年至第十五年租约年的租金为每月 每 平 方 米 人 民 币 三 十 三 元 四 角 三 分(RMB33.43 m2/month);初始租期屆滿后,若沃爾瑪決定續約,则续约租期内房屋租用面积的租金按如下标准计算:第十六年至第三十年,月租金每平方米每两年递增 3%.(e)质量和交付质量和交付 业主建造的房屋应符合有关政府管理部门规定的国家质量标准,同时还应符合沃尔玛提供的设计规格并经有关房地产管理部门验收合格后移交给沃尔玛。(f)停車区 停車区 业主应在本意向书附件一所示位置向沃尔玛及其员工提供最少三百(300)个免費停車位,在租期内,業主不得就其提供的停车区向沃爾瑪及沃爾瑪員工33、收取任何費用。沃尔玛顾客可以凭当日沃尔玛购物廣場的购物小票在沃尔玛购物广场的营业时间內免費停車二(2)小時。若停車時間超過二(2)小時,业主有权按常州市物价部门核准的收费标准向沃尔玛顾客收取停車费用。The Premises shall be constructed in compliance with the national quality standard stipulated by relevant governmental authority as well as with the construction design and specifications provided by 34、WAL-MART and shall be delivered to WAL-MART with the official approvals of competent governmental department in charge of realty.(f)Parking Area LANDLORD shall provide a minimum of three hundred (300)car park spaces free of charge for WAL-MART as specified in Exhibit I.During the Term,WAL-MART and i35、ts employees shall not be levied any fee by the LANDLORD for using of the Parking Area.WAL-MARTs customers shall have the right to park for two (2)hours free of charge upon presenting the shopping receipt of WAL-MARTs Supercenter of the same day during business hour of WAL-MART s Supercenter.If the 36、parking time surpasses two(2)hours,LANDLORD shall have the right to charge the customers according to the standard approved by price administrative authority in Changzhou Municipality.(g)Taxes The LANDLORD is liable for all taxes,including property tax,and government fees related to or arising out o37、f the the Premises and the Lease Agreement to be signed.WAL-MART shall be responsible only for taxes related to its business activities.(h)Sub-leasing Upon written notification to LANDLORD,WAL-MART has the absolute right to sub-lease or assign up to 100%of the Premises without the LANDLORDs 業主負責支付與房屋及將來簽署的租賃协议有关的所有稅收(包括房产稅)和政府費用。沃尔玛只需支付与其经营活动有关的稅费。(h)分 租分 租 在沃尔玛品牌经营的前提下,经书面通知业主,沃尔玛有权无需征得业主同意而將部分或全部房屋分租或转租。分租户或受转租人在遵守租赁协39、议約定下可将房屋用于合法的经营用途。租赁协议項下的權利和义务仍由沃爾瑪和業主繼續享有和承擔。(i)机密情报机密情报 沃尔玛无需向业主提供有关銷售或其他方面的机密情報或有关资产方面的信息。(j)竞争信息竞争信息 業主承诺在房屋和大厦内无其它与沃尔玛购物广场、山姆會員商店或沃尔玛社區店形式相同或相似且营业面积在一千平方米(1,000M2)或以上的商场或沃爾瑪的直接或間接竞争者。that the business shall still be conducted under the brand of Wal-Mart.The sub-lessee or assignee can use the Pr40、emises for lawful purpose on the pre-condition of complying with the Lease Agreement.The rights and obligations under the Lease Agreement shall be directly enjoyed and borne by WAL-MART and LANDLORD.(i)Confidential Information There is no requirement for WAL-MART to provide sales information or othe41、r confidential and proprietary information to the LANDLORD.(j)Competition Information LANDLORD shall warrant that there shall be no other stores with business area of One Thousand square meters(1,000M2)or above and being identical or similar in the format to Wal-Mart sSupercenter,Sams members cClub 42、or Wal-Mart nNeighborhood Mmarket,nor business operators being directly or indirectly in competition with the business of WAL-MART within the Building.(k)Right to Terminate From Lease Year Six(6),WAL-MART shall have the right to terminate the Lease Agreement without any liabilities for any reason(s)43、upon giving two(2)months prior written notice to the LANDLORD.In the event that WAL-MART and/or its joint venture partner fails to obtain the business license for its operation within the Premises from the Industrial and Commercial Bureau of Changzhou Municipality within Four(4)months from the date 44、of execution of the Lease Agreement,WAL-MART shall have the right to terminate the Lease Agreement immediately without any 45、central-2D-Aug.3,2004(意向书)8(k)終 止 权終 止 权 自第六(6)个租約年起,沃尔玛有权以任何理由提前两(2)个月以书面形式通知业主終止租赁协议,沃尔玛无需为此承担任何责任。如自租赁协议签订之日起四(4)个月内,若沃尔玛或其合资方无法从常州市工商行政管理局取得在該房屋內从事经营活动的营业执照,沃尔玛有权在书面通知业主后立即解除租赁协议而无需为此承担任何责任。(l)标 志 牌标 志 牌 经当地政府有关部門同意后,沃尔玛可在房屋或大厦上經双方共同確認的位置樹立沃尔玛、山姆會員商店或其他商標的標志牌。房屋或大厦上至少可有四(4)个免費標牌供沃尔玛使用和两(2)個免費標牌供46、沃尔玛的分租戶使用。(m)房產的轉讓房產的轉讓 如业主将房屋出售、转让或继让,应保證受让方继续履行租賃协议项下业主應向沃尔玛履行的义务。(n)保險保險 (l)Signage WAL-MART has the right to erect any Wal-Mart,Sams Club or other trademark signage at the location agreed by both Parties outside the Premises or Building and upon the approval by the proper local government author47、ities.There shall be a minimum of four(4)pylon signs for WAL-MART and two(2)signs for WAL-MARTs tenant(s)on the Premises free of charge.(m)Sale of Property In the event that the LANDLORD sells,transfers or assigns the Premises,LANDLORD shall warrant that the new landlord shall continue to maintain t48、he obligations of the Lease Agreement with WAL-MART.(n)Insurance LANDLORD shall,at its sole cost and expense,1)procure the Property All Risk Insurance for the Premises with the policy form of All Risk at replacement and/or reinstatement value of the Premises;and 2)Public Liability Insurance,which sh49、all include Advertising Sign and Decorations Extension Clause,Elevators,Lifts and Hoists Liability Extension Clause as well as Cross Liability Extension Clause.The limits of indemnity for each insured event under this Policy shall be USD 1,000,000 and no limits of sums of indemnity during the valid 50、policy term.LANDLORD shall provide WAL-MART with all the original insurance documents for WAL-MARTs inspection,photocopy and record keeping,and shall keep such insurance policy in full force and effect at all times during the Term.LANDLORD ensures to include the insurance carriers waiver of subrogat51、ion right in the Property All Risk insurance policy,by which the insurance carrier waives its subrogation right against WAL-MART.The insurance carrier shall be central-2D-Aug.3,2004(意向书)9 业主应自行購買如下保險:1)按房屋重置的价值為該房屋购买财产一切险且保单格式为“一切险”;和 2)公眾責任險并附加廣告牌和裝飾物擴展條款、電梯責任條款和交扠責任擴展條款。該保单的每次事故责任賠償限額為一百萬美元,承保期限內的责任賠償限額无限额。业主将向沃尔玛提供所有有关保险事宜的单证原件,供沃尔玛审核并复印件存档,并负责前述保险在租期内保持其持續有效。业主承諾在“财产一切险”和“公众责任险”保单内附加“保险公司放弃代位求偿权”的扩展条款,即放棄因财产一切險和公眾責任險引起的對沃53、尔玛的代位追償權。投保的保险公司应符合中国有关的法规。未經沃尔玛事先書面同意,业主或其保險公司不得取消保單或修正保單項下的任何内容。由于业主未能將沃尔玛列为保單的共同被保险人或受益人,故业主同意如前述財產一切险的原因而使得沃尔玛蒙受任何损失,业主愿意按保單項下保險的範圍和賠償原則赔偿沃尔玛的实际损失。沃尔玛可根据需要为其在房屋内部的装修、改进设施、库存、现金及其它有形资产和公共责任购买保险。(o)商場营業日商場营業日 沃尔玛购物廣場可以每年每天營業,包括中國的法定节假日沃尔玛還有权天十四()of the PRC.Without prior consent of WAL-MART,neither54、 LANDLORD nor the insurance carrier shall cancel the Policy or modify any and all terms of the Policy.As a result that LANDLORD does not name WAL-MART as an additional insured or beneficiary of the policy,LANDLORD agrees to indemnify WAL-MART any actual losses arising from the Property All Risk Liab55、ility in accordance with the insurance coverage and compensation principles stipulated in the insurance policy.WAL-MART may,at its sole discretion,purchase insurance for internal renovations,improvements,inventory,cash and other physical assets within the Premises and public liability.(o)Store Openi56、ng Days WAL-MARTs Supercenter may open each and every day of the year,including all statutory holidays in China and WAL-MART shall have the right to operate the loading dock area twenty-four(24)hours a day.(p)Works by LANDLORD The Design and Construction of WAL-MARTs Supercenter shall follow the Req57、uirements and Specifications as defined in Exhibit III provided to the LANDLORD by WAL-MART.The Requirements and Specifications in Exhibit III will clearly specify the responsibilities of both Parties for the construction of the Building.(q)Handover Status The LANDLORD shall complete all the work se58、t forth in Exhibit IIIV as suitable for WAL-MART to LOI-changzhou central-2D-Aug.3,2004(意向书)10 的法定节假59、日,沃尔玛還有权一天二十四(24)小時不间断地使用裝卸区。(p)业主负责之工程項目业主负责之工程項目 沃尔玛购物广场的設計和建筑应遵循沃尔玛向業主提供的附件二中所定義的規格與要求。附件二規格與要求將明確規定双方在有关大廈建設工程中的职责。(q)沃爾瑪進場裝修條件沃爾瑪進場裝修條件 業主應在租賃協議規定的房屋進場日或之前完成附件三中所列的沃爾瑪進場裝修條件。(r)雙方的陳述和保證雙方的陳述和保證 業主和沃爾瑪確認并接受,下列內容屬本意向書和房屋租賃協議項下重要條款,对下列任何條款的任何违反,將構成嚴重違反本意向书和房屋租賃協議:A.雙方在此同意并確認,在履行雙方本意向書或房屋租賃協議或其它協議(60、若有)過程中、或履行因本意向書或房屋租賃協議或其它協議而產生的義務過程中,业主不得聘用、使用童工和/或罪犯和/或勞教人(r)Representations and Undertakings by both Parties LANDLORD and WAL-MART confirm and acknowledge hereby that the following items are essential to this Letter of Intent and the Premises Lease Agreement.A violation of any of the following ter61、ms shall be considered a material breach of this Letter of Intent and the Premises Lease Agreement:A.Both Parties hereby confirm and agree that LANDLORD shall not employ nor use child
