The Leasehold Property (the “Leasehold Property”) includes the following space of the building partly occupied by Party Bs l14、eased area within the Wanda Shopping Plaza (“Building”) located at, Xian City, Shaanxi Province, China: a portion of the area on the Ground Floor, a portion of the area in Basement One, and a portion of the area in Basement Two, (hereinafter collectively referred to as the “Premises ”), and the Park15、ing Area (as defined in Article 6.5) in Basement One and the Wal-Marts Outdoor Public Area (as defined in Article 6.6) on the Ground Floor.如本协议附件二的面积计算表所示,房屋的租用面积总计为一万五千一百六十三平方米(15,163M2)(“租用面积”),其中:A) 房屋地上第一层的租用面积为二百八十六平方米(286M2); B)房屋地下第一层的租用面积为商场面积一万四千二百九十一平方米(14,291M2);C) 房屋地下第二层的租用面积为商场面积五百八十六平16、方米(586M2)。 (前述租用面积的计算规则见本款如下内容)。 租赁标的物的租金将根据租用面积计算。As shown in the Area List in Exhibit II of this Agreement, the total Leased Area of the Premises rented by Party B is Thirteen Thousand Seven Hundred and Eighty Seven square meters (13,787M2) (“Leased Area”), of which consists of, A) Two Hundred Eig17、hty Six square meters (286M2) on the Ground Floor; B) Fourteen Thousand Two Hundred and Ninety One square meters (14,291M2) in Basement One; C) Five Hundred and Eighty Six square meters (586M2) in Basement Two. (The aforesaid Leased Area shall be calculated with the formula described in the followin18、g sections of this Article.) The Rent for Leasehold shall be calculated on the basis of the Leased Area. 若遇有前述租用面积与各部分的实际投影面积(“实际投影面积”)的差值超过正负百分之三(3%)时,甲方须及时书面通知乙方,乙方享有同意或拒绝的选择权。如果乙方同意,则乙方按实际投影面积调整租金;如果乙方拒绝,则甲方须将房屋的投影面积调整成正负百分之三(3%)幅度内的租用面积方可交付房屋。双方同意,前述实际投影面积以当地政府房地产管理部门指定的测绘事务所测定的为准。In the event t19、hat the aforesaid Leased Area surpasses 3% of the Actual Projected Area (“Actual Projected Area”), Party A must notify Party B in writing promptly. Party B has the discretion to accept or reject such variance. If Party B agrees to accept the variance, Party B shall have the right to adjust the Rent 20、according to the Actual Projected Area. If Party B rejects the variance, before the delivery of the Premises, Party A shall rectify the Actual Projected Area to keep the variance of the Leased Area and the Actual Projected Area within the scope of 3%. Both Parties agree that the aforesaid Actual Pro21、jected Area shall be subject to the final determination of the Survey Firm designated by the local Real Estate Administration Authority.根据以上甲乙双方同意的租用面积之计算规则, 甲乙双方进一步同意,房屋各部分租赁区域的租用面积如下:According to the above agreed formula which is set to calculate the Leased Area, the parties further agree that the22、 Leased Area is allocated in different leased areas as follow:(1) 房屋地上第一层的租用面积为二百八十六平方米(286M2), 包括自动坡道面积七十八平方米(78M2),和收货区面积二百零八平方米(208M2);The total leased area on the Ground Floor is Two Hundred Eighty Six square meters (286M2), including Seventy Eight square meters (78M2) for travelator area, and T23、wo Hundred and Eight square meters (208M2) for loading area(2) 房屋地下第一层的租用面积为一万四千二百九十一平方米(14,291M2),包括,商场面积一万三千五百零一平方米(13,501M2),压缩机房面积九十九平方米(99M2),储油间面积二十三平方米(23M2),货车停靠区面积一百八十七平方米(187M2),水泵房面积二百三十九平方米(239M2),发电机房面积一百三十七平方米(137M2),变电所面积一百零五平方米(105M2);The total leased area in Basement One is Fourteen24、 Thousand Two Hundred and Ninety One square meters (14,291M2), including Thirteen Thousand Five Hundred and One square meters (13,501M2) for store area, Ninty Nine square meters (99M2) for compressor room, Twenty Three square meters (23M2) for oil room, One Hundred and Eight Seven square meters (18725、M2) for truck parking lot, Two Hundred and Thirty Nine square meters (239M2) for pump room, One Hundred and Thirty Seven square meters (137M2), One Hundred and Five square meters (105M2) for substation room. (3) 房屋地下第二层的租用面积为其他设备房面积五百八十六平方米(586M2)。The total leased area in Basement One is Five Hundre26、d and Eighty Six square meters (586M2) for other E.Q room. 若遇本条项下的描述与本协议附件一和/或附件二的内容不一致,计租方法和租用面积以附件一和/或附件二的内容为准。In the event of any inconsistency between the descriptions hereof and the specifications shown in Exhibit I and/or Exhibit II, the specifications as shown in Exhibit I and/or Exhibit II s27、hall prevail for the Rent calculation formula and leased area. 本协议附件一、附件二项下的机电设备房、存货区、装卸货区及货车停靠区为乙方的计租专用区域,停车场和沃尔玛室外公共区系乙方的免费专用区域。The electric equipment rooms, the storage area, the loading and unloading area, and truck parking as shown in Exhibit I and Exhibit II shall be used exclusively by Party 28、B and Party B shall pay the rent for such exclusive use. Party B is entitled to exclusively use the Parking Area and the Wal-Marts Outdoor Public Area as shown in Exhibits I and Exhibit II without any payment. 2.2 房屋的设计和建筑 Design and Construction of the Premises除非双方另有协议并经西安市政府相关部门批准,甲方将自筹资金,按照本协议附件四29、所规定的要求和规格完成租赁标的物的设计及施工工作。租赁标的物的工程需按本协议附件四所规定的要求和规格完成,并经乙方验收合格。甲方应按照中国建设部有关规定,办理工程质量合格的备案手续。Unless otherwise agreed by the Parties and approved by the relevant authority of Xian City, Party A shall, at its sole costs and expenses, complete the design and construction of the Premises in accordance wit30、h the requirements and specifications as defined in Exhibit IV hereto. The Leasehold constructed shall meet the requirements and specifications as set forth in Exhibit IV hereto and shall be subject to the inspection of and the acceptance by Party B. Party A shall perform the filing procedure with r31、elevant authority in connection with the inspection and acceptance of construction of the Leasehold in accordance with the regulations of the Ministry of Construction of PRC. 第3条 租 期Article 3 TERM 3.1 租 期 Initial Term本协议的租期为十五(15)年,自房屋内乙方购物广场开业日起计算(“租期”)。The Initial Term of this Agreement is Fifteen32、 (15) years commencing on the Grand Opening Day of Party Bs Supercenter within the Premises (“Initial Term”).3.2 续 约 Renewal 乙方有权按本协议相同的条款和条件(双方另有约定者除外)在本协议初始租期届满时续约。续约次数最多为五(5)次,每次最长续约五(5)年(以下称“续约期”)。每个续约期应从初始租期或前一续约期终止日的下一日开始计算。本协议租期应为初始租期加上乙方全部续约期之和(以下称“租期”)。初始租期届满后,若乙方决定续约, 则自本协议项下第一个续约期的第一个租约年(33、即第十六16th个租约年)的年租金应在第十五(15)个租约年的基础上递增百分之四(4%)至百分之十(10%),此后,自第十七(17)个租约年起至租期结束,续约期内的年租金在第十六(16)个租约年年租金的基础上每两(2)年递增百分之四(4%)。 Upon the expiration of the Initial Term, Party B may renew this Agreement with the same provisions and conditions as stipulated in this Agreement (unless the Parties agree otherw34、ise). Such right may be exercised Five (5) times at most and the term for each renewal will not exceed Five (5) years (the “Extension Period”). Each Extension Period will begin on the date following the expiration of the Initial Term or the immediately preceding Extension Period. The “Term” under th35、is Agreement will refer to the Initial Term and all the Extension Periods thereof (the “Term”). Upon expiration of the Initial Term, if Party B decides to renew this Agreement, the Rent of the Sixteenth (16th) Lease Year shall be increased by Four percent (4%) to Ten percent (10%) on the basis of th36、e Rent for the Fifteenth (15th) Lease Year, consequently, from Seventeenth (17th) Lease Year through the end of the Term, the annual Rent for the Extension Periods will increase by Four percent (4%) every Two (2) years on the basis of the Rent for the Sixteenth (16th) Lease Year.Upon the expiration 37、of the Initial Term, Party B shall have the option to renew this Agreement for Three (3) times, each time for a period of up to Five (5) years, in the case of offering the same amount of rent and the same payment method of rent as the third partys option, Party B may have the right to renew this Agr38、eement for another Two (2) times, each time for a period up to Five (5) years (the “Extension Period”). Each Extension Period shall commence on the date following the expiration of the Initial Term or the immediately preceding Extension Period. The “Term” under this Agreement shall refer to the Init39、ial Term and any Extension Period thereof. The Rent for the Premises during each Extension Period under this Agreement shall be determined by the Parties through consultation on the basis of the then-prevailing market price; in the event that the Parties agree to increase the Rent, the Rent of the f40、irst Lease Year from the first Extension Period to the third Extension Period shall be increased by Four percent (4%) to Ten percent (10%) on the basis of the Rent for the Fifteenth (15th) Lease Year or the last Lease Year of the preceding Extension Period, consequently, the Rent for remaining Lease41、 Years within the corresponding Extension Period shall be increased by Four percent (4%) every Two (2) years on the basis of the Rent for the first Lease Year of the corresponding Extension Period; the Rent for the Fourth (4th) Extension Period and the Fifth (5th) Extension Period shall be determine42、d by the Parties through consultation on the basis of the then-prevailing market price.3.3 续约的程序 Procedures for Renewal 甲方须在本协议租期或任何续约期届满前至少十二(12)个月前以书面方式通知乙方续约。甲方致乙方的续约通知应包括续约期内的租金金额。如果在租期或任何续约期届满前六(6)个月乙方仍没有就甲方续约通知给予书面答复,则甲方应向乙方发出第二次续约通知。乙方应在本协议的租期或任何续租期届满前至少三(3)个月,以书面通知甲方是否行使续约选择权。如乙方未在租期或任何续约期届满43、前三(3)个月就甲方第二次续约通知发出任何书面通知,本协议在租期或当时的续约期期限届满时自动终止,但乙方享有第15.1条所规定的六十(60)日清理时间。Party A shall notify Party B in writing of Party Bs renewal option at least Twelve (12) months prior to the expiration date of the Initial Term or any Extension Period of this Agreement. The notice issued by Party A to Party44、 B shall include the amount of the Rent for the Extension Period. In the event that Party B fails to respond in writing to Party As notice on renewal option Six (6) months prior to expiration of the Initial Term or applicable Extension Term, Party A shall send the second notice for renewal option to45、 Party B. Party B shall notify Party A in writing whether it will exercise its option of renewal at least Three (3) months prior to the expiration date of the Initial Term or any applicable Extension Period of this Agreement. In the event that Party B fails to respond to Party As second notice of re46、newal Three (3) months prior to the expiration of the Initial Term or any applicable Extension Period, this Agreement shall automatically terminate on the expiration date of the Initial Term or any applicable Extension Period, but Party B shall be entitled to have a Sixty (60)-day clean-up period af47、ter the termination as specified in Article 15.1 of this Agreement.第4条 租 金Article 4 RENT4.1 免 租 期 Rent-free Period自本协议第5.2条规定的进场日起,甲方授予乙方四(4)个月的免租期 (“免租期”)。在免租期内,乙方无须支付租金,并享有本协议项下全部相应的权利包括房屋占有权和使用权。 乙方进场后所使用的水、电、空调和燃气费用由乙方承担。Party A shall grant Party B a rent-free period of Four (4) months commencin48、g on the Starting Date of Construction set forth in Article 5.2 of this Agreement (“Rent-Free Period”). During the Rent-Free Period, Party B is not required to pay any rent and shall enjoy all the related rights hereunder including the right to take possession of and use the Premises. Party B shall 49、bear all the charges incurred due to its use of water, electricity, air-conditioning and gas after it starts to conduct the construction in the Premises. 4.2 免租期 Rent-free Period自房屋内乙方购物广场开业日起,甲方另授予乙方两(2)个月的免租期(以下称“免租期”)。免租期内,乙方无需向甲方支付租金(如本协议第4.5条所定义)和/或任何管理费,也不承担其他根据中国法律、法规和规章所规定的甲方作为租赁标的物所有人所应承担的任50、何税费,并可在乙方房屋内正常营业。 Party A agrees to grant to Party B a Rent-free Period of Two (2) months starting from the Grand Opening Day of Party Bs Supercenter within the Premises (the “Rent-free Period”). During the Rent-free Period, Party B shall not be charged by Party A for any Rent (as defined in Article51、 4.5) and/or any management fee, and all and any other expense and taxes that Party A shall bear as the owner of the Leasehold Property under relevant PRC laws, regulations and Rules, and shall have the right to conduct its business operation within the Premises. 4.2 租 金 Rent 房屋的租金已包括租金、物业管理费(备注:物业管52、理费为租用面积每平方米每月人民币贰元 、设施系统使用费及按照中国法律应由甲方承担的与房屋相关的其它费用和支出。双方明确:乙方租用面积内的水(含空调用水)、电(含空调用电)、燃气费按其实际用量,单独计量,自行向相关部门缴纳。房屋内乙方购物广场开业日,为第一个租约年的开始日(“开始日”)。一个“租约年”指连续十二(12)个月的期间。 commencement date (“Commencement Date”) of the First Lease Year. Each consecutive 12-month period shall constitute a “Lease Year”. 初始租53、期内租赁标的物内设备房的租金按如下标准计算: Based on Rent-list Aug 27, 2007The Rent for E.Q. room within the Leasehold Property during the Initial Term will be calculated as follows: 初始租期内租赁标的物内非设备房面积的租金按如下标准计算: Based on Rent-list July 16, 2007The Rent for the area of non-E.Q. room within the Leasehold Property during t54、he Initial Term will be calculated as follows: 4.3 租金支付日期及发票 Date of Payment of Rent and Invoice 租金应在每月的第十(10)日或之前支付(遇中国的法定节假日顺延)。如租赁起始日不是一个公历月的第一天或租期终止日不是一个公历月的最后一天,则第一个月或最后一个月的租金应按实际租赁天数占该月总天数的比例计算,且第一个月的租金应于租赁起始日后的十(10)日内支付。甲方应在每月第十三(13)日或之前向乙方提供符合中国法律规定和税务行政主管部门要求的合法租金发票,该发票金额应与本协议第4.2条约定的乙方当月应付55、租金(不含物业管理费)金额相同。The Rent shall be paid on or before the Tenth (10th) day of each month (such day shall be automatically extended in case of an official holiday). In the event that the Commencement Date does not fall on the first day of a month, or the ending date of the Term does not fall on the las56、t day of a month, the rent for the first month or for the last month shall be calculated pro rata on a daily basis for the actual leasing day(s) in that month, and the rent of the first month shall be paid within Ten (10) days following the Commencement Date. Party A shall issue an official leasing 57、invoice, which is valid under PRC law and conforming with the requirements of PRC tax authority, to Party B on or before the Thirteenth (13th) day of each month, and the amount of such invoice shall be equal to that of the Rent that Party B shall pay for such month according to Article 4.2 of this A58、greement.甲乙双方在此确认,甲方向乙方提供符合本第4.3条要求之正式租金发票为本协议项下甲方的重要合同义务。若甲方未能在乙方支付下期应付租金前提供符合本第4.3条要求的合法租金发票,甲方同意,乙方在扣除因甲方未能按本条要求向乙方提供合法租金发票而可能使乙方遭受的税务损失后,将下期应付租金的余额支付给甲方,税务损失金额计算方式为以甲方未能提供租金发票的租金金额乘以租赁标的物所在地的所得税税率(“税务损失金额”)。若甲方能在当期公历年结束前(即12月31日前)向乙方提供其拖欠的租金发票,则乙方应在收到前述租金发票后十(10)日内将乙方已扣除的相当于税务损失金额的款项无息退还给甲方,乙方无需59、向甲方支付任何滞纳金。如乙方未能在收到租金发票后十(10)日内将已扣除的相当于税务损失的金额退还甲方,应按本协议第4.6的约定向甲方支付滞纳金。若甲方未能在当期公历年结束前(即12月31日前)向乙方提供其拖欠的租金发票,乙方已扣除的税务损失金额将被作为违约金,不再退还甲方。The Parties confirm hereby that Party As obligation to provide Party B with a valid leasing invoice under this Article 4.3 is an essential obligation of Party A un60、der this Agreement. In the event that Party A fails to provide a valid leasing invoice satisfying the requirement set forth in Article 4.3 before Party B issues the Rent due and payable for coming month, Party A agrees that Party B is entitled to deduct in advance the tax loss that Party B may suffe61、r from Party As failure of providing the valid leasing invoice from the Rent due and payable for coming months and then pay the rest of the Rent due to Party A. The aforementioned tax loss (the “Tax Loss”) shall be calculated as follows: amount of Rent without Party As leasing invoice times local in62、come tax rate. In the event that Party A provides the outstanding leasing invoice to Party B before the end of the then-current calendar year, that is, December 31st, Party B shall pay to Party A, within Ten (10) days from receiving the outstanding leasing invoice from Party A, the amount equal to T63、ax Loss already deducted without any interest and Party B shall not be liable for paying any overdue fine for this. Party B shall be liable for overdue fine set forth in Article 4.6 in the event that Party B fails to refund Party A the amount equal to Tax Loss already deducted within Ten (10) days f64、ollowing its receiving the leasing invoice. The amount of the overdue fine shall be Tenth of One percent (0.1%) of the total amount of Overdue Rent and Service Fee multiplied by the number of days88、 overdue.4.8 管 理 费 Management Fees 除本协议已有的规定外,乙方无义务就租赁标的物包括房屋、设备房、 存货区、装卸货区、沃尔玛室外公共区、货车停靠区及停车区(如附件一、附件二所示)的使用向甲方或任何第三方支付任何管理费或其它费用。Unless otherwise provided herein, Party B has no obligation to pay any management fees or other fees to Party A or any third party with respect to the use of the Leaseho89、ld including the Premises, the equipment rooms, the Storage Area, the Receiving Area, the Wal-Marts Outdoor Public Area, truck park and the Parking Area (as listed in Exhibit I and Exhibit II).第5条 租赁标的物的接收Article 5 ACCEPTANCE OF LEASEHOLD PROPERTY 5.1 修理清单 Defects List乙方的工程人员应对甲方的改造工作予以协助,并不时提供、陈述其意90、见,以便使改造工程符合如附件四所定义的乙方改造工程要求与规格。在甲方交付房屋给乙方时,乙方应按照附件四所定义的标准检查房屋,并将不符合附件四要求需要进行修理的项目列出清单(“修理项目”)交给甲方进行修理。甲方将在收到清单后十五(15)日内纠正修理项目。Party Bs construction team shall offer assistance to Party As renovation project and, from time to time, provide its advice and comments on such renovation to help meet Party91、 Bs requirements and specifications on the renovation project in Exhibit IV hereto. Party A shall cure the Defects within Fifteen (15) days upon receipt of the Defects List. 5.2 进 场 日 Starting Date of Construction在符合下列条件的前提下且乙方可以进场施工的日期为“进场日”(以下称“进场日”):(i) 西安市城市商业规划已获得中国商务部的批准;(ii)乙方在房屋内开设乙方购物广场符合前述中国商务部批准的西安市城市商业规划;(iii) 西安市商务主管部门举行的有关乙方在房屋内开设乙方购物广场的听证已完成,且听证结果是同意乙方在房屋内开设乙方购物广场93、(若适用);(iv) 甲方已完成本协议附件五乙方进场施工条件约定的乙方进场施工条件;和,(v) 经乙方根据附件五对乙方进场施工条件验收合格。除非双方另有约定,甲方应于年月日或之前实现本条规定的进场日。进场日实现之日,甲乙双方应另行签署有关进场日日期的确认书。The “Starting Date of Construction” is the date on which the following conditions are satisfied and Party B may enter the Premises for construction (the “Starting Date of 94、Construction.”): (i) the city commercial planning of Xian City has been approved by the Ministry of Commerce of China (the “MOC”); (ii) Party Bs opening of Supercenter within the Premises is in conformity with the aforesaid city commercial planning of Xian City approved by MOC; (iii) Party B is gran95、ted to open its Supercenter within the Premises (if applicable) during a completed hearing process which is held by the commercial authority of Xian City for examining Party Bs opening its Supercenter within the Premise; (iv) the conditions before Party Bs starting construction as set forth in Exhib96、it V are satisfied by Party A; and, (v) Party B has inspected and accepted the conditions before Parties Bs starting construction according to Exhibit V. Unless otherwise agreed by both Parties, Party A will achieve the Starting Date of Construction on or before . Upon the achievement of the Startin97、g Date of Construction, Party A and Party B will execute a Confirmation Letter to verify the exact date as Starting Date of Construction.5.3 交 付 日 Possession Day租赁标的物通过西安市有关部门工程综合竣工验收合格,包括消防验收合格及工程综合竣工验收合格,且租赁标的物已按本协议附件四的约定经乙方验收合格后,甲方向乙方交付租赁标的物的日期应视为交付日(“交付日”)。除非双方另有约定,甲方最迟应于年月日实现交付日。甲乙双方需于租赁标的物交付日签98、署有关租赁标的物及甲方根据本协议应交付的设施的交付确认书。The “Possession Day” refers to the date on which, after the Leasehold Property has passed the construction comprehensive inspection of the relevant authority of Xian City, including the issuance of the Inspection and Acceptance Report of Fire Prevention System and Compre99、hensive Inspection and Acceptance Report of the Construction, and has been checked and accepted by Party B according to the requirements and specifications in Exhibit IV of this Agreement, then Party A will deliver the Leasehold Property to Party B for Party Bs possession (the “Possession Day”). Party A and Party B will, on the Possession Day, execute a Delivery Confirmation with respect to the delivery of the Leasehold Property and the utilities required to be delivered by Party A under this A101、greement.5.4 有关文件 Relevant Documents 除非双方另有约定,甲方应在房屋交付日前六(6)个月之前向乙方提供如下文件的复印件: Unless otherwise agreed by both Parties, Party A shall provide to Party B copies of the following documents at least Six (6) months prior to the Possession Day of the Premises: (1) 西安市土地管理局颁发的有关房屋用地的正式的国有土地使用 权证;Certifica102、te of Land Use Right issued by Xian State-owned Land Administrative Bureau for the land occupied by the Premises;(2) 建设工程规划许可证;Construction Planning Permit;(3) 建设工程施工许可证;Construction Permit;(4) 建设期内环保可行性报告批复;Approval on the Environment Feasibility Report during the construction term;(5) 消防设计审核意见书;Ex103、amination Report on the Fire-protection Design;在交付日后两(2)个月内,甲方必须向乙方提供以下文件:Party A must provide the following documents to Party B within Two (2) months after the Possession Day:(1) 西安市房管局颁发的有关甲方系大厦所有权人的房产证或者 西安市房管局出具的证明甲方系大厦所有权人并准予乙方办理相 关营业证照的文件;Certificate of Building issued by Xian Building Admini104、strative Bureau under which Party A is listed as the owner of the Building or the document(s) issued by Xian Building Administrative Bureau indicating that Party A is the owner of the Building and Party B is allowed to apply for Business License;(2) 在租期内持续有效的房屋租赁证或是西安市房管局出具准予 租赁的文件;Premises Leasing 105、Certificate consistently valid during the Term; or the other document(s) issued by Xian Building Administrative Bureau granting Party A the right to lease the Premises; (3) 工程竣工验收报告或建设工程竣工验收备案证明书;Inspection and Acceptance Report of the construction or Filing Certificate for the Constructions Inspect106、ion and Acceptance;(4) 政府有关部门颁发的房屋测绘报告;Property Survey Report issued by the relevant governmental authority;(5) 交通管理部门为停车区颁发的停车许可或停车场经营许可;Parking Permit or Operation Permit for Parking Area issued by the Transportation Authority for the Parking Area; (6) 西安市消防部门出具的乙方租用区域消防系统验收合格意见书, 以及其出具的允许乙方购物广场投入107、营业的文件;Inspection and Acceptance Approval issued by Xian Fire-Prevention Authority on the Fire-Protection System within the area rented by Party B, and the other document(s) permitting Party B to start business operation in the leased area;(7) 技术监察部门出具的自动坡道、扶手电梯、其它电梯和货梯安全 运行许可证;Safety Operation Permi108、ts issued by Xian Technology Supervision Authority for the travellators, escalators, freight elevators and other lifts;(8) 与西安市供电部门签定的供电协议书。Electricity Supply Contract signed with the Xian Electricity Supply Unit.第6条 房屋及其它区域的使用Article 6 USE OF PREMISES AND OTHER AREAS 6.1 经营活动 Business Activities甲方承109、诺,房屋可用于任何与乙方经批准的经营范围一致的合法的商业用途,包括乙方从事的零售经营和其它经批准的合法的经营。Party A warrants that the Premises can be used for any lawful commercial business within Party Bs approved scope of business, including the retail business and any other duly approved lawful business. 6.2 甲方承诺 Party As Warrant甲方承诺不得将大厦任何部分用作工业用途110、。Party A warrants that it shall not use any part of the Building for industrial purposes.6.3 乙方承诺 Party Bs Warrant 乙方应在其经营范围内正常使用并爱护房屋内部的各项设施,防止被不正常损坏。因乙方使用不当或不合理使用房屋及其内部的设施而出现损坏或发生故障,乙方应负责该项维修,若有必要则应更换。Party B shall use the facilities inside the Premises within its scope of business in a normal way111、 and protect such facilities from any abnormal damage. In the event that the Premises or its interior facilities are damaged or out of order as a result of any improper or unreasonable use by Party B, Party B shall be responsible for the related repair thereof or replacing the damaged part if necess112、ary. 6.4 装卸货区 Loading and Unloading Area 甲方应在地面上清楚地划出装卸货区的范围。本协议期限内,乙方及乙方的供货商按照本协议及双方其它约定有排他性专用权使用本协议附件一及附件二所示的装卸货区(“装卸货区”),即乙方及乙方的供货商按照前述约定享有在装卸货区每年每日,每日二十四(24)小时不停断地装卸货物的专有权利,但乙方在该装卸货区的作业应符合当地交通管理部门的规定。The Loading and Unloading Area shall be clearly demarcated on the ground by Party A. During the 113、Term of this Agreement, Party B and Party B s venders shall have an exclusive right to use the Loading and Unloading Area as specified in Exhibits I and II (“Loading and Unloading Area”) in accordance with this Agreement and any other agreements between the Parties, i.e., Party B and Party B s vendo114、rs have an exclusive right to load and unload goods within such Loading and Unloading Area uninterruptedly for twenty-four (24) hours per day, and 365 days per year. But Party B should comply with the rules and regulations of local transportation authority in course of the use of Loading and Unloadi115、ng Area.6.5 停 车 区 Parking Area 本协议期限内,甲方负责停车区的管理,并保证为乙方提供不少于二百五十(250)个停车位的停车场(“停车区”)。甲方同意,在本协议期限内向乙方另外提供两(2)个免费专用停车位。乙方顾客可以凭当日沃尔玛购物广场的购物小票(购物金额必须在人民币一百元(RMB100.00)以上)在乙方购物广场的营业时间内免费停车一百二十(120)分钟。除此之外,若停车时间超过一百二十(120)分钟或购物金额不足人民币伍拾元(RMB100.00),甲方有权按西安市物价部门核准的收费标准收取停车费用。During the Term of this Agreeme116、nt, Party A shall be responsible for the management of the Parking Area and shall guarantee that it shall provide a Parking Area with a minimum of Two Hundred and Fifty (250) parking spaces to Party B (“Parking Area”). In addition, Party A agrees to (i) provide Party B Two (2) parking spaces for Par117、ty Bs exclusive use and for free during the Term; (ii) Party Bs supplier(s) have the right to park for Two Hundred and Forty (240) minutes free of charge during holiday period, and to park for One Hundred and Twenty (120) minutes free of charge during non-holiday period; (iii) Party Bs customers hav118、e the right to park for One Hundred and Twenty (120) minutes free of charge during the business hours of Party Bs Supercenter upon presenting the shopping receipt of Party Bs Supercenter of the same date for a minimum of RMB Fifty Yuan (RMB50.00). Otherwise, if the parking time exceeds One Hundred a119、nd Twenty (120) minutes or the shopping receipt presented is for less than RMB Fity Yuan (RMB50.00), Party A shall have the right to charge the customer for a parking fee according to the pricing standard approved by the price administration authority of Xian City. 6.6 沃尔玛室外公共区 Wal-Marts Outdoor Pub120、lic Area本协议期限内,乙方有权使用本协议附件一、附件二所示房屋前的一片公共区(“沃尔玛室外公共区”),沃尔玛室外公共区的日常维护由乙方负责。如果沃尔玛室外公共区域有绿化带,则甲方承诺在交付日,沃尔玛室外公共区内的绿化符合政府有关部门的规定,若绿化物状态不符合政府有关部门的要求,甲方应负责更换。During the Term of this Agreement, Party B has the right to use the common area in front of the Premises as shown in Exhibit I and Exhibit II (“Wal-M121、arts Outdoor Public Area”), and shall be responsible for the daily maintenance of the Wal-Marts Outdoor Public Area. In the event there is landscaping in the Wal-Marts Outdoor Public Area, Party A warrants that on the Possession Day, the landscaping in the Wal-Marts Outdoor Public Area shall be in c122、ompliance with the regulations of the relevant governmental authorities. In the case that the landscaping does not meet the requirements of the government authorities, Party A shall be responsible for the replacement thereof. 6.7 装 修 Decoration 本协议期限内,乙方有权随时在房屋内进行乙方认为适当的并符合其或其母公司的世界性统一标准的任何装修或安装、改装、123、维修任何装置,包括但不限于设备、器具、设施、线路、悬挂物、标志、招牌及类似的物品。乙方的装修活动应被视为根据本协议的规定对房屋及其内部设施的正常使用。如果按照中国法律或当地政府的规定,乙方装修应报批准的或应通过招标形式进行的,乙方自行负责办理相关手续。但乙方的装修,不得因任何理由损坏甲方已施工完毕的公共设施及房屋结构,不得影响或妨碍公共设施的正常使用,不得影响公共设施的正常维护、维修、保养,若乙方对大厦的公共设施进行改装,必须事先征得甲方的书面同意。During the Term of this Agreement, Party B has the right at any time to c124、onduct any decoration or installation, alteration or repair of any fixture, including but not limited to equipment, appliances, facilities, lines, hanging objects, signs, signboards and similar objects inside the Premises, as deemed appropriate by Party B and consistent with its or its parents unifo125、rm standards worldwide. Party Bs decoration work shall be regarded as a normal use of the Premises and its facilities in compliance with the terms of this Agreement. If it is required by the PRC laws or the regulations of the local government that Party Bs decoration work shall be conducted upon app126、roval of the relevant governmental authority or through invitation to bid, Party B shall go through all the required relevant procedures by itself. However, Party Bs decoration shall for no reason cause any damage to the public facilities or structural integrity of the Premises that have been comple127、ted by Party A and it shall not affect or prevent the normal operation, maintenance and repair of the public facilities. Any alteration to the public utilities of the Building by Party B shall be conducted with the prior written consent of Party A.6.8 房屋外招牌 Sign-Boards Outside the Premises经政府有关部门批准后128、,乙方可在本协议附件一、附件二确定的位置树立沃尔玛或山姆会员店的招牌。乙方可免费在附件三所示房屋上树立二(2)块乙方标识牌及二(2)块乙方分租户的标识牌,如果乙方需另行增加招牌,应经甲方同意。经双方协商确认后,乙方亦有权在如附件一、附件二所示的公共区设立其它促销用的临时招牌而无须向甲方支付费用,但不得妨碍甲方及其它产权人或承租人使用相应的物业。若根据当地政府的规定需办理安装招牌的许可,甲方应协助乙方办理有关政府部门对安装招牌的许可。Party B may, upon the approval of relevant governmental authorities, install the s129、ign-boards of WAL-MART or SAMS CLUB in the places specified in Exhibit I and Exhibit II hereof. Upon mutual agreement and confirmation by both Parties, Party B also has the right to erect any temporary sign-boards for promotional purpose in the Common Area as shown in Exhibit I and Exhibit II of this Agreement without payment to Party A, provi131、ded, such erection of temporary sign-boards shall not prevent Party A or other property owners or tenants from utilizing the related property. If a permit is required for the erection of the sign-boards according to the local governmental regulations, Party A shall assist Party B to obtain such perm132、it from the relevant government authority. 6.9 招牌的所有权 Ownership of the Sign-Boards 乙方将自筹资金安装其全部招牌。所有由乙方自担费用设置的招牌均 属于乙方的财产,乙方可随时将其清除。乙方承诺遵守当地政府对户外招牌的管制。Party B shall install all of its sign-boards at its own expense. Party B undertakes to abide by the management and control administration of the local government on outside sign boards. 6.10 进出权 Right of Access 在事先书面通知乙方后,甲方有权在营业时间内,与乙方有关人员一起进入房屋检查及对房屋做出必要的维修。甲方在进行上述检查和维修时,不得不合理地干扰乙方的业务,或使乙方由于此种检查或维修而遭受不合理的损害或损失。Upo134、n prior written notice to Party B, Party A has the right to enter the Premises during business hours, together with the related person(s) of Party B, to inspect the Premises and conduct any necessary repair work to the Premises. Party A shall not, however, in conducting such inspection or repair, un135、reasonably disturb the business of Party B or cause any unreasonable damage or loss thereby to Party B.第7条 租赁标的的维修与修复Article 7 MAINTENANCE AND RESTORATION OF PREMISES7.1 租赁标的的维护与维修 Property Maintenance and Repair 本协议期限内,乙方应负责房屋的日常维护维修。乙方对房屋的维护维修义务仅限用于由于正常损耗因素所引致的破损。房屋其余部分的维护和维修由甲方负责。乙方无义务对房屋作其它维护或修理136、,包括但不限于房屋结构维修、维护,也无义务对房屋的意外损坏做出修理,但因本协议第6.3条规定的情形所致的损坏除外。During the Term of this Agreement, Party B shall be responsible for day-to-day maintenance and repair of the Premises. Party B only has the maintenance obligation to the deterioration caused by normal wear or tear. Party A shall be responsible137、 for all remaining maintenance and repair to the Premises. Party B shall have no obligation to perform any other maintenance and repair including but not limited to maintenance and repair of the structural integrity of the Premises or repair of any damage to the Premises caused by any accident, exce138、pt for the events as specified in Article 6.3. 7.2 设施的维修与维护 Maintenance and Repair of the Facilities本协议期限内,大厦结构及房屋内原由甲方提供的包括消防设施、供 水设施、供电设施、煤气设施和空调设施系统在内的设施(“保修设施”)的维修保养由甲方负责(详见附件八物业维保职责清单),但乙方应对其按本协议附件四职责清单所规定的新建、改装或更换的部分进行维修(包括大中修等)。如果甲方未能履行其于本条下的义务,乙方有权进行维修,并有权从向甲方支付的租金中扣除因此而发生的费用。除保修设施外,甲方将对附件四所139、列设施提供一(1)年的保修期。保修期将从乙方验收并接收设施之日起计。甲方的维修至迟应在乙方发出维修通知后的十四(14)日内进行。在紧急情况下,甲方的维修至迟应收到乙方通知后的两(2)小时内进行。若甲方未能在收到乙方通知后的两(2)小时内履行本条项下的义务,乙方有权自行维修,维修费用将从应支付的租金中扣除。保修期限届满后,乙方应负责该部分设施的维修,但甲方应给予必要的配合。During the Term of this Agreement, Party A shall be responsible for the maintenance and repair of the structural 140、integrity of the Building and the facilities originally provided by Party A in the Premises, such as the fire protection facilities, water supply facilities, power supply facilities, gas supply facilities and air-conditioning system (“Warranted Facilities”) (excluding the facilities that Party B req141、uests to use and maintain by itself). The maintenance, including major and intermediate maintenance, of all additions, alterations and improvements completed by Party B in accordance with the Landlords Work List as set forth in Exhibit IV hereto shall be conducted by Party B. In the event that Party142、 A fails to perform its obligations under this Article, Party B shall have the right to carry out the maintenance itself and deduct the costs incurred from the Rent payable to Party A. Except for the Warranted Facilities, Party A shall provide at least One (1) year warranty (“Warranty Period”) to al143、l the equipment listed in Exhibit IV. The Warranty Period shall commence from the delivery day on which Party B inspects and accepts the equipment. All repairs shall be performed by Party A, at the latest, within Fourteen (14) days of written notice issued by Party B. Emergency repairs shall be carr144、ied out within Two (2) hours notice by Party B. In the event that Party A fails to perform its obligation under this Article within Two (2) hours notice by Party B, Party B shall have the right to carry out the maintenance work and deduct the cost incurred thereof from the Rent payable to Party A. P145、arty B shall be solely responsible for the maintenance of such equipment upon expiration of the Warranty Period and Party A shall provide necessary assistance. 除大、中修外,乙方自行管理房屋内乙方的专用设备(高压配电设备除外) 。乙方租赁标的范围的两(2)部货梯和两(2)部自动坡道等日常维保由乙方负责,乙方应委托厂商或其它具有相应资质的单位承担该项工作。前述货梯、自动坡道其余的维护和维修包括大、中修由甲方负责。Except fot th146、e major and intermediate maintenance, the Party B will be responsible for the management of the equipments for its exclusive use within the Premises excluding the high/low volgt system equipment. The day-to-day maintenance of Two (2) freight elevators and Two (2) travellators within the scope of the147、 Leasehold of Party B shall be borne by Party B and Party B shall appoint the manufacturer of lifts or other entity with proper qualification to perform such day-to-day maintenance. While all remaining maintenance and repair to the aforementioned freight elevators and travellators including the majo148、r and intermediate ones shall be undertaken by Party A. 7.3 使用期内的保修 Warranty During the Term of Use 甲方承诺,在本协议期限内,除本协议已有的约定,若由于房屋结构质量上的缺陷或由于甲方未能对房屋进行适当维修而对乙方的业务造成影响或可能造成影响,甲方将给予免费修理或更换。修理至迟应在乙方发出书面通知后十五(15)日内进行。在紧急情况下(水管爆裂等),甲方的维修至迟应收到乙方通知(包括电话通知)后的两(2)小时内进行。如果甲方未能在规定的时间内履行其维修义务,乙方有权进行维修,并有权从向甲方支付的租金149、中扣除因此而发生的费用。修理如在营业时间内进行,甲方须事先书面通知乙方并应避免对乙方的业务造成干扰。Party A agrees that if, during the Term of this Agreement, except as provided hereof, Party Bs business is or is likely to be affected by quality defects of the Premises structure or the failure of Party A to properly maintain the Premises, Party A s150、hall repair or replace such defect free of charge. All repairs shall be performed, at the latest, within Fifteen (15) days of written notice by Party B. Emergency repairs, such as water-pipe blowout, shall be carried out by Party A immediately within Two (2) hours of the receipt of notice (including151、 notice via telephone) from Party B. In the event that Party A fails to perform the repairs in the time hereunder, Party B shall have the right to carry out the repairs and deduct the cost incurred from the Rent payable to Party A. In the event that any repair is to be carried out during Party Bs bu152、siness hours, a prior written notice shall be given by Party A to Party B and interference with Party Bs business shall be avoided.7.4 保 险 Insurance甲方应自行购买如下保险:A)按建筑成本价值为该房屋购买财产一切险且保单格式为“一切险”;和B)公众责任险并附加广告牌和装饰物扩展条款、电梯责任条款和交叉责任扩展条款。该公众责任险保单的每次事故责任赔偿限额为一百万美元(US$1,000,000.00),承保期限内的责任赔偿限额无限额。甲方将向乙方提供所有153、有关保险事宜的单证原件,供乙方审核并复印存档,甲方并负责保持前述保险在租期内持续有效。甲方承诺在“财产一切险”和“公众责任险”保单内附加“保险公司放弃代位求偿权”的扩展条款,即放弃因财产一切险和公众责任险引起的对乙方的代位追偿权。投保的保险公司为符合中国有关法律法规的保险公司。未经乙方事先书面同意,甲方和/或其保险公司不得取消本协议项下与房屋有关的保单或修正任何保单项下的任何内容。甲方应将乙方列为前述全部保单的共同被保险人或受益人。若甲方未能将乙方列为任何一个保单的共同被保险人或受益人,则甲方同意如果因前述财产一切险保险或公众责任险保险范围内的原因而使得乙方蒙受任何损失,甲方愿意按有关保单项下154、保险的范围和赔偿原则赔偿乙方的实际损失。乙方可根据需要为其在房屋内部的装修、改进设施、库存、现金及其它有形资产和公共责任购买保险。Party A will, at its sole cost and expense, purchase (i) Property All Risk Insurance for the Premises with the Policy Form of Property All Risk at the replacement and/or reinstatement value of the Premises; and (ii) Public Liability In155、surance, which will include an Advertising Sign and Decorations Extension Clause, Elevators Liability Extension Clause and Cross Liability Extension Clause. The limits of indemnity for each insured event under the Public Liability Insurance will be One Million US Dollar (US$1,000,000.00) and no limi156、ts on the sums of limits of indemnity during the valid policy term. Party A will provide Party B with all the original insurance documents for Party Bs inspection, photocopy for record keeping, and will keep such Insurance Policies in full force and effect at all times during the Term of this Agreem157、ent. Party A ensures to include the insurance carriers Waiver of Subrogation Right in the Property All Risk Insurance Policy and Public Liability Insurance Policy, by which the insurance carrier waives its Subrogation Right against Party B. The insurance carrier will be a qualified insurance company158、 under relevant laws of the PRC. Without the prior written consent of Party B, neither Party A nor the insurance carrier will cancel the Insurance Policies or modify any terms of the Insurance Policies relating to the Premises under this agreement. Party A will name Party B as an additional insured 159、or beneficiary of all the Insurance Policies. If Party A does not name Party B as an additional insured or beneficiary of any of the Insurance Policies, Party A agrees to indemnify Party B for any actual losses arising from any event covered by the Property All Risk Insurance or Public Liability Ins160、urance in accordance with the insurance coverage and compensation principles stipulated in the relevant Insurance Policies. Party B may purchase insurance for internal renovations, improvements, inventory, cash and other physical assets within the Premises and public liability. 7.5 修复房屋 Restoration 161、of Premises 如房屋或大厦被损坏,且修复房屋或大厦的费用超过房屋或大厦重建费用的百分之五十(50%),则本协议自行终止,但此种终止不妨碍任何一方根据中国的有关法律向有过错责任方请求赔偿的权利。如果房屋或大厦受到损坏,并且修复房屋的费用不超过房屋或大厦重建费用的百分之五十(50%),则甲方应使用保险赔偿金将房屋或大厦修复至其原有的状态。如甲方未购买适当的保险,或如甲方未能在房屋或大厦损坏后及时用保险赔款修复房屋或大厦,致使乙方无法继续营业,乙方有权就所受到的损失向甲方索赔,并有权终止本协议。If the Premises or Building is damaged and the c162、ost of repairing and restoring the Premises or Building exceeds Fifty percent (50%) of the cost of rebuilding the Premises or Building, this Agreement shall automatically terminate, provided, however, that such termination shall not affect the right of either Party to claim damages against the defau163、lting party in accordance with the relevant laws of China. If the Premises or Building is damaged and the cost of repairing and restoring the Premises or Building does not exceed Fifty percent (50%) of the cost of rebuilding the Premises or Building, Party A shall use the insurance proceeds to resto164、re the Premises or Building back to its original condition. If Party A fails to purchase the appropriate insurance, or to apply the insurance proceeds to restore the Premises or Building immediately after the Premises or Building is damaged, and it is impossible for Party B to continue its business 165、operations due to such failure, Party B shall have the right to claim against Party A for all losses suffered and to terminate this Agreement.7.6 免 租 Rent Exempt 自房屋因受到损坏或毁损或不宜出租时起至修复工程竣工后三十(30)日止,甲方应免收租金。但由于乙方原因造成房屋出现前述情况,则乙方不享有免租的权利,且应承担维修责任。如果由于甲方原因造成供电或供水中断或其它甲方所引致的严重事故使乙方无法继续正常营业,则在乙方无法正常营业期间,甲166、方应免收租金并还应赔偿乙方因此而遭受到的全部损失。Party A shall not charge Rent during the period from the time the Premises is damaged, destroyed or not tenantable until Thirty (30) days after the restoration is completed. However, if such damage is caused by Party B, Party B shall be responsible for the repair and shall n167、ot enjoy a rent exemption. In the event of any interruption of the power and water supply or any serious accidents attributable to Party A, and as a result, it is impossible for Party B to continue its normal business operations, Party A shall not charge the Rent for the period during which Party B 168、is unable to run its business operations as normal and shall indemnify Party B for all losses suffered.第8条 大 楼Article 8 THE BUILDING8.1 建设的限制 Construction Restriction甲方承诺,在甲方大厦红线范围内(备注:1、“红线图”是指在土地使用权出让、转让过程中由政府规划部门制定的划定用地范围四至的图。2、“红线范围”是指四至由红线所划定的用地范围,即土地使用人在该区域内有土地使用权。)任何的对房屋结构有影响的新建、安装或改建,必须事先与乙方169、协商一致,并将方案报请有关政府部门批准后方可进行。若有必要,甲乙双方应就此另行签署相应的书面协议。Party A warrants that to the extent of the area within the Red Line of Party As Building (Note: 1. The Red Line Map means the map made by the governmental planning authorities for delimitating the boundaries of the four sides of a project land during 170、transfer and assignment of land use right. 2. The Red Line Area means the area whose four margins are marked by Red Line and within such area the land user has the right to use of the land.), any addition, installation or alteration, which may affect the structure of the Premises shall be subject to171、 the prior written consent of Party B and the approval of the relevant government authority. Party A and Party B shall enter into a subsequent agreement in writing for such purpose (as the case may be). 8.2 大楼维护 Maintenance of Building 甲方应使大厦、房屋或与大厦、房屋相连或对大厦、房屋有影响的任何外围部分及构筑物保持在良好的状态并自行支付相关费用,这些部分包括但172、不限于大厦、房屋结构、外墙、屋顶、地面 (仅限于甲方工程质量存在问题造成的情况)、公共区域地面、消防系统、管道管线、公共照明设备、红线界面(包括红线内地面)和停车区。Party A shall, at its sole cost and expense, maintain in good condition the Building and the Premises and any exterior erection and structure adjacent to or affecting the Building and the Premises, including, without 173、limitation, the structure of the Building and Premises, exterior walls, roofs, floors (to the extent that such defects are caused by quality defects of Party As construction) of the Premises, floor of the Common Area, fire protection systems, pipes and ducts, public lighting system, area within the 174、Red Line (including floor within the Red Line) and the Parking Area.甲乙各方应根据本协议附件八的约定,自行承担费用使大厦内的消防系统处于正常安全运行状态,包括但不限于确保大厦消防通道只能用于消防的用途;确保大厦内的任何消防出口每年三百六十五(365)天,每日二十四(24)小时可不间断地正常安全通行。Either Party shall, at its sole expense and cost, be responsible for keeping fire-prevention system in normal and sa175、fe condition in accordance with Exhibit VIII under this Agreemnt, including but not limited to, securing the fire-exit road within Building for fire-prevention purpose only; and to keep the fire exits within Building in normal and safe use without interruption Twenty-Four (24) hours a day and Three 176、Hundred and Sixty-Five (365) days a year. 8.3 排 它 性 Exclusivity 除非事先取得乙方的书面同意,甲方不得将大厦、房屋的任何部分或房屋周围由其占用、控制的任何物业的任何部分出租给任何从事与乙方或任何乙方的子公司、关联公司和母公司的业务相竞争的、经营业态形式与乙方经营业态形式相同或相似(如购物广场、会员商店、社区店)的,且营业面积在一千平方米(1,000M2)以上的零售业经营者。甲方保证,在本大厦及房屋之任何部份內不会从事或允许他人从事任何违法、不道德及不正当之用途,或赌博,或任何危险性、剧毒性、产生噪音或有危害性之行业或业务或任何可能导177、致乙方及乙方的分租户的正常经营受到滋扰、不便或损害的用途。Party A shall not, without the prior written consent of Party B, lease any part of the Premises and Building or the adjacent areas of the Premises or any part of any property controlled and possessed by Party A to any party who engages in a retail business identical or s178、imilar in business form to or with that of Party B (such as supercenter, clubs and/or neighborhood market), and in constitutes competition with the business of Party B or any of its subsidiaries, affiliated companies or parent companys business and with a retail operation area for over One Thousand 179、square meters (1,000M2). Party A undertakes that, not to use, cause or permit a third Party to use any part of the Building and Premises for any illegal, immoral or improper purpose, or for gambling or any dangerous, noxious, noisy or offensive trade or business, or any purposes whatsoever in any wa180、y that may cause any nuisance, annoyance, inconvenience, damage or damages to or suffered by Party B and Party Bs sublessee.第9条 税 费Article 9 TAXES AND LEVIES9.1 甲方的责任 Party As Liabilities 在本协议期限内,甲方应负责支付一切与大厦、房屋、公共区及停车区有关的房产税、土地使用费、房屋租赁管理费或房屋租赁手续费。如果中国法律法规或政府规范变更,双方按修改的中国法律法规及政府规范执行。During the Term 181、of this Agreement, Party A shall be responsible for the payment of all property taxes, land use fees property lease administration fees or property leasing fees in connection with the Building, Premises, Common Area and Parking Area. In the event of occurrence of any modification to the laws and reg182、ulations of China or government rules, this Agreement shall be performed pursuant to the modified PRC laws and regulations or government rules. 9.2 乙方的责任 Party Bs Liabilities 乙方应负责支付其在房屋内从事零售业务经营及其它业务所引起的一切税项。Party B shall be responsible for the payment of all taxes arising from its retail business 183、and other taxes pertaining to Party Bs business within the Premises.9.3 其它税费 Other Taxes and Levies 对于任何其它税费,双方应按中国的有关法律,各自承担其应承担的部分。The Parties shall assume their respective liabilities for any other taxes and levies in accordance with the relevant laws of China.第10条 公用设施Article 10 PUBLIC UTILITIES184、10.1 提供设施 Supply of Utilities 甲方交付给乙方的房屋应按本协议附件四的要求接好所有必要的公 用设施,包括供水、污水排放、电力、煤气、电话线接口、有线电视接口、DDN专线、货梯、客梯、自动坡道。公用设施的容量和规格须满足本协议附件四的要求。The Premises delivered to Party B by Party A shall be properly connected to all necessary utilities, including the facilities for the supply of water, sewage disposal,185、 electricity, gas, telephone connection, cable TV connection, DDN, freight elevators, passenger elevators, travellators and in accordance with Exhibit IV. The capacities and specifications of such utilities shall meet the requirements as set forth in Exhibit IV hereto.10.2 费 用 Charges 乙方应直接向提供公用设施的市186、政单位支付房屋的水费、排污费、煤气、电费、电话费、DDN专线费、有线电视收视费以及与乙方的营运有关的其它设施费用。Party B shall pay the charges to the municipal utility supply authorities for the use of water, sewage, electricity, gas, telephone,cable TV, DDN and other utilities arising from Party Bs operations.第11条 陈述和保证Article 11 REPRESENTATIONS AND WAR187、RANTIES11.1 甲方的陈述和保证 Party As Representations and Warranties 甲方向乙方陈述和保证如下:Party A represents and warrants to Party B that:(1) 甲方系本协议项下房屋的所有权人,在本协议期限内甲方可向任何银行或任何其它第三方抵押房屋及其相关权益,但该抵押在任何情况下不得影响乙方在本协议期限内根据本协议的条件和条款占有、控制和使用房屋、公共区或停车区的权利。甲方就房屋设定任何形式的抵押或就原有抵押进行变更时,甲方应使其抵押权人承诺,乙方有权在本协议期限内继续享有及执行本协议并不被附加其它任何188、条件,并将该承诺在办理抵押手续前以书面的形式提交给乙方。该房屋若有和产生任何法律纠纷,甲方也应立即书面通知乙方;Party A is the owner of the Premises under this Agreement and, before execution of this Agreement, Party A may, during the Term of this Agreement, mortgage the Premises and its related interests to any bank or any other third party, provided, h189、owever, that such mortgage shall not in any case affect Party Bs rights to posses, control and use the Premises, the Common Area or the Parking Area during the Term pursuant to the terms and conditions of this Agreement. In the event that Party A mortgages the Premises or makes any changes to the ex190、isting mortgage, Party A shall obtain the mortgagees promise that Party B shall have the rights to consistently enjoy and perform this Agreement without any additional conditions during the Term of this Agreement and Party A shall submit such promise in writing to Party B before Party A starts the p191、rocedure of mortgaging. Party A shall also notify Party A immediately of any dispute it is aware of, which is arising from or in connection with the Premises.(2) 甲方已获得有关政府部门合法授予的房屋的土地使用权,并且该使用权的期限不短于本协议的租期或任何一个续约期的期限;Party A has been granted by the proper governmental authority the Land Use Right fo192、r the Premises, of which the term is no shorter than the Initial Term or any Extension Period of this Agreement;(3) 甲方已付清与房屋土地使用权有关的税款或费用;Party A has paid in full all taxes or levies related to the Land Use Right for the Premises;(4) 甲方有权按本协议的规定将房屋出租给乙方;Party A has the right to lease the Premises to193、 Party B in accordance with the provisions of this Agreement;(5) 乙方在本协议的期限内为任何合法目的使用房屋或停车区的权利均不受现有的或未来的任何合同或其它安排的限制;Party Bs right to use of the Premises or Parking Area for any lawful purpose during the Term of this Agreement is not subject to any restriction under any existing or future contract o194、r arrangement; (6) 房屋及房屋之下的土地不含有危险废料、有毒物质、石棉或环境污染物(甲方建设过程中所不能正常预见的情况除外);The Premises or the land on which the Premises is built contains no hazardous wastes, toxic materials, asbestos or any pollutants to the environment, excluding those normally unforeseeable situations during the construction peri195、od of Party A; (7) 代表甲方签署本协议的人为甲方的授权代表;及The person who shall execute this Agreement on behalf of Party A is the authorized representative of Party A; and (8) 甲方应按本协议第5.4条取得房屋租赁所需的一切政府许可或批文。Party A shall obtain all governmental permits and approvals required pursuant to the terms and conditions of Ar196、ticle 5.4 of this Agreement for leasing the Premises.11.2 甲乙双方的陈述和保证 Representations and Warranties of Both Parties 甲方和乙方确认并接受,下列内容属本房屋租赁协议项下重要条款,对下列任何条款的违反,将构成严重违反本房屋租赁协议:Party A and Party B both confirm and accept hereby that the following sections are essential to this Agreement. Violation of any197、 of these sections shall be considered a material breach of this Agreement:(1) 双方在此同意并确认,在履行本房屋租赁协议或双方其它协议 (若有该等其它协议)过程中、或履行因本房屋租赁协议或双方其它协议而产生的义务过程中,甲方不得聘用、使用童工和/或罪犯和/或劳教人员;Both Parties hereby agree and confirm that Party A shall not employ nor use any child labor, criminals and/or persons undergoin198、g the correction in the implementation of this Agreement or other agreements, if any, between the Parties, or in the performance of the obligations arising from or in connection with this Agreement or the other agreements;(2) 双方在此同意并确认,在履行本房屋租赁协议或双方其它协议 (若有该等其它协议)过程中、或履行因本房屋租赁协议或双方其它协议而产生的义务过程中甲方不得强199、制劳工生产、劳动。Both Parties hereby agree and confirm that Party A is prohibited from forcing labor to work in the implementation of this Agreement or other agreements, if any, between the Parties, or in the performance of the obligations arising from or in connection with this Agreement or the other agree200、ments.11.3 反腐败条款 Anti-Corruption 本协议每一方同意,在根据本协议进行的商务及其他活动的过程中及 其与本协议下的资产有关的事项中,其将严格遵守中国反腐败和反贿赂的所有法律和规定。一方在此向另一方声明、保证及承诺其没有,并约定和同意将不会在其根据本协议进行任何活动的过程中直接或间接地对(1) 任何政府官员和/或政府雇员或任何公共机关的雇员,或(2) 任何政党或政党的官员或候选人,为获得或保持某项业务或得到任何不当利益,而在其或其全资或拥有部分所有权的关联公司的业务活动中支付、承诺支付或表示会支付任何款项或转让任何有价物品。双方的意图为禁止以贿赂、商业贿赂、接受或默许201、索贿及其它违法或不当的获取业务的方式为目的或有该等效果的付款或有价物的转让。甲方将(a) 就其在本协议下的所有收款及付款在财务账册和记录中作准确和完整的记载, (b) 并授权乙方及乙方的代表在本协议期间和本协议终止或结束后一(1)年内,在提前一(1)周书面通知的前提下,在正常工作时间查阅本协议下的所有收款及付款的财务账册和记录以检查业主遵守本条约定的情况。甲方和乙方同意,双方将尽力配合相关机构就本条所述事项的查询(若有该等查询)。Each of the Parties agrees that it will take no action in violation of the PRC anti202、-corruption laws and regulations in relation to the business or assets or its activities under this Agreement. Each party hereby represents, warrants and covenants to the other party that it has not, and covenants and agrees that it will not, in connection with any activities under this Agreement, m203、ake or promise or offer to make any payment or transfer of anything of value, directly or indirectly (i) to any government official and/or any employee of any government or any public authority; or (ii) to any political party or officials or candidates thereof in connection with any of its business 204、activities or the business activities of its wholly- or partially-owned affiliates in order to obtain or retain business or to secure any improper advantage. It is the intent of the Parties that no payments or transfers of value shall be made which have the purpose or effect of public or commercial 205、bribery, acceptance of or acquiescence in extortion, or other unlawful or improper means of obtaining business. Party A will (a) maintain accurate books, records and accounts for all payments received and all payments made under this Agreement; and (b) grant to Party B and its representatives access206、 to such books, records and accounts for all payments received and all payments made under this Agreement during normal business hours upon the One (1) week prior written notice, for the life of this Agreement and for One (1) year thereafter, for the purposes of auditing compliance by Party A with t207、his Section. In the event that Party A fails to correct 213、the violation(s) or cure the misrepresentation(s) within the above period, Party B shall have the right to terminate this Agreement and resort to any other remedies in accordance with the provisions contained herein and/or the relevant laws of China.第12条 转让和分租;优先购买权Article 12 ASSIGNMENT AND SUBLEASI214、NG; PREEMPTIVE PURCHASE RIGHT 12.1 权益的转让 Assignment of the Rights and Interests 在本协议期限内,经书面通知甲方,乙方(包括按本条规定接受转让 的乙方的关联方)可将本协议项下的全部或任何权利和义务转让给任何乙方的关联方包括但不限于任何由乙方或乙方的关联方参与组建的任何公司。若受让方无意在租赁区域内继续以沃尔玛的品牌从事零售业经营,甲方有权拒绝该转让,在此情形下,经提前六(6)个月书面通知甲方,乙方可终止本协议且无需承担任何责任。During the Term of this Agreement, upon prior215、 written notice to Party A, Party B (including any affiliated party of Party B who is the assignee under this Article) may assign all or any of its rights and obligations under this Agreement to any affiliated party of Party B, including but not limited to any company established by Party B or its a216、ffiliated company. In the event the assignee does not intend to continue to operate a retail business in the Leasehold under the brand of Wal-Mart, Party A has the right to reject such assignment; in this case, Party B may, upon Six (6)-month prior written notice to Party A, terminate this Agreement217、 without bearing any liabilities to Party A.12.2 乙方的分租 Party Bs Sublease 甲方同意,在整个租期内,乙方有权随时经书面通知甲方即可将部分或全部房屋分租或转租。如乙方需将房屋全部的租用面积分租和/或转租给任何第三方,则任何一方有权选择:(i) 同意乙方将房屋全部的租用面积分租和/或转租给任何第三方;或者, (ii) 在全部租用面积分租和/或转租期间,乙方应支付的租金可在原同期租金的基础上递增百分之二十(20%)。分租户或受转租人在遵守本协议约定下可将房屋用于合法的经营用途。本协议项下的权利和义务仍由甲方和乙方继续享有和承担。P218、arty A agrees that, Party B will have the right, upon written notice from Party B to Party A, to sub-lease or assign any part up to the entire Premises at any time during the Term. If Party B needs to sub-lease and/or assign the whole Leased Area to any third party, either of the Parties shall have 219、the right: (i) to accept Party Bs sub-letting and /or assigning the whole Leased Area to any third party; or (ii) during the sublease and/or assign period of the whole Leased Area, the Rent Party B will pay may increase by Twenty percent (20%) on the basis of the original Rent for such corresponding220、 period. The sub-lessee or assignee may use the Premises for any lawful commercial purposes in accordance with this Agreement. If Party A breaches this Article, Party B will be entitled to withhold the Rent immediately and have the right to terminate this Agreement and Party A will be obliged 223、to compensate Party B for all the damages suffered by Party B therefore. 12.4 优先购买权 Preemptive Purchase Right 在本协议期限内,如甲方有意出售部分或全部租赁标的物给任何第三 方,则甲方须向乙方发出书面通知,并提供第三方所提出的价格及购买条件的书面说明。若乙方对甲方提供的前述书面说明存有疑问,乙方有权要求甲方提供由该第三方出具的书面证明。乙方在收到通知及证明后,有权按照通知及证明中的相同价格和购买条件优先购买。乙方应在收到甲方该等通知及证明后三十(30)天内决定是否购买。但在任何情况下,甲224、方与任何第三方的最终转让价格和购买条件不得优于甲方向乙方提供的书面说明。乙方对租赁标的物之任何部分产权的转让未行使优先购买权,不影响乙方在此后租赁标的物其它部分产权转让时,仍享有优先购买权。During the Term of this Agreement, in the event that Party A intends to transfer a part or all of the Leasehold to any third party, Party A should notify Party B in writing and provide Party B with written225、 explanation regarding the price and conditions offered by the third party. In the event that Party B has any doubt regarding such written notice of Party A, Party B is entitled to ask Party A to provide Party B with the third partys written proof. Party B shall have the pre-emptive right to purchas226、e such part or all of the Leasehold for sale at the same price and conditions provided in the aforesaid written notice and proof following its receipt of such notice and proof. Party B shall decide whether or not to make the purchase within Thirty (30) days following its receipt of such notice and p227、roof from Party A. Under no circumstances should Party A transfer such part or all of the Leasehold to any third party at price and conditions more preferential than those provided in aforesaid written notice and proof given by Party A to Party B. The non-exercise by Party B of its pre-emptive right228、 to purchase with respect to any part of the Leasehold for sale shall not adversely affect the exercise by Party B of its pre-emptive right to purchase from Party A any other part of the Leasehold for sale thereafter. 双方确认,本12.4条为甲方于本协议项下的重要义务,甲方须向欲购买部分或全部租赁标的物的第三方披露本第12.4 条所约定的全部内容。甲方对任何本12.4条项下的义务229、的违反构成其在本协议项下的严重违约。若甲方未能履行其在本12.4条项下的义务而将租赁标的物或部分租赁标的物出售,甲方应至迟在该租赁标的物或部分租赁标的物出售之日起三十(30)个工作日内向乙方支付相当于全部租赁标的物届时二(2)个月租金款项的违约金,乙方有权将前述违约金从应向甲方支付的租金中(若有)扣除。租赁标的物或部分租赁标的物的受让人(“受让人”)对甲方支付前述违约金的义务承担连带责任保证,即,若甲方未能按本款约定向乙方支付前述违约金,乙方可从应向受让人支付的租金(若有)中扣除前述违约金。在此情况下,受让人仍有义务根据本协议第4条所约定的租金金额向乙方提供租金发票。Both Parties 230、hereby confirm that this Section 12.4 is Party Bs essential obligation under this Agreement and Party A shall disclose all of the content of this Section 12.4 to any third party who intends to purchase any part or all of the Leasehold. If Party A transfers any part or all of the Leasehold in breach of this Section 12.4, Party A shall pay to Party B an amount equal to Two (2) months then-current rent for the whole Leasehold as compensation within Thirty (30) days fol232、lowing such transfer. Party B shall have the right to deduct such compensation from the Rent (if any) payable to Party A. The assignee (“Assignee”) of the Leasehold or part of the Leasehold Property shall be jointly liable for the payment of the aforesaid compensation by Party A to Party B, which me233、ans that Party B is entitled to deduct the compensation from the Rent (if any) payable to the Assignee in case of Party As failure to make the payment of the compensation to Party B under this Section. Party A shall provide Party B with a legal opinion from a licensed Chinese lawyer engaged by Party A to ensure to Party B that the third party buyer has the legal qualificatio244、ns and capacity required under the Chinese laws, regulations and rules for the purchase of the Leasehold and for the lease of the Leasehold to Party B.第13 条 提前终止Article 13 EARLY TERMINATION 13.1 不可抗力 Force Majeure 如本协议的任何一方因不可预见、无法控制、非因无法履行义务一方的过错或疏忽所致的不可抗力而无法履行其义务,包括乙方无法继续其正常经营活动,则无法履行义务一方应立即书面通知另一245、方。如该不可抗力自另一方收到通知后持续超过三十(30)日,则无法履行义务的一方可解除本协议而无须向另一方承担任何责任。在不可抗力存续期间,无法履行义务的一方可暂时不履行其义务,也无须对另一方由此引起的任何损失、不便、麻烦或不适进行赔偿。任何相关的期限应根据该事件所影响的期限相应顺延。当不可抗力事件消失时,无法履行义务的一方应继续履行其义务。In the event that either Party is unable to perform its obligations hereunder, including the inability of Party B to continue its246、 normal business operations, due to an event of Force Majeure that is unforeseeable, uncontrollable and is not caused due to the fault or negligence of the non-performing party, the non-performing party shall immediately notify the other party in writing. If such event of Force Majeure persists for 247、more than Thirty (30) days following the receipt of such written notice by the other party, the non-performing party may terminate this Agreement without any liability to the other party. As long as such Force Majeure exists, the non-performing party shall be temporarily relieved from the performanc248、e of its obligations and shall not compensate the other party for any damages, inconveniences, nuisances or discomfort incurred thereby. Any related deadline shall be extended by a period equal to the period of delay caused by such event of Force Majeure. Notwithstanding any other provisions to the contrary herein, no event shall Party B be liable to Party A for any consequential damages. 13.4 乙方解除权 Party Bs Right of Termination 无论本协议的其它条款如何规定,因下列情形之一,乙方有权解除本协议:Notwithstanding any other provisions of this Agreement, in the even257、t that any one of the following circumstances occurs, Party B has the right to terminate this Agreement: (1) 自第六(6)个租约年起,乙方有权以任何理由在提前六(6)个月向甲方发出终止合同的书面通知后,提前解除本协议;除本协议已有的规定外,如乙方在第六(6)个租约年前单方面终止租赁协议,应视为严重违约行为;From the Sixth (6) Lease Year, Party B has the right to early termination of this Agreement 258、for any reason upon giving Six (6) months prior written notice of termination to Party A. (2) 无论本协议任何其他条款如何规定,如果自本协议259、签订之日起十二(12)个月内,乙方尚无法取得中国政府有关部门所颁发的同意乙方在房屋内营业的营业执照,乙方有权在向甲方发出书面通知后立即解除本协议;Notwithstanding any other provisions of this Agreement, in the event that Party B fails to obtain the business license for its business operations within the Premises from the relevant Chinese governmental authority within Twlv260、e (12) months as from the execution date of this Agreement, Party B has the right to terminate this Agreement immediately after giving written notice to Party A;(3) 甲方未能按本协议第5.2条的约定实现进场日,则乙方有权自行选择:(i)要求甲方按迟延实现进场日的日数,每日向乙方支付人民币叁萬圆(RMB30,000.00)的违约金,并赔偿乙方的全部损失,乙方向甲方提供与违约金等额的法律规定的合法有效的票据;(ii)终止本协议,甲方仍须261、按迟延实现进场日的日数每日向乙方支付人民币叁萬圆(RMB30,000.00)的违约金至本协议终止之日;If Party A fails to achieve the Starting Date of Construction in accordance with Article 5.2, Party B will, at its sole discretion, have the right to (i) claim a breach fee of RMB Thirty Thousand Yuan (RMB30,000.00) for each overdue day, and to requ262、est Party A to compensate Party B for all the losses suffered by Party B therefrom, as well as provide Party A a lawful and valid invoice or receipt in an amount equal to the breach fee; (ii) terminate this Agreement, in which case, Party A will pay to Party B the breach fee of RMB Thirty Thousand Y263、uan (RMB30,000.00) for each overdue day till the termination date of this Agreement;(4) 甲方违反本协议第5.1条的约定,未能在收到修理清单后的十五(15)日内完成所有的修理项目;对此,乙方有权自行决定:(A乙方认为甲方未能完成的修理项目影响到乙方不能开业或经营的,乙方有权根据本条规定终止本协议;或(B)乙方可自行完成与商场开业有关的或必要的修理项目。甲方同意承担因其未履行本条款而由乙方自行完成修理项目而产生的所有费用和支出。乙方可自行将该等费用和支出充抵应付租金直至该项费用和支出全部抵扣完毕为止;In th264、e event that Party A violates Article 5.1 of this Agreement by failing to cure all the Defects within Fifteen (15) days from the receipt of the Defects List, Party B, may at its sole discretion, either (a) terminate this Agreement pursuant to this provision if Party B deems that the Defects that Par265、ty A fails to cure has prevented Party B from opening or operating its business; or (b) Party B itself may perform such repair works that pertain to or are necessary for the opening of the Supercenter itself. Party A agrees to reimburse Party B for all the fees and expenses incurred as a result of P266、arty As nonperformance as described herein. Party B may, at its sole discretion, offset its Rent payable with the amount of such fees and expenses until such amount has been satisfied. (5) 甲方未能按本协议第5.3条规定的交付日将租赁标的物交付给乙方或未能按第5.4条的约定交付相关文件。则乙方有权自行选择:(i)若逾期一(1)个月以内交付,甲方应根据迟延交付的日数按每日人民币叁萬圆(RMB30,000.00)267、的标准向乙方支付的违约金,乙方向甲方提供与违约金等额的法律规定的合法有效的票据;(ii) 若逾期一(1)个月或以上交付,乙方有权按本条的规定解除本协议,甲方仍须按迟延实现交付日或未能按第5.5条的约定交付相关文件的日数每日向乙方支付人民币叁萬圆(RMB30,000.00)的违约金至本协议终止之日。If Party A fails to deliver the Leasehold Property to Party B on the Possession Day as set forth in Article 5.3 or fails to provide Party B with the re268、levant documents in accordance with Article 5.4, Party B will, at its sole discretion, has following options: (i) such delay is less than one (1) month, Party A will pay Party B a breach fee according to RMB Thirty Thousand Yuan (RMB30,000.00) for each overdue day, then, Party B will provide Party A269、 a lawful and valid invoice or receipt in an amount equal to the penalty; (ii) such delay is more than one (1) month (including one (1) month), Party B may terminate this Agreement in accordance with this Article, Party A will pay to Party B the breach fee of RMB Thirty Thousand Yuan (RMB30,000.00) 270、for each overdue day till the termination date of this Agreement.(6) 甲方违反本协议第6.1条的约定,使乙方无法按其经营目的使用房屋;It is impossible for Party B to continue using the Premises for its business purpose due to Party As violation of Article 6.1 of this Agreement; (7) 甲方违反本协议第7.3条的规定,不承担维修责任或支付维修费用,致使乙方无法继续租用房屋经营其业务的;271、Party A violates Article 7.3 of this Agreement by not undertaking the repair responsibility or not reimbursing the costs of repairs, and thereby makes it impossible for Party B to continue operating the Premises for its business purpose; (8) 甲方违反本协议第8.1条的规定,未经乙方同意或有关部门的批准(如有必要批准),将房屋进行改建、扩建。Party A 272、violates Article 8.1 of this Agreement by renovating or expanding the Premises without the consent of Party B or the approval of the relevant authorities (if applicable).(9) 甲方违反本协议第8.3条的规定,未经乙方事先书面同意将房屋出租乙方竞争者或从事第8.3条所禁止的业务。Party A violates Article 8.3 of this Agreement by leasing the Premises to P273、arty As competitors or by engaging in the business forbidden under Article 8.3 without the prior written consent of Party B. 如乙方因上述(3)、(4)、(5)、(6)、(7)、(8)项理由解除本协议的,乙方应书面通知甲方。甲方应赔偿乙方因此而遭受到的直接损失和与乙方购物广场经营有关的营业损失,且乙方可行使法律规定的所有其它的救济方法。 In the event that Party B terminates this Agreement for the reasons 274、as specified in the above (3), (4), (5), (6), (7), (8), it shall notify Party A in writing. In such event, Party A shall indemnify Party B for the direct losses thereof suffered by Party B and other losses in connection with Party Bs operation of the Supercenter, and Party B may pursue any other rem275、edies provided by law.(10) 因可归因于甲方的原因,乙方在房屋内从事经营的营业执照被中国政府吊销,或因其它原因乙方不被允许继续在中国或中国 西安市经营业务,乙方可解除本协议而无需承担任何责任; If Party Bs business license for its business operation within the Premises is revoked by the relevant authority of China due to any reason attributable to Party A or Party B is not allowed t276、o carry out its business within China or Xian City of China for any other reason, Party B may terminate this Agreement without any liability; (11) 因可归因于乙方的原因,乙方在房屋内从事经营的营业执照被中国政府吊销,或乙方不被允许继续在中国或中国的西安市经营业务,乙方有权在支付租金的前提下,在四(4)个月内重新申请营业执照;若乙方在上述四(4)个月内仍不能取得营业执照, 乙方有权解除本协议而无须承担任乙方有权解除本协议而无须承担任何责任;或,乙方可根277、据本协议第12.1条的约定转让本协议;If Party Bs business license for its business operation within the Premises is revoked by the relevant authority of China or Party B is not allowed to carry out its business within China or Xian City due to any reason attributed to Party B, Party B may reapply its business license278、 within the following Four (4) months upon paying the conrresponding rent; if Party B fail to obtain its business license during above Four (4) months, Party B may terminate this Agreement without any liability; or, Party B is entitled to assign this Agreement according to the Article 12.1 under thi279、s Agreement; (12) 因可归因于第三方的原因,乙方在房屋内从事经营的营业执照被中国政府吊销,或乙方不被允许继续在中国或中国西安市经营业务,乙方可解除本协议而无需承担任何责任; If Party Bs business license for its business operation within the Premises is revoked by the relevant authority of China or Party B is not allowed to carry out its business within China or Xian City of Ch280、ina due to any reason attributable to third party, Party B may terminate this Agreement without any liability; (13) 除因乙方过错外,根据本协议第10.1条提供的任何设施不能持续地提供服务,且该状态持续了三十(30)天或三十(30)天以上。对此,乙方有权自行选择:(i) 乙方通知甲方终止本协议;或(ii) 甲方将赔偿乙方因此而遭受到的全部损失。Except for Party Bs default, if utilities referred to in Article 10.1 281、of this Agreement can not continuously provide service for a consecutive period of Thirty (30) days or longer, Party B will, at its sole discretion, have the right to: (i) terminate this Agreement by giving a notice to Party A; or (ii) Party A will compensate the whole loss Party B suffering therefo282、re.第14 条 违约责任Article 14 LIABILITY FOR BREACH14.1 责任条款 Liability 如任何一方严重违反本协议并且未能及时纠正,另一方有权要求违约方继续全面正确地履行本协议,或解除本协议并要求违约方赔偿其因此而产生的损失。若守约方要求解除本协议,应事先书面通知违约方。If one Party materially breaches this Agreement and does not cure such breach promptly, the non-defaulting Party shall have the right to either d283、emand the defaulting party to perform this Agreement in full or terminate this Agreement and claim damages caused by such defaulting party. In the event that the non-defaulting party terminates this Agreement, it shall give prior written notice to the defaulting party. 14.2 赔偿范围 Compensation 若任何一方严重284、违反本协议项下的任何责任,应赔偿另一方因此而遭受到的损失,包括但不限于实际损失及预期收益。In the event that one Party materially breaches this Agreement, thereby causing any damages and/or losses to the other Party, the defaulting party shall be liable for the damages and/or losses suffered by the non-defaulting party, including but not limite285、d to the actual damages and/or losses and any foreseeable profits. 第15条 交还房屋 Article 15 VACATION OF THE PREMISES 15.1 交还房屋 Vacation of the Premises 本协议期限届满或解除时,乙方应在期限届满或通知解除后的六十(60)日内将房屋清理干净并交还给甲方。在此六十(60)日内,除本协议另有约定,乙方无需向甲方支付任何租金。Within Sixty (60) days upon the expiration of the Term or the receipt286、 of the termination notice, Party B shall clean up the Premises and return the Premises to Party A unless otherwise agreed to by the Parties in this Agreement. Party B shall not be obliged to pay any Rent to Party A during these Sixty (60) days. 15.2 良好状态 Good Condition 乙方同意,在本协议约定的期限将房屋恢复到良好状态并归还给甲287、方。正常使用所导致以及本协议另有约定的损害、磨损,乙方不承担责任(但由于乙方不正当使用所造成的设施或房屋结构的破坏除外)。Party B agrees to return to Party A the Premises in Good Condition on the date agreed in this Agreement. Party B is not responsible for the damage or wear and tear caused by normal use, except for the damages of the facilities or Premises 288、structure due to Party Bs improper use. 15.3 拆除装置 Removal of Fixtures在本协议期限届满或解除时,乙方应在期限届满或通知解除后的六十(60)日内拆走房屋内所有由乙方改建和安装的财物并清理干净。Within sixty (60) days of the expiration of the Term or the termination of this Agreement, Party B shall remove all movable items and fixtures installed by Party B from th289、e Premises and leave the Premises in broom clean condition.15.4 乙方赔偿 Party Bs Liability 如果在本协议第15.1条约定的期限内,若因乙方的原因,乙方未将房屋清理干净并交给甲方,或未按15.2条的规定对损坏做相应的修复,每拖延一日,须按届时租金标准的两(2)倍按日支付占用费及本协议约定的其它费用,且乙方不再享受免费使用甲方提供的两(2)个停车位、公共区域,也不再享受本合同承租人其它权利。In the event that Party B fails, as attributed to Party B, to r290、eturn the Premises to Party A in broom-clean condition within the period set forth in Article 15.1 of this Agreement, or fails to cure any damages to the Premises in accordance with Article 15.2 of this Agreement, Party B shall pay an occupational fee and other fees provided in this Agreement to Par291、ty A for each delayed day in an amount equivalent to Two Hundred Percent (200%) of the then-applicable daily Rent of that Lease Year and shall not have the rights to exclusively use the Two (2) parking spaces and the Common Area provided by Party A for free or any other rights assigned to the tenant292、 in this Agreement. 第16条 适用法律和争议的解决Article 16 APPLICABLE LAWS AND RESOLUTION OF DISPUTES16.1 管辖法律 Governing Laws 本协议的效力、解释和执行受中国法律管辖。对任何事项若无中国法律适用,则应参照一般国际商业惯例办理。The validity, interpretation and implementation of this Agreement shall be governed by the laws of China. In the event that there is no ap293、plicable law of China governing any of the matters, references shall be made to generally accepted international commercial practices. 16.2 仲 裁 Arbitration 如因本协议发生任何争议,双方应首先尝试通过友好协商解决争议。如双方在开始进行协商之日起九十(90)日内仍不能通过友好协商解决争议,则任何一方均可将该争议提交中国国际经济贸易仲裁委员会,依据申请仲裁时该会当时有效的仲裁规则在北京进行仲裁。仲裁应以中、英文进行并且两种语言具同等效力和权威性。294、In the event of any dispute arising from or associated with this Agreement, the Parties shall attempt in the first instance to resolve such dispute through friendly consultation. If the Parties can not solve the dispute through friendly consultation within Ninety (90) days after the commencement of 295、such consultation, either Party may submit the dispute before the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with CIETACs then effective Arbitration Rules in Beijing. The arbitration shall be conducted in both Chinese and English while both l296、anguages shall be equally effective and binding. 16.3 具约束力的裁决 Binding Award 仲裁裁决是终局的,对双方均具有约束力。仲裁费用由败诉方承担。The arbitration award shall be final and binding on the Parties. The costs and fees of the arbitration shall be borne by the losing party. 16.4 裁决的执行 Enforcement of the Award 如任何一方不履行仲裁裁决,另一方可向有297、管辖权的法院申请强制执行。与强制执行有关的费用由不履行裁决的一方承担。If either party fails to perform the Arbitration Award, the other party may apply to a court with competent jurisdiction for the enforcement of such Award and the expenses in connection with such enforcement shall be borne by the non-implementing party. 16.5 权利和义务继298、续存在 Survival of Rights and Obligations 当发生争议并通过友好协商或仲裁解决时,除争议的事项外,双方可继续行使其在本协议项下的其余权利,并应履行其在本协议项下的其余义务。In the event that there is any dispute under friendly consultation or arbitration, the Parties shall continue to exercise their remaining rights and perform their remaining obligations pursuant to 299、this Agreement, respectively, except those under dispute(s). 第17条 其它规定Article 17 MISCELLANEOUS17.1 通 知 Notices 与本协议有关的任何通知应用中文或英文书写,并应由专人交付或挂号邮递方式发出。根据本协议的规定发出的通知或通讯的送达,如由专人交付,为交付当日视为送达;以挂号邮寄方式发出,信件寄出五(5)日后视为送达。除非一方事先规定了不同的地址,通知的地址如下:Any notice relating to this Agreement shall be made either in Chin300、ese or English and delivered by hand or by registered mail. The receipt date of such notice or communication shall be deemed the same date of the send-off in the case of delivery by hand and Five (5) days after the dispatch in the case of delivery by registered mail. Unless a Party specifies a diffe301、rent address in advance, the delivery address to each Party shall be as follows: 传真/ Fax: 乙 方:沃尔玛深国投百货有限公司Party B: Wal-Mart SZITIC Stores Co., Ltd.地 址:中国广东省深圳市罗湖区洪湖路湖景花园1-3层楼Address: 1-3/F, Lakeview Garden, Luohu District, Shenzhen, Guangdong Province China收 件 人:总 裁Attention : President 17.2 效 力 Eff302、ectiveness 本协议自签署之日起正式生效,本协议自签署之日起应构成对双方具法律约束力的义务。This Agreement shall become effective upon the execution of both Parties and shall constitute a legally binding documentation to both Parties. 17.3 保 密 Confidentiality 双方同意,就任何及一切从本协议产生或与之有关的资料,包括双方 之间所进行的讨论本身、任何及一切有关房屋的资料、设计及建筑规格、双方之间一切讨论的内容或任何一方提供的303、尚未为公众所知悉的任何资料为保密资料(“保密资料”)。除为本协议明确规定的用途外,任何一方不得使用或允许使用保密资料,也不得未经另一方书面同意,向除其及其任何关联公司中需要知道上述保密资料的高级职员、雇员、代理人或代表以外的任何人或任何实体披露或允许披露上述保密资料。The Parties agree that, any and all facts and materials arising from or related to this Agreement are “Confidential Information”, which shall include but not be limit304、ed to, the very existence of and the content of any and all the discussions between the Parties, any and all documents, design and construction specifications concerning the Premises and any information provided by one Party to the other but is not known to the general public yet. Without prior writ305、ten consent of the other Party, neither party shall use or permit any use of such Confidential Information except for the purposes expressly contemplated in this Agreement, nor shall either party disclose or permit disclosure of such Confidential Information to any person or entity other than the of306、ficers, employees, agents or representatives of such Party and its affiliates whose knowledge of such information is necessary. 在任何情况下,非经乙方每一次书面授权,甲方不得使用沃尔玛百货 公司(“沃尔玛”)或任何以及所有沃尔玛关联公司包括但不限于乙方的商标、品牌名称、标志和设计。甲乙双方同意在任何情况下乙方授予甲方使用沃尔玛商标、品牌名称、标志和设计的每一次书面授权,均不应视为授予甲方独占的、可转让的许可权。无论乙方有多少次书面授权及授权内容如何,这些使用沃尔玛商标307、品牌名称、标志和设计的书面授权均将随着本协议的到期或终止而同时自动强行终止。In any event, without specific written permit by Party B in each case, Party A shall not use, including but not limited to, the trademark, brand name, logo and design that belong to either Wal-Mart Stores Incorporation (“Wal-Mart”) or any of its affiliates. Bot308、h Party A and Party B agree that, in the case that a written license is granted by Party B to Party A for its use of such trademark, brand name, logo and design, such license shall be non-exclusive and non-transferable, and all the licenses shall simultaneously terminate on the expiration of the Ter309、m or termination of this Agreement regardless of how many licenses are given to Party A and what the terms of them are. 17.4无持续运营沃尔玛购物广场的义务No obligation to continuously operate Wal-Mart supercenter双方同意,除因租赁标的物的装修改建改造工程施工而导致的乙方不能持续不断地运营沃尔玛购物广场的情形外,在本协议租期内,如乙方不能持续不断地运营沃尔玛购物广场,则在乙方不能持续不断地运营沃尔玛购物广场期间,乙方310、除需按届时的租金标准支付租金外,还需向甲方支付届时租金标准的百分之二十(20%)金额的款项作为补偿金。在乙方根据本协议的条件和条款履行其支付租金的义务的条件下,乙方没有义务在租赁标的物内持续不断地运营沃尔玛购物广场。The Parties agree that, except for Party Bs failure to operate Wal-Marts supercenter due to Party Bs decoration, reconstruction and renovation of the Leasehold Property, during the Term of thi311、s Agreement, in the event that Party B fails to operate Wal-Marts supercenter within the Premises, Party B is obligated to pay to Party A the corresponding Rent together with the total compensation equal to Twenty percent (20%) of the corresponding Rent for such non-operating period. So long as Part312、y B pays its Rent in accordance with the terms and conditions of this Agreement, Party B does not have the obligation to continuously operate Wal-Mart supercenter in the Leased Property.17.5 修改和补充 Amendment(s) 对本协议的任何修改和补充,均须以书面进行,并由双方签字,并到本协议登记机关备案。Any amendment to this Agreement shall be made in w313、riting and executed by both Parties and shall be filed to the registration authority for certification.17.6 文 字 Language 本协议以中文和英文书写,当两种文本对此协议的解释出现不符时,以中文文本为准。本协议各一式五(5)份。甲方、乙方各执两(2)份,本协议登记机关执一(1)份。This Agreement is written in both English and Chinese.
