(2)该项目范围内建安工程，包括：排水设施等(具体建设内容，以中标的工程量清单为准); (3)该项目投资费用支付承诺3、匹配土地上的征地、土地报批、拆迁补偿及青苗补偿。 3、若乙方将本合同项下的征地、拆迁、安臵、青苗补偿工作委托甲方完成，甲方可以接受，由甲方指定本项目实施单位受托完成，并由乙方与项目实施单位签订委托合同。该委托合同应约定在委托合同生效后 _日内由受委托人完成委托事项，若受委托人不能在此期限内完成，超过合同委托期限20%以内的，属宽限期，不补偿乙方的损失;超过合同委托期限20%以上的天数，以乙方投入的拆迁补偿和青苗补偿总费用为基数，由受托人按照银行同期贷款基准利率的3倍计息，补偿给乙方。 4、乙方也可委托具有相应资质的拆迁公司进行拆迁。 5、乙方建成后的市政公用设施的产权全部归甲方所有。 三、项目4、投资价款 1、本项目代建投资承揽的合同价款金额为_元，包括项目占地的征地、拆迁、安臵、青苗补偿;建安工程;匹配土地征地、拆迁、安臵及青苗补偿、前期费用等部分。 2、本项目合同价款确定后，因材料价格、机械费和人工工资发生变化，甲方不再给予相应调整。 3、乙方在代建投资承揽过程中所产生的相关税费按国家和省市有关规定承担。劳保基金的扣缴按上级劳保基金有关规定和招标文件执行。 四、合同工期1、本项目履行期限从 _年 _月 _日开始，至 _年 _月 _日竣工完成，共计 _天。在此时间范围内，详细的分期工期另行约定。(此合同工期包括国家法定的节假日在内) 2、因人力不可抗拒的自然灾害造成的工期延误可以顺延5、，但投资专项资金不计息;因重大规划调整或甲方的原因引起合同工期的延误，乙方可以提出延期申请，经甲方审核后工期可以顺延。顺延工期在60天以内的，投资专项资金不计息，在60天以上的，乙方可以要求计息。具体计算办法，以乙方投资专项资金帐上的实际余额，按银行同期活期存款利率计息。因乙方的原因引起合同工期的延误，由乙方自行负责，甲方不给予顺延工期。 3、延误工期每天赔偿2000元，最高延误工期赔偿限额为合同总造价的1%。 五、质量要求 乙方代建投资承揽的工程必须达到国家、省、市现行各项质量验收标准的要求，确保合格，争取优良。 六、代建承揽项目的管理 1、甲方委托 _公司负责该项目实施过程中的管理和协调工6、作。 2、乙方应成立项目管理部，负责项目实施过程中的管理和协调工作。 3、本合同签定后，若乙方需自行组织施工的，应具备相应的市政施工资质。若乙方不具备市政施工资质的，乙方应在市建设工程招标办的监督下通过邀请招标的方式确定施工队伍，并办理项目报建各项手续。 七、工程量的变更 1、工程量、土石比在设计文件及招标人提供的工程量清单中已明确，在项目建设过程中，原则上不作项目工程量和土石比的变更(含沟槽)。但在项目建设过程中，因甲方设计图纸的变更及其它原因引起的项目造价增加或减少达到或超过一定的比例时，由乙方书面向甲方提出变更理由并计算出变更数量后，经甲方同意，报相关部门审核后，可以相应的变更工程量。 7、2、工程量的变更在本条款约定的比例范围内的，由乙方自行负责，甲方不给予乙方增加或减少工程量。甲方只对变更造价达到总造价的5%(含)以上的工程量相应增加或减少工程款。 增加或减少的造价达不到上述比例的不予变更，增加变更若多个子项目累计才超过上述比例的，则在计算增加变更总额时，应按上述比例扣除后才计算，若是单个子项目增加，则依实际发生计算。 八、代建投资专项资金的管理和使用 1、本项目的投资专项资金共分三期交纳：第一期为项目投资响应金，按照区财政局审核的道路工程红线范围内征地和青苗赔损及税费估算费用人民币 万元和前期费用人民币 _万元，合计人民币 _万元，于投标资格确认登记前转入到招标人指定的银行8、帐户;第二期按区财政局审核的建安工程预算的60%交纳，即人民币 _万元( 万元60%)作为投资专项资金，在完成第一期项目投资额后10日内交纳;第三期以匹配土地的报批、征地、青苗补偿及安臵等所需费用按区财政审定的金额，在完成第二期项目投资额后10日内交纳。此条款列入合同条文。对不履行合同的，对前期工程不予验收。 所交投资专项资金优先满足道路工程红线范围内征地、拆迁、安臵、青苗补偿及税费估算费用和前期工作费用的需要。 2、乙方将打入甲方指定帐户的响应金转为该项目的投资专项资金后，该专项资金实行双控，且不计利息。乙方在代建投资承揽过程中根据项目建安工程建设的需要，可以使用该专项资金。专项资金首先保证9、道路红线范围内的征地拆迁及青苗补偿的需要，代建承揽人申请使用专项资金用于征地拆迁和青苗补偿方面的，可由代建承揽人按市财政审定的金额申请使用，若该专项资金除满足该项目征地拆迁和青苗补偿需要外仍有剩余，则用于建安工程建设，根据建安工程形象进度完成情况，代建承揽人可以提出使用申请，经项目实施单位和我司核实后，可按核实的已完建安工程预算造价与中标人建安工程投标报价的比例乘以专项资金剩余部分，作为甲方同意代建承揽人使用的专项资金额度。 原则上乙方申请使用专项资金的时间间隔不得少于15天，且实际使用金额达到25万元时，方可申请使用。 3、在项目实施过程中，项目用地上的征地、拆迁、安臵、青苗补偿费用超过投标10、报价的部分，经市政府审批确认后，由代建投资承揽人在已缴纳的项目响应金之外追加出资，计入项目成本。 4、变更工程量，按规定程序认定，但不从项目响应金中拨付进度款。 5、本合同签订前，乙方应将代建投资承揽项目总预算金额的3%的现金缴入 市财政局指定的银行帐户，做为代建投资承揽项目的履约保证金。此履约保证金的使用和退还，按照国家有关规定执行，不能用于工程进度款拨付，只能竣工验收合格后一个月内无息退还，履约保证金不计利息。 九、投资回报及支付方式 1、项目投资的回报：采用以下两种方式： (1)乙方参与该匹配土地挂牌竞拍的，成功竞拍后，以项目投资款抵缴项目配地的土地出让金作为项目投资回报。 (2)他方参11、与匹配土地挂牌竞拍的，成功竞拍后，以项目配地的土地出让金作为项目投资回报。 2、工程竣工验收后，土地方可挂牌： (1)竣工验收合格一年内，除质保金外，则可以项目投资回报金抵扣全部土地出让金，不足部分由乙方用其它资金补足。(2)竣工验收合格一年后，则可以项目投资回报金抵扣全部土地出让金，不足部分由乙方用其它资金补足。 3、乙方以参与公开出让土地形式回报的，应按照市政府有关文件的规定到国土、规划等相关部门办理相关手续。 4、本项目匹配土地经市国土资源部门认定位臵、面积、价格和挂牌时间后，经市政府批准，市财政部门出具承诺书。乙方对于投入的项目前期费用和征地拆迁费用(包括征地、报批和拆迁补偿、青苗补偿12、费用等)，只能选择土地出让形式回报(在代建投资承揽合同签订时选定)。选择土地出让形式回报的(参见上述第一条款内容)，待该匹配土地出让时，以该匹配土地的基准地价挂牌，最终按成交价结算，成交价超出起始价部分由甲方与乙方共同分配。其分配的比例为：乙方以投入该项目的前期费用和征地、拆迁补偿和青苗补偿资金占项目总造价的比例获得超出部分资金，其余归甲方所有。若选择现金回报的，则从本合同签订之日起，至工程结算之日止，以乙方投入的项目前期费用和征地、拆迁补偿、青苗补偿等费用总额为基数，按照银行同期贷款基准利率的两倍计息。 十、项目的验收 项目验收分阶段性验收和竣工验收。项目的阶段性验收和竣工验收由乙方向甲方提13、出书面申请后，甲方组织相关单位进行验收。 十一、双方的责任 1、甲方的责任： (1)组建项目矛盾协调小组，协助乙方调处项目建设过程中征地、拆迁、青苗补偿和阻工等矛盾纠纷; (2)委托监理单位，派出总监、监理工程师、现场监理等相关人员; (3)会同相关部门核定和批准项目工程量变更，并给予签证; (4)监管项目建设进度、质量，核定和审查项目结算;(5)按约定支付项目代建投资费用; (6)接收竣工合格项目; (8)双方协商的其它责任。 2、乙方的责任： (1)足额提供项目红线范围内和匹配土地上的征地、批地、拆迁补偿、青苗补偿和前期费用等; (2)完成项目红线范围内的建安工程建设任务，包括设计图纸内的14、场地平整、土石方、基层、面层、排水、绿化、亮化等工程任务; (3)按规定确定符合资质的工程建设施工队伍,并督促施工单位严格执行施工规范、安全操作规程、防火安全规定、环境保护规定，对施工质量安全事故和施工中产生的纠纷负责; (4)项目工程达到合同规定的质量、安全标准，按规定时间移交竣工验收合格的项目; (5)提出项目建设变更申请，并向甲方说明变更理由，计算变更工程数量; (6)接受甲方委托单位的全程管理; (7)双方协商的其它责任。 十二、违约处理 1、甲方违约处理： 甲方违反本合同规定，致使本合同无法履行的，甲方应向乙方支付本合同价款金额的5%的违约金。给乙方造成重大经济损失的，应按损失金额向15、乙方承担赔偿责任。 2、乙方违约处理： 乙方违反本合同规定，致使本合同被解除、终止而无法履行的，甲方不再退还乙方缴纳的履约保证金(且乙方还应向甲方支付违约金 万元)。给甲方造成重大经济损失的，乙方还应按损失金额向甲方承担赔偿责任。十三、合同的免责条款 由于国家政策变动或其它人力不可抗拒的原因造成项目需解除或终止的。 十四、合同的组成文件 组成合同的文件包括： 1、本合同协议书;
