Landlord agrees to lease to Tenant, and Tenant agrees to lease from Landlo10、rd, the Premises described on Exhibit A (the “Premises”), which are in the Building described in Section 1 (the “Building”) located on the real property described on Exhibit B (the “Property”). Tenant acknowledges that it has inspected the Premises and equipment therein and accepts the Premises and all equipment therein in their present condition, inclusive of any deficiencies. Tenant is entirely responsible for 13、any work necessary to suit the Premises for Tenants occupancy or use as defined in Section 5 of this Lease (“Tenants Work”). Tenant shall at its sole cost complete Tenants Work in accordance with plans and specifications approved in writing by Landlord prior to the commencement of Tenants Work. Tena14、nt shall cause Tenants Work to be done in a good and workmanlike manner and in accordance with all applicable laws, ordinances, and regulations of governmental agencies having jurisdiction. Tenant shall prosecute Tenants Work with reasonable efforts and due diligence, but allowance will be made for delays and interruptions resulting from E18、xcusable Delays. “Excusable Delays” are defined as follows: delays (whether the same affect Tenant directly or any contractor or subcontractor of Tenant) caused by or due to fire, the elements, casualties, strikes, lockouts or other labor troubles or any other cause, event or circumstance, whether s19、imilar or dissimilar to the foregoing, beyond the control of Tenant or its respective contractors or subcontractors, as the case may be. Notwithstanding the foregoing, the occurrence of an Excusable Delay will not entitle Tenant to additional free rent or an extension of the three month free rent pe20、riod. 承租方应尽快但无论如何不得迟于双方签署本租赁协议后三十(30)天启动承租方工程,并在必要时申请取得承租方工程所需的所有相关建筑许可。承租方应尽合理努力勤勉开展承租方工程,但因可免责的延误造成工程延误或中断可予以免责。“可免责的延误”是指因承租方或其承包商或分包商(视情而定)无法控制的火灾、恶劣天气、意外事故、罢工、停工或其他劳工问题,或不论是否与前述各项相似或不同的其他原因、事件或情形等导致的延误(不论是否直接影响承租方或是对其承包商或分包商造成影响)。即便有前述规定,如发生可免责的延误,承租方并不因此有权继续免交租金或延长三个月的免租期。b.Tenant may enter th21、e Premises on the Commencement Date, provided Landlord has received Tenants first payment of Rent (defined below) and Tenant has paid to Landlords Bank Account (defined below) the Security Deposit (defined below). Tenant shall cause Tenants Work to not interfere with any other work being performed b22、y Landlord, Landlords agents or other tenants in the Building, nor shall such work interfere with any other tenants occupancy of the Building. For other parts of the Tenants Work, Tenant may engage its own contractor provided that Tenant shall make available the drawings for such Tenants Work, if ap23、plicable, to Landlord for review and approval at Tenants cost. All terms of this Lease will apply from the Commencement Date, regardless of whether Tenant is entitled to enter the Premises pursuant to this Subsection. 承租方可以在开始日进入房屋,前提是出租方已收到承租方首次支付的租金(如下定义)并且承租方已将保证金(如下定义)支付到出租方的银行账户(如下定义)。承租方应确保承租方24、工程不妨碍出租方、出租方的代理或建筑物的其他承租人正在进行的其他工程,亦不影响其他承租人对建筑物的占用。对于其他方面的承租方工程,承租方可以聘请自己的承包商,但需向出租方提交相关工程的图纸供审批(如适用),费用由承租方承担。本租赁协议的所有条款自开始日起施行,而不论根据本项规定承租方是否有权进入房屋。5.Use. Tenant shall use the Premises as an office in support of Tenants . Tenant shall not use the Premises for any other use. Tenant shall continuou25、sly operate such business on the Premises with due diligence and efficiency. Tenant shall maintain its business operation from a minimum of 9 a.m. to 6 p.m., Monday through Friday, excluding public holidays or closures due to mutually approved periodic remodeling, force majeure or casualty. Tenant s26、hall not use the Premises, or permit the Premises to be used, in any manner which does the following: (a) violates any Applicable Law; (b) causes or is reasonably likely to cause any damage or liability to the Premises, the Building, the Property, Landlord, other tenants or occupants of the Property27、 or their personal property; (c) knowingly violates a requirement or condition of any insurance policy covering the Property, the Building and/or the Premises or increases the cost of such policy unless Tenant pays the increased cost; or (d) constitutes or is reasonably likely to constitute a nuisan28、ce . Tenant shall pay to Landlord on the 10th day of each due day of payable rental the a sum equal to the Minimum Rent plus Property Management etc. related expenditure. Rental tax invoice included prope30、rty management fee etc. related expenditure should be issued to tenant by party A while said expenditure pay to landlord. All payments of Rent and other charges will be made in RMB. Minimum Rent and Property Management Fees are defined below and are referred to collectively as “Rent.” Tenant shall d31、eposit all Rent without prior demand or notice and without any deduction or offset in Landlords Bank Account or at such other place as Landlord may designate in writing from time to time. “Landlords Bank Account” means: 租金。 承租方应在每次应付租金到期日之前10天向出租方支付数额等于最低租金加上物业管理费等相关的应付款项。出租方收到租金后将租赁(含物业费等相关费用)发票提供给32、承租方。租金和其他费用全部以人民币支付。最低租金和物业管理费的定义见下文,二者合称为“租金”。承租方应将所有租金存入出租方的银行账户或出租方不时书面指定的其他地方,无需出租方事先提出付款要求或通知,亦不进行任何扣除或抵免。“出租方银行账户”是指:Beijing Kang Jie Kong International Cargo Agent Co., Ltd.Bank Name: ICBC Beijing TianZhu Sub-Branch北京康捷空国际货运代理有限公司税务登记号:银行名称:中国工商银行北京天竺支行银行账号:Tenants obligation to pay Rent is n33、ot contingent on Landlords performance of its obligations under this Lease. Rent for any period during the Term that is less than one year of the then-existing calendar year will be prorated for the actual number of days in such period. Tenant shall prepay rent due for the first time of the term wit34、hin 5 days upon execution of this Lease. 承租方支付租金的义务不以出租方是否履行在本租赁协议项下的义务为前提。租赁期内,收费期不足一个年的,租金根据该期间的实际天数按比例计算。承租方应在签署本租赁协议后5日内支付本租赁协议项下的第一次应付租金。a.Minimum Rent. Minimum Rent shall refer to the minimum rent specified in Section 1 or any other adjustment to the minimum rent in accordance with Section 6 c35、.租金。租金应为第1条规定的最低租金额或依据本6c.条的任何调整额度。b.Property Management Fees. “Property Management Fees” equal a fixed amount of RMB 0.50 per square meter (gross) per day covering operating, maintenance, and repair costs (the “Basic Costs”) plus taxes and insurance (each, as defined below). 物业管理费。“物业管理费”为每平方米(建筑面积36、)每天0.50元人民币,包括设备运行、维修及保养费(“基本费用”)加上税收和保险(分别在下文中定义)。 c.CPI Adjustment to Minimum Rent and Basic Costs. Commencing on January 1, 2014, and on the same day of each year thereafter, the Minimum Rent and Basic Costs will be adjusted by one hundred percent (100.0%) of the percentage change in the PRC CPI 37、Index (the “Index”). The base for purposes of adjustment shall be the Index for the period ending December 31, 2013. Adjustments will be calculated by multiplying Minimum Rent and Basic Costs by a fraction, the numerator of which is the Index for the most recent period available and the denominator 38、of which is the Index for the period ending December 31, 2013. Should the Index be discontinued, or the government change the format of the Index or change the items included in the Index, Landlord shall then select another similar index which reflects. 基于消费者价格指数对最低租金和基本费用的调整。自2014年1月1日起并在以后每年的同一日,最39、低租金和基本费用将按照中国消费者价格指数(“指数”)的百分比变化予以调整。调整以截至2013年12月31日期间的指数为基础。调整额的具体计算方法为,最低租金和基本费用乘以一个分数,分子为最近期间适用的指数,分母为截至2013年12月31日期间的指数。如指数公布中断或政府调整指数模式或变更指数包含的项目,出租方应选择其他类似的指数作为调整依据。d.Late Charges. Rent not received within five business days of its due date will be subject to a late charge of 0.5% for each da40、y of delay. 滞纳金。到期日后五(5)个营业日仍未支付租金的,每逾期一天,应支付欠缴租金0.5%的滞纳金。 7.Security Deposit; Landlords Lien. 保证金;出租方的留置权。Concurrently with Tenants execution of this Lease, Tenant shall pay a security deposit to Landlord that equals to three months of the first years annual Rent (the “Security Deposit”) by bank ch41、eque or telegraphic transfer. The Security Deposit will secure Tenants full and punctual payment of all amounts payable to Landlord and the performance of Tenants other obligations under this Lease. Landlord may commingle the Security Deposit with other funds of Landlord, and the Security Deposit wi42、ll bear no interest. Landlord may use all or part of the Security Deposit to cure any Event of Default by Tenant under this Lease or to compensate Landlord for any damage sustained by it resulting from such Event of Default. If Landlord uses all or part of the Security Deposit, then Tenant shall pay43、 to Landlord on demand the amount necessary to replenish the Security Deposit. If Tenant fully satisfies all of its obligations under this Lease, Landlord shall return to Tenant the balance of the Security Deposit within 30 days after the expiration or termination of the Term, less any amounts neces44、sary to (i) cure any existing Event of Default of Tenant, (ii) compensate Landlord for any damage that it sustained as a result of such Event of Default, or (iii) return the Premises to their original condition, reasonable wear and tear excepted. 承租方在签署本租赁协议当日应以支票或电汇方式向出租方支付相当于第一个租赁年度3个月租金的款项(“保证金”)45、 。保证金将确保承租方向出租方及时、足额支付所有应付款项,并履行承租方在本租赁协议项下的其他义务。出租方应将保证金并入出租方的其他资金,保证金不计息。出租方可以将全部或部分保证金用于对承租方的违约事件进行补救,或作为对出租方因该等违约事件所蒙受的任何损害的赔偿。如果出租方使用了全部或部分保证金,承租方应在出租方提出要求时向其支付补足保证金所需数额的款项。如果承租方完全履行了其在本租赁协议项下的全部义务,出租方应在租赁期届满或终止后三十(30)日内,在扣除 (i)对承租方当前违约事件进行补救,(ii)对出租方因该等违约事件蒙受的任何损害进行赔偿,或(iii)将房屋恢复原状(合理损耗除外)所需款项46、之后,向承租方退还保证金的余额。8.Utilities and Other Services. 共用事业和其他服务a.Tenant shall promptly pay all separately metered utilities to the Premises. To the extent Landlord receives and pays invoices for such utilities on behalf of Tenant, Tenant shall reimburse Landlord for the same within 30 days after receipt o47、f notice from Landlord. 承租方应及时支付房屋所有分表计量的公用事业费。如出租方代表承租方接收并支付该等公用事业费的发票,承租方应在收到出租方通知后三十(30)日内偿还出租方该等付款。b.Landlord shall notify Tenant of any impending interruption of any utility services to the Premises of which Landlord becomes actually aware. Landlord shall use reasonable efforts to minimize and 48、promptly cure all utility interruptions that are caused by Landlord or subject to Landlords control. In no event will Landlord be liable for an interruption or failure in the supply of any utilities to the Premises; provided, however, that to the extent such interruption or failure in the supply of 49、utilities to the Premises is due solely to the negligence of Landlord, its agents or employees, and such interruption continues for more than five consecutive days, Tenant shall be entitled to a pro rata abatement of Rent retroactive to the first day of the interruption or failure and continuing unt50、il services have been restored. 如出租方知悉房屋的任何公用事业服务即将中断,应及时通知承租方。出租方应尽量不造成公用事业服务的中断,并对所有由出租方造成的或受其控制的中断及时采取补救措施。在任何情形下,出租方对房屋公用事业服务的中断或故障不负任何责任,但如果该等中断或故障完全由于出租方、其代理人或雇员的疏忽导致,并且中断持续超过五(5)天,承租方有权按比例减除从中断发生第一天起持续至供应恢复期间的租金。 c.Landlord shall provide air-conditioning service during office hours (8:00am to51、 6:00pm) from Monday to Friday.出租方应在工作时间(周一至周五)提供中央空调服务(8:00am-6:00pm)。9.Alterations and Future Improvements. Tenant shall not make any alterations, additions or improvements in, on or about the Premises without Landlords consent, which may be exercised in Landlords sole discretion. Tenants applicat52、ion for Landlords consent should include copies of all required government approvals or permits and the plans and specifications for such improvements. Tenant shall cause any such improvements and alterations so approved by Landlord to be made in a workmanlike manner and in compliance with all Appli53、cable Laws. At Landlords option, Tenant shall remove any improvement erected or made by Tenant which was not approved by Landlord as part of the Tenants Work or any later improvement, provided that Tenant may elect to remove all items containing Tenants name or logo. Tenant shall repair any damage t54、o the Premises caused by such removal, as set forth in Section 22. For the improvements which was approved by Landlord as part of the Tenants Work or any later improvements, if Tenant does not remove such improvements upon the termination or early termination of this Agreement, the ownership of such55、 improvements shall transfer to Landlord without any consideration. In addition, Tenant shall compensate Landlord for the cost of removing such improvements at Landlords option. 更改和未来改进。未经出租方批准(出租方可自行决定是否批准),承租方不得对房屋进行任何更改、增添或改进。承租方在向出租方提出的批准申请时应提供相关改进所需的所有政府批准、许可、改进方案和规格的复印件。承租方应促使获批准的改进和更改工程以专业的方式56、开展,并遵守所有适用法律。根据出租方的决定,承租方应拆除承租方建立或开展的出租方不同意作为承租方工程或之后任何改进部分的改进工程,前提是承租方可选择移除含有承租方名称或标识的所有物品。承租方应负责对由于该等移除(如第22条所述)对房屋造成的损坏进行维修。对于出租方同意作为承租方工程或之后任何改进部分的改进工程,若承租方在本协议终止或提前终止时未拆除该等工程,则该等工程将转由出租方所有,无需支付任何对价。此外,如出租方决定拆除改进工程,承租方应向出租方补偿相关费用。 10.Assignment and Subletting 转让和转租a.Landlords Consent. Tenant may57、 not sublet or encumber the whole or any part of the Premises, nor is this Lease or any interest in it assignable (for security purposes or otherwise) or transferable, voluntarily or involuntarily, by operation of law or by any process or proceeding of any court or otherwise without the prior writte58、n consent of Landlord, which consent may be exercised in Landlords sole discretion. Landlord may request from Tenant information about a proposed assignee, sublessee or transferee, including but not limited to the following: true and complete copy of the proposed sublease, assignment and all side le59、tters or other agreements pertaining thereto; current financial statements, including income and expense statements and balance sheets, or other adequate financial information, for the then current year-to-date and two most recent years for the prospective sublessee or assignee bank reference letter60、 identifying the sound credit of the sublessee or assignee; and, any other documents or information requested by Landlord regarding such assignment or sublease. 出租方同意。未经出租方事先书面同意(出租方可自行决定是否同意),承租方不得将房屋部分或全部转租给他人,亦不得就房屋的全部或任何部分设置权利负担,本租赁协议或其中包含的任何利益亦不因法律的实施、法院程序或其他原因发生自愿或非自愿的转让(不论基于安全或其他目的)或让渡。出租方可要求61、承租方提供提议承让人、转租人或受让人的相关信息,包括但不限于:提议转租、转让以及与此相关的所有附函或其他协议的真实、完整的复印件;当前财务报表(包括收支报表和资产负债表),或其他充足的财务信息(如当年年初至今以及最近两年确认其资信良好的潜在转租人或受让人的银行资信证明);以及出租方要求就该等转让或转租提供的其他文件或信息。b.Tenant Transfer of Lease. Any transfer of this Lease by Tenant through a merger, consolidation or liquidation, or any change in the owne62、rship of or power to vote a majority of its equity or partnership interests will constitute an assignment for the purposes of this Section. 承租方转让租赁协议。承租方因兼并、合并或清算,或其拥有多数股权或合伙权益的所有权或表决权发生变动等转让本租赁协议将构成本条项下的转让。c.Continued Responsibility. Tenant will be jointly and severally liable with any assignee, su63、blessee or transferee under this Lease. Subsequent amendments or modifications of this Lease without notice to or consent of Landlord will not relieve Tenant of any liability under this Lease. 持续责任。承租方与本租赁协议项下的任何承让人、转租人或受让人负有连带责任。无需通知出租方或取得出租方同意对本租赁协议进行后续的修改或变更,不免除承租方在本租赁协议项下的义务。11.Tenants Personal 64、Property. Tenant accepts all risk to all personal property, including trade fixtures owned or leased by Tenant and used upon the Premises in Tenants operations. Tenant may remove its personal property, at any time, unless in default under the Lease, provided that Tenant shall repair, as set forth in65、 Section 24, any damage to the Premises caused by such removal or by the original installation of such personal property. If, after 30 days written notice from Landlord to repair such damage, Tenant does not repair the same, Landlord may repair the damage at Tenants sole expense. For the purpose of 66、this Agreement, trade fixtures refers to such personal property items that may be affixed or placed in the Premises by the Tenant for use by the Tenant to carry out its approved business activity. 承租方的动产。承租方接受与所有动产相关的一切风险,包括承租方在运营中使用的附着于房屋的营业设备(由承租方拥有或租赁)。承租方可在任何时候(除非承租方不履行本租赁协议)移除动产,前提是承租方应对因该等移除或最67、初设置该等动产给房屋造成的损坏进行修复。如果承租方在收到出租方要求进行修复的书面通知后三十(30)天仍未进行修复,出租方可自己开展修复,费用由承租方承担。本租赁协议中,“营业设备”是指承租方在房屋中添附或安置的用于开展获批准业务的动产物品。12.Damage or Destruction. 损坏或损毁a.Subject to Section 5, if the Premises are damaged or destroyed and the cost of repairing or reconstructing the Premises to the condition and form p68、rior to such damage or destruction is not in excess of 50% of the then replacement cost of the Premises, and such repairs or reconstruction of any such damage or destruction can be made under then existing laws, ordinances, statutes or regulations of any governmental authorities applicable thereto, 69、Tenant shall repair and reconstruct the Premises to be in substantially the same condition as its condition prior to said damage or destruction. This Lease will remain in full force and effect and Rent payable hereunder will not abate during such repair and restoration, except for space which cannot70、 be used by Tenant for operation of Tenants business prior to the repair and restoration. 在遵守第5条规定的前提下,如果房屋被损坏或损毁,而将房屋维修或重建至被损之前状态和样式的费用不超过房屋届时重置费用的50%,并且依据适用的现行法律、政府部门颁布的法令、法规或条例可以对该等损坏或损毁进行修复或重建,则承租方应修复和重建房屋,使其基本恢复至被损之前的状态。在进行该等维修(维修之前承租方不能用于经营业务的空间除外)期间,本租赁协议将保持完全效力,协议项下的应付租金不得减少。b.Subject to Sec71、tion 5, if the cost of repairing or reconstructing any damage or destruction to the Premises to its former condition and form is in excess of 50% of the replacement cost, and such reconstruction or rebuilding can be made under then existing laws, ordinances, statutes or regulations of any government72、al authority applicable thereto, Tenant may, at its discretion, elect to proceed with the repair and reconstruction of the Premises in the same manner as provided for under Section 15(a), or may elect to terminate this Lease with the term expiring as of the date of such damage or destruction. Tenant73、 shall notify Landlord within 60 days after the determination of the insurance surveyor with respect to such damage or destruction as to whether it shall repair and reconstruct the Premises or terminate the Lease as provided for herein. 在遵守第5条规定的前提下,如果将房屋维修或重建至被损之前状态和样式的费用超过房屋重置费用的50%,并且可依据适用的现行法律、政74、府部门颁布的法令、法规或条例对该等损坏或损毁进行修复或重建,则承租方仍可自行决定按照上述第12(a)条所述方式对房屋进行维修或重建,或选择终止本租赁协议,租赁期在损坏或损毁发生之日起到期。承租方应在该等损坏或损毁的保险评估师确定赔偿金额后六十(60)天内,告知出租方其决定维修重建房屋还是终止租赁协议。c.Notwithstanding anything in this Section to the contrary, if, during the last year of the Term the Premises are damaged or destroyed to such a degr75、ee that renders them unusable, whether or not covered by insurance, either party may terminate this Lease by giving written notice of its election to the other party within 30 days after the date of such damage. However, such notice of termination from Tenant to Landlord will be ineffective if, with76、in 10 days of such notice Landlord gives notice to Tenant of Landlords election to repair and restore the Premises at Landlords expense. In such event, this Lease will remain in full force and effect and Landlord shall cause the repair and restoration of the Premises as far as practicable to their c77、ondition immediately prior to such damage or destruction, and the proceeds of all insurance will be paid to Landlord, subject to the claims of any mortgagee or beneficiary of a deed of trust. Upon termination, all parties shall be released from all further liability hereunder except that Landlord shall refund to Tenant any prepaid rent or simil81、ar sums as may be properly applied to the period after the effective date of termination; and Tenant shall pay Landlord all sums that it may be obligated to pay to Landlord up to and including the effective date of termination. 本条项下终止的生效日即为损坏发生日。本租赁协议终止后,除出租方应向承租方退还终止生效日后相应期间适用的预付租金或类似款项外,各方将不再负有本协议82、项下其他任何义务。承租方应向出租方支付截至终止生效日(包括当日在内)应向出租方支付的所有款项。f.If the Building is substantially damaged or destroyed by fire or casualty, irrespective of whether the Premises are damaged or destroyed, Landlord shall promptly restore the Building to substantially the same condition as before the fire or casualty u83、nless within 90 days after such fire or casualty Landlord notifies Tenant of its election to terminate this Lease. 如建筑物因火灾或意外事故实质被损坏或毁坏,则不论房屋是否受损或被毁,出租方应及时将建筑物修复至火灾或事故发生前的状态,除非出租方在火灾或事故发生后90天内通知承租方其决定终止本租赁协议。13.Insurance. 保险a.Tenant shall carry and maintain in full force and effect throughout the Te84、rm comprehensive public liability and property damage, insurance covering the Premises with recognized insurance companies authorized to transact business within the Peoples Republic of China. The liability policy will be a policy insuring both Landlord and Tenant against any liability arising out o85、f the ownership, use, occupancy or maintenance of the Premises in an amount not less than $2,000,000.00 in respect to the injury or death of a single person, to the limit of not less than $2,000,000.00 in respect to any one occurrence, and to the limit of not less than $500,000.00 with the respect t86、o property damage per occurrence. 承租方应向经批准有权在中国境内开展业务的保险公司购买并在租赁期间维持综合公共责任险和财产损失险。该责任保单为出租方和承租方承保因拥有、使用、占有或维护房屋产生的赔偿责任,承保范围覆盖赔偿金额不低于200万美元($2,000,000.00)的单个人身伤亡、每项事故赔偿限额不低于200万美元($2,000,000.00)以及每次财产损失事件赔偿限额不低于50万美元($500,000.00)的赔偿责任。b.Tenant shall provide and pay for casualty (fire and extended cov87、erage, vandalism, malicious mischief, special extended perils (all risk) and sprinkler leakage) insurance upon the Premises, including all fixtures and equipment therein installed by Landlord and Landlords Work, for the full replacement value thereof, as the same may exist from time to time without 88、deduction for depreciation, including the cost of removal of debris. Such insurance will not exclude from coverage any claim or loss due to incidents of violence occurring in or about the Premises, including without limitation, bombings, robberies and riots. 承租方应为房屋投保灾害事故(火灾与火灾扩展责任、故意毁坏、恶意破坏、特殊附加险(一89、切险)及喷淋设备渗漏)保险,保险范围覆盖出租方及出租方工程中设置的所有固定附着物和设备,保险价值应为房屋的完全重置价值,不扣除折旧(包括残余物清除费用)。该项保险的责任范围不排除因房屋内或房屋四周发生暴力事件(包括但不限于爆炸、抢劫和暴乱)产生的索赔或损失。c.Landlord shall carry fire and extended coverage insurance, together with such other coverage as Landlord may reasonably determine, covering the buildings and improvement90、s in the Building to the extent of not less than 80.0% and not more than 100.0% of the full replacement value, less foundations, with companies which are authorized to do business in the Peoples Republic of China. Landlord shall also procure and continue in effect public liability and property damag91、e insurance with respect to the operation of the Building. Such public liability insurance shall cover liability for death or bodily injury in any one accident, mishap or casualty in maximum indemnity norm to CNY500,000.00 and will cover liability for property damage in any one accident, mishap or c92、asualty in maximum indemnity norm to CNY500,000.00. The amount of such coverages will be commercially reasonable for properties of similar nature and occupancies as the Building. 出租方应以不低于建筑物(不包括地基部分)完全重置价值的80%但不超过100%的保险金额为建筑物内的建筑和改进工程向经批准有权在中国境内开展业务的保险公司投保火灾与火灾扩展责任保险以及出租方合理决定的其他险种。出租方还应购买并维持与建筑物运营相93、关的公共责任保险和财产损失保险。公共责任保险的投保范围覆盖每项事故、灾难或意外造成的人身伤亡赔偿限额人民币500,000.00、每项事故、灾难或意外造成的财产损失赔偿限额人民币500,000.00的赔偿责任。该等保险金额对于其性质和租用率与建筑物相似的不动产而言具有商业合理性。d.Landlord and Tenant hereby waive any rights that each may have to pursue each other, their respective properties, the Premises or its contents, or to other por94、tions of the Building or buildings, as those rights may relate to any loss or damage covered by property damage insurance. Neither party will be liable to the other for any loss or damage to the Premises or Tenants personal property caused by any of the risks covered by insurance and each party here95、by waives, on behalf of their respective insurance company, any right to subrogate a claim by one partys insurance carrier against the other party arising out of any such loss. 出租方和承租方谨此放弃就对方、对方的财产、房屋或其包含物,或对建筑物其他部分或建造的可获得财产损失保险赔偿的任何损失或损坏彼此追究责任的权利。对因保险赔偿范围内的风险给房屋或承租方动产造成的任何损失或损坏,任何一方不向另一方承担任何责任。双方谨此96、代表各自的保险公司放弃一方的保险公司就损失针对另一方提出的赔偿请求代位求偿的权利。e. Promptly upon the effective date of such insurance or any renewal or replacement thereof, Tenant shall provide Landlord with a copy of the policy or policies evidencing the insurance coverages required by this Section 16. 承租方应在保险生效日或续展或更换后立即向出租方提供一份证明本条规定的97、保险赔偿范围的一份或多份保单的复印件。14.Indemnification. Each party shall indemnify, defend and hold harmless the other party, its officers, employees, agents, and contractors from and against liability, loss, damages, claims, liens, costs and expenses, including reasonable attorney fees, it may suffer, sustain or in98、cur as a result of (a) any willful misconduct or negligent act or omission of the indemnifying party, its officers, employees, agents or contractors in or about the Building or Premises; or (b) the failure of any representation or warranty made by the indemnifying party herein to be true when made. 99、In addition, Tenant shall indemnify, defend and hold harmless Landlord, its employees, agents and contractors from and against liability, loss, damages, claims, liens, costs and expenses, including reasonable attorney fees, it may suffer, sustain or incur as a result of Tenants breach of this Lease 100、and any action occurring in the Premises unless due to the negligence of Landlord, its agents, employees or contractors. The foregoing indemnities in favor of Landlord will accrue to the benefit of Landlords mortgagee, its agents, employees or contractors, and Landlords indemnification obligation wi101、ll not be construed to make Landlord responsible for loss, damage, liability or expense resulting from injury or death to persons or damage to property of third parties caused by the negligence or willful misconduct of Tenant, its officers, employees or contractors or other tenants of the Building o102、r Property. The obligations under this Section 15 will survive the expiration or the earlier termination of this Lease. 赔偿。对于因(a)赔偿方、其高级职员、雇员、代理或承包商在建筑物或房屋内部或周围的任何疏忽或故意的作为或不作为;或(b)赔偿在本协议中做出的陈述或保证不实导致另一方产生或蒙受的任何义务、损失、损坏、索赔、留置、费用和开支(包括合理的律师费用),该方应向另一方及其高级职员、雇员、代理和承包商做出赔偿,为其进行辩护并使其免受损害。此外,对于因承租方违反本租赁协议103、或在房屋内的任何行为导致出租方产生或蒙受的任何义务、损失、损坏、索赔、留置、费用和成本(包括合理的律师费用)(因出租方或其代理、雇员或承包商的疏忽导致的除外),承租方应向出租方及其雇员、代理和承包商做出赔偿,为其进行辩护并使其免受损害。前述有利于出租方利益的赔偿规定也将有利于出租方的抵押权人、代理人、雇员或承包商,出租方的赔偿义务不应解释为出租方对因承租方或其高级职员、雇员或承包商、建筑物或物业的其他承租人的疏忽或故意不当行为致使第三方人员伤亡或财产损坏所产生的损失、损害、义务或费用负有任何责任。本条项下规定的义务在本租赁协议到期或提前终止后仍继续有效。15.Condemnation. 征用a104、.If the Premises or any portion thereof are taken under the power of eminent domain, or sold by Landlord under the threat of the exercise of said power (all of which is herein referred to as “Condemnation”), this Lease will terminate as to the part so taken as of the date the condemning authority ta105、kes title or possession, whichever occurs first. Either Landlord or Tenant may terminate this Lease, effective on the date that the condemning authority takes possession, by notice in writing of such election within 20 days after Landlord notifies Tenant of the taking, or, in the absence of such not106、ice, within 20 days after the condemning authority takes possession if either of the following three scenarios takes place: if (i) more than 25.0% of the floor area of the Premises is taken by Condemnation; (ii) regardless of the amount taken by Condemnation, the remainder of the Premises is not one107、 undivided space or is rendered permanently unusable for Tenants permitted use; or (iii) as a result of Condemnation the access to the Premises is materially and adversely affected to the extent the Premises are unusable for Tenants permitted use. 如房屋或其任何部分被国家征用,或在其可能被征用的情况下被出租方出售(统称为“征用”),本租赁协议涉及被征108、用的部分在征用单位取得所有权或占有之日(以较早发生日期为准)终止。如发生以下三种情形:(i) 房屋征用面积达20%以上; (ii) 不论被征用空间的大小,房屋其余部分已不完整或者承租方不再能够将其用于经批准的用途;或(iii) 房屋的通行因征用受到实质不利影响以致承租方不再能够将其用于经批准的用途,出租方或承租方任何一方可在出租方告知承租方该等征用后20天内(或在征用单位占有房屋后20天内)向对方发出书面通知终止本租赁协议并于征用单位占有房屋之日生效。b.If this Lease is not terminated as provided above, then it will remain109、 in full force and effect as to the portion of the Premises remaining, provided the Rent will be reduced in the proportion that the square feet taken within the Premises bears to the total square feet of the Premises. If this Lease is not so terminated, then Landlord shall, at Landlords sole cost, r110、estore the Premises to a complete unit of like quality, character and access as existed prior to Condemnation, as soon as reasonably possible. All proceeds from Condemnation or otherwise including any payment made under the threat of the exercise of power of eminent domain will be the property of La111、ndlord, whether made as compensation for diminution of value of a leasehold or for the taking of the fee or as severance damages. 如本租赁协议未发生上述终止,涉及房屋其余部分的协议仍保持完全效力,前提是根据房屋被征用面积(平方尺)占房屋总体面积的比例按比例减少租金。如本租赁协议未发生上述终止,出租方应自行承担费用尽快将房屋恢复至具有与征用前的品质、特征和通行条件相同的完整单元。征用的所有收益(包括因可能被国家征用所支付的任何款项,不论是作为对租赁价值减值的补偿、取得112、产权的补偿或是对拆分损失的赔偿款)均为出租方的财产。16.Default and Remedies. 违约与救济a.Tenant Events of Default. Each of the following events will constitute an “Event of Default” by Tenant: 承租方违约事件。以下任一事件构成承租方的“违约事件”:i.Failure of Tenant to pay Rent or any sums due or required to be paid hereunder (where such failure continues 113、for 10 days after written notice by Landlord to Tenant); or 承租方未支付租金或本协议项下到期应付的任何款项(在此情况下,在出租方书面通知承租方后10日仍未支付);ii.The abandonment or surrender of the Premises by Tenant; or 承租方放弃或返还房屋;或iii.Failure to perform as required or conditioned by any of the covenants and agreements in this Lease within a rea114、sonable time, but in no event later than 30 days after written notice by Landlord to Tenant; provided, however, that if the nature of Tenants obligation is such that more than 30 days are required for performance, then Tenant will not be in default if Tenant commences performance within such 30 day 115、period and thereafter diligently prosecutes the same to completion; or 在合理期限内但无论如何不得迟于出租方书面通知承租方后30天,未按照本租赁协议项下的任何承诺和约定的要求或设置的条件履行,但若根据承租方所负义务的性质,履行该义务的期限需超过30天,则如果承租方在该等30天期内开始履行并随后勤勉履行直至完成义务,承租方即不涉及违约;或iv.The subjection of any right or interest of Tenant to attachment, execution, or other levy, or116、 to seizure under legal process, if not released or bonded as provided herein within 60 days; or 承租方的任何权利或利益被设置抵押担保、被执行或被征收罚款,或在法律程序中被扣押,并且在60天内未解除或提供保证金;v.An assignment by Tenant for the benefit of creditors; or the filing of a voluntary or involuntary petition by or against Tenant under any law fo117、r the purpose of adjudicating Tenant as bankrupt, or for extending time for payment, adjustment, or satisfaction of Tenants liabilities, or reorganization, dissolution, or arrangement on account of or to prevent bankruptcy or insolvency; unless the assignment or proceedings, and all consequent order118、s, adjudications, custodies, and supervisions are dismissed, vacated, or otherwise permanently stayed or terminated within 60 days after the assignment, filing, or other initial event.承租方为债权人利益起见进行转让;承租方或针对承租方自愿或非自愿提出要求根据法律判定承租方破产、延长付款时间、调整或履行承租方债务,或为阻止破产或资不抵债进行重组、解散或相关安排的申请;除非该等转让或法律程序以及后续所有的命令、裁决、119、监管和监督,在转让、申请或其他初始事件后60日内被驳回、取消或永久推迟或终止。b.Landlord Events of Default. Each of the following events will constitute a default by Landlord: failure to perform any of Landlords material obligations or any of the material covenants and agreements in this Lease within a reasonable time but in no event mor120、e than 30 days after written notice by Tenant to Landlord; provided, however, that if the nature of Landlords obligation is such that more than 30 days are required for performance, then Landlord will not be in default if Landlord commences performance within such 30 day period and thereafter dilige121、ntly prosecutes the same to completion. 出租方违约事件。以下各项事件均构成出租方违约:承租方向出租方发出书面通知后的合理期限内(但无论如何不得超过30天)未能履行出租方在本租赁协议项下的实质义务或任何实质承诺和协议,但若根据出租方所负义务的性质,履行该义务的期限需超过30天,则如果出租方在该等30天期内开始履行并随后勤勉履行直至完成义务,出租方即不涉及违约;c.Remedies. In such event, Landlord may recover from Tenant all damages incurred by Landlord by reason of Tenants default including, but not limited to, the cost of recovering possession of the Premises; expens124、es of reletting, including necessary renovation and alteration of the Premises, reasonable attorneys fees, and real estate commissions actually paid; the worth at the time of award by the court having jurisdiction thereof of the amount by which the unpaid rent for the balance of the term after the t125、ime of such award exceeds the amount of such rental loss for the same period that Tenant proves could be reasonably avoided. Unpaid installments of rent or other sums shall bear interest from the date due at the highest rate allowed by law. Each notice of an Event of Default by Tenant will specify the al132、leged Event of Default and the potential remedies. After expiration of the applicable cure period, if any, Landlord may, at Landlords sole election, make any payment required of Tenant under this Lease, or perform or comply with any covenant or condition imposed on Tenant under this Lease. Any amoun133、t so paid or the cost of such performance by Landlord will be included as a component of Property Management Fees. No such act by Landlord will constitute a waiver of Event of Default by Tenant or of any remedy for Event of Default by Tenant or render Landlord liable for any loss or damage resulting134、 from any such act. 作为寻求对承租方违约事件的救济的前提条件,出租方应通承租方。出租方发出的每一份违约事件通知应对违约事件和可能的救济予以说明。在相应的补救期到期(如有)后,出租方可自行选择支付承租方在本租赁协议项下应付的款项,或履行或遵守本租赁协议针对承租方设置的承诺或条件。出租方支付的任何款项或履行产生的费用将纳入物业管理费。出租方该等行为不视为放弃追究承租方违约事件的责任或放弃就违约事件获得救济的权利,亦不使出租方对因其该等行为产生的任何损失或损害承担任何责任。b.Landlord will not be considered to be in default und135、er this Lease unless: (a) Tenant has given to Landlord and any mortgagee on the Premises written notice specifying the default (provided Landlord has previously given written notice to Tenant identifying any such mortgagee); (b) Landlord has failed for thirty (30) days to cure the default, provided 136、that Landlord shall not be deemed in default if such default reasonably requires more than thirty (30) days to cure and Landlord has commenced to cure such default within thirty (30) days and diligently pursues the cure to completion; (c)and the lender or mortgagee has failed for an additional fifte137、en (15) days to cure the default, if it is curable, or institute and diligently pursue reasonably corrective action for non-curable defaults or is taking steps with due diligence to obtain the legal right to enter the leased Premises and cure the default. In the event of Landlords default, Tenant sh138、all have the right to all remedies available under law, provided that Tenant shall have the right of termination for Landlords default only after notice to and consent by all owners of the property and mortgagees of Landlord then existing. 除非(a)承租方在书面通知中向出租方和房屋抵押权人指出违约(前提是此前出租方已向承租方书面确认相关的抵押权人);(b)出139、租方未在三十(30)天期内纠正违约,但如果违约的状况合理需要超过三十(30)天的时间予以纠正,并且出租方三十天内已着手补救并积极努力完成补救,则不应视为违约; 或(c)贷款人或抵押权人未在额外的十五(15)天期内纠正违约(如违约状况可予以纠正)或对无法予以补救的违约积极开展合理的补救措施,或勤勉采取行动以取得进入出租房屋纠正违约的合法权利,否则不认为出租方违反本租赁协议。如出租方违约,承租方有权获得可根据法律获得的所有救济,前提是承租方经通知并取得当前物业的所有业主和出租方的抵押权人同意之后,有权基于出租方违约终止租赁协议。18.Remedies Cumulative. Upon any Ev140、ent of Default, any and all rights and remedies that either party may have under this Lease or by operation of law, will be distinct, separate, and cumulative and shall not be deemed inconsistent with each other. No such right or remedy whether exercised by a party or not, will be deemed to be an ex141、clusion of any other right or remedy, and any two or more of all such rights and remedies may be exercised at the same time or separately as desired. 累积救济。发生违约事件时,任何一方根据本租赁协议或根据法律的实施可能享有的一切权利和救济是明确的、独立的并且是可累积的,不应视为相互产生冲突。任何权利或救济(不论一方是否行使)不应视为排斥任何其他权利或救济,所有该等权利和救济中两项或两项以上的权利和救济根据需要既可同时也可以单独行使。19.Comp142、liance with Law. Tenant shall not do or permit anything to be done in or about the Premises which will increase the existing rate of insurance upon the Premises (unless Tenant pays the applicable increased premium as a result of such use or acts) or cause the cancellation of any insurance policy cov143、ering the Premises or any building of which the Premises may be a part. Tenant shall not commit or suffer to be committed any waste in or upon the Premises. For the purpose of this Agreement, waste refers to any act or lack of action that results in the Premises to deteriorate of become in disrepair144、 from its normal state, reasonable wear and tear excepted. Tenant shall not use the Premises or permit anything to be done in or about the Premises which will in any way conflict with any law, statute, zoning restriction, ordinance or governmental rule or regulation or requirements of duly constitut145、ed public authorities now in force or which may hereafter be enacted or promulgated. 遵守法律。 承租方不得开展或允许他人在房屋中或房屋周围开展使房屋的当前保险费率增加(除非承租方承担因使用或其他活动导致增加的保险费)的任何活动,亦不得取消房屋或房屋作为其组成部分的任何建筑物的任何保险。 承租方不得在房屋中或房屋上进行或允许他人进行任何损毁活动。本租赁协议中,损毁活动是指导致房屋状态恶化或破损到不再具有正常状态(合理损耗除外)的任何作为或不作为。承租方对房屋的使用不得违反当前生效或即将颁布或实施的法律、法规、分146、区规划、法令或政府条例或规章,或合法成立的公共机构的要求,亦不得允许任何此类事务或活动在房屋中或房屋周围开展。20.Access by Landlord. Landlord, its employees or contractors may access the Premises upon reasonable notice to Tenant to inspect the Premises for any purpose related to the repair, improvement, cure and management of the Premises and to perform147、 any work or other act found necessary on such inspection. Landlord may place “for rent” signs regarding the Premises in the Common Areas of the Building and take prospective tenants on tours of the Premises during the 12 month period prior to the expiration or termination of the Lease. 出租方的通行权。出租方或148、其雇员或承包商基于维修、改进、补救和管理房屋的目的,经合理通知承租方后可进入房屋对房屋进行检查,并开展进行检查所需的任何工作或其他活动。在本租赁协议到期或终止前的12个月内,出租方可在建筑物的公共区域放置“房屋出租”的招牌,并带领潜在租客参观房屋。21.Maintenance and Repair. 维修和保养a.Except when caused by the negligence or willful misconduct of Tenant, its employees or its agents, Landlord shall maintain, operate and repair149、 the Building and the Common Areas (defined in Section 22) and the improvements and facilities therein, including, without limitation, the central heating, ventilation and air conditioning, water, sewer, fire protection, exterior mechanical and exterior electrical distribution systems and equipment 150、serving the Building; roof, roof membrane, exterior walls, foundations; the structural, mechanical, electrical and plumbing components of the Common Areas and the Building (except to the extent such services exclusively serve the Premises); and the parking areas, pedestrian walkways and landscaped a151、reas, all in a manner consistent with a Class A office building in specific area of Beijing, PRC. If Landlord makes any repairs, alterations or additions in or about the Building and/or Common Areas, Premises or within a space adjoining the Premises, Landlord shall use reasonable efforts to minimize152、 any interference with, and mitigate the material adverse impacts on, Tenants business, if any. 除非由承租方、其雇员或代理人的疏忽或故意不当行为导致的情形外,出租方应以符合中国北京具体地区甲级写字楼的水准和方式,维护、运行和维修建筑物和公共区域(定义见第22条)及其中包含的改进工程和设施,包括但不限于建筑物的中央供暖、通风和空调、供水、排水、消防、外部机械和配电系统和设备;屋顶、屋顶防水层、外墙、地基;公共区域和建筑物的结构、机械、电力和管道部件(房屋专用的除外);以及停车场、人行道和景观区域。如出153、租方在建筑物和/或公共区域、房屋或房屋相邻空间范围内或四周进行任何维修、改建或添附,应尽合理努力尽量减少对承租方营业的干扰,减轻对承租方业务产生实质不利影响(如可能会产生干扰或影响)。 b.Tenant shall perform the following maintenance and repairs:承租方应进行如下维修和保养:i.Tenant shall at its sole cost keep the Premises clean and in good condition and repair and provide all other necessary repairs to 154、the Premises not expressly allocated to Landlord. 承租方应自行承担费用保持房屋清洁和处于良好状态,并对房屋进行其他所有必要的维修维护(未明确归出租方负责)。ii.Upon the expiration or earlier termination of this Lease, Tenant shall surrender the Premises in the same condition as received , ordinary wear and tear and damage by fire, earthquake, or other 155、casualty excepted. All improvements that cannot be removed without damaging the Premises will become Landlords property without charge unless such items are required by Landlord to be removed. Tenant shall, at its sole cost, repair damage to the Premises caused by or in connection with the removal o156、f any articles of personal property, furniture, and any items of business or trade fixtures, machinery, equipment, cabinet work, moveable partition, or permanent improvements or additions, which are required by Landlord to be removed, including without limitation, repairing floors and patching and p157、ainting walls where required by Landlord to Landlords reasonable satisfaction. 本租赁协议到期或提前终止后,承租方应返还与接收房屋时状态相同的房屋,正常损耗及火灾、地震或其他意外造成的损坏除外。所有如不损坏房屋则无法拆除的改进工程属于出租方的财产,承租方不对此收取任何费用,除非出租方要求该等物体必须拆除。承租方应自行承担费用,对移除出租方要求移除的动产物品、家具、业务用品或装置、机器、设备、桌柜、活动隔断或永久性改进或添附部分对房屋造成的损坏进行修复,包括但不限于在出租方要求时修复地板、修补和粉刷墙壁,达到出租方合理158、的满意度。iii.Tenant shall at its sole cost maintain and repair to the extent necessary to maximize their useful lives the furniture, fixtures, and equipment currently installed or residing in the Premises (“Landlords Property”). Tenants obligations under this subsection include but are not limited to en159、tering into regularly scheduled maintenance and repair contracts (where commercially standard). Tenant shall not dispose of or remove Landlords Property from the Premises and will consult with Landlord prior to replacing any of Landlords Property. Tenant shall at its sole cost replace Landlords Prop160、erty at times and manners agreed to by the parties. 承租方应自行承担费用,对房屋内安装或存在的家具、固定装置和设备(“出租方财产”)进行可最大程度延长其使用寿命的维修和保养。承租方在本项下的义务包括但不限于签订定期维修保养合同(符合商业标准)。承租方不得处置或从房屋中清除出租方财产,并在更换出租方财产之前与出租方协商。承租方应自行承担费用,按双方同意的时间和方式更换出租方财产。22.Common Areas. “Common Areas” means all areas and facilities that are designated f161、or the general use and convenience of Tenant and other tenants of Landlord in the Building and their employees, invitees, licensees and guests. Subject to Building rules, regulations and operating practices, Landlord hereby grants to Tenant and its licensees, invitees, guests, customers and employee162、s (a) a non-exclusive right to use all Common Areas during the Term of this Lease, and (b) the non-exclusive right to use parking spaces as depicted on Exhibit A 公共区域。“公共区域”是指为承租方、建筑物内出租方的其他承租人及其各自的雇员、受邀者、被许可人和访客方便所设的所有公用区域和设施。在符合建筑物规章制度和运营惯例的前提下,出租方谨此授予承租方及其被许可人、受邀者、访客、顾客与雇员 (a)在本租赁协议的租赁期内使用所有公共区域的163、非排他性权利,及(b)使用附件A所述的停车位的非排他性权利。23.Waiver. Waiver of a breach of any provision of this Lease by any party in any particular instance will not constitute a waiver of any other breach of this Lease 弃权。任何一方在任何特定情况下放弃追究违反本租赁协议任何规定的责任不视为该方放弃对其他违反本租赁协议情形追究责任。24.Subordination and Nondisturbance. This Lease m164、ay, at Landlords option, be made subordinate to any ground lease, mortgage, real estate sale contract or deed of trust (“Mortgage”), under which any holder of such Mortgage may hereafter claim an interest in the real property of which the Property, the Building, and the Premises form a part. Upon La165、ndlords written request, Tenant or Tenants successors in interest will execute and deliver any documents required to effectuate or confirm such subordination to any Mortgage, provided that, any holder of such Mortgage contemporaneously agrees to execute and deliver a non-disturbance and attornment a166、greement to Tenant, in a form reasonably acceptable to Tenant, but recognizing at minimum Tenants right to quiet enjoyment under this Lease at all times while Tenant is not in default hereunder and the right of Tenant to continue to occupy the Premises and all portions thereof and to conduct its bus167、iness thereon in accordance with the covenants, conditions, provisions, terms and agreements of this Lease (“SNDA”) at all times when Tenant is not in default hereunder. Notwithstanding anything to the contrary herein, Tenants subordination of its interest under this Lease is expressly conditioned u168、pon Tenants receipt of such duly executed SNDA. Within 30 days after the execution and delivery of this Lease by both parties, Landlord shall deliver to Tenant for negotiation the form of SNDA of the holder of any Mortgage existing as of the date of execution and delivery of this Lease by both parti169、es. 从属性与无干扰。出租方可选择将本租赁协议作为任何土地租约、抵押、房产出售合同或信托契约(“抵押”)的从属合同,该等抵押的抵押权人可针对构成物业、建筑物和房屋组成部分的不动产主张权利。根据出租方书面要求,承租方或其受益承让人应签署并交付实现或确认本协议从属于此类抵押所需的文件,但该抵押的抵押权人应在同一时间同意签署并向承租方交付一份格式令承租方合理满意的“无妨碍及承认新房东”协议,确认承租方在遵守本租赁协议期间的任何时候享有安宁权、持续占有房屋及其所有组成部分,以及承租方在守约期间的任何时候按照本租赁协议的承诺、条件、规定、条款和约定开展业务的权利(“从属、无妨碍及承认新房东协议”)。即170、便本文中有任何相反的规定,承租方是否将本租赁协议项下的利益作为从属利益取决于承租方获得适当签署的从属、无妨碍及承认新房东协议。双方在签署并交付本租赁协议后30天内,出租方应向承租方提交本租赁协议签署和交付日存在的抵押的抵押权人的从属、无妨碍及承认新房东协议供讨论。25.Termination Option. Landlord may terminate this Lease at any time upon six months notice to the other party. Alternatively, Landlord may terminate this Lease upon 30171、 days notice if, in Landlords judgment, Tenants operations or business becomes a nuisance for other tenants or prospective tenants or owners of the Building; provided, Landlord shall first give written notice to Tenant describing the nuisance, and thereafter the parties shall attempt in good faith t172、o remedy that nuisance, if at all, through a solution agreeable to both parties. If Landlord and Tenant fail to agree on a remedy to such nuisance within 10 business days, then Landlord may terminate this Lease, effective 30 days from notice. 终止选择权。出租方经提前六个月通知承租方后可在任何时候终止本租赁协议。此外,如果出租方认为承租方的经营或业务妨害了173、建筑物的其他承租人、潜在承租人或所有权人的利益,出租方可提前30天通知对方终止本租赁协议,但出租方应当首先向承租方发出书面通知,对妨害情况加以说明,随后双方应本着诚信原则,通过一项双方均可接受的解决方案对该等妨害进行纠正(如仍可得到纠正)。如出租方和承租方未能在10个营业日内就妨害解决方案达成一致,出租方可终止本租赁协议,在发出通知后30日生效。26.Surrender on Expiration / Termination; Holdover. On expiration or earlier termination of this Lease, Tenant shall surrender174、 the Premises to landlord in the same condition as received , excepting wear and tear from ordinary use and damage from casualty. Tenant shall remove all of its furnishings and trade fixtures at the option of the Landlord. Failure to remove any furnishing or trade fixture will be an abandonment of t175、he property, and Landlord may dispose of it at Tenants expense in any manner without liability. If Tenant fails to vacate the Premises at the end of the Term and Landlord so consents in writing, this Lease will renew for a period of 1 month except that Minimum Rent will be the greater of 150.0% of t176、hat last in effect under this Lease . Acceptance by Landlord of Rent after such expiration or earlier termination will not constitute an extension of the Term. The foregoing provisions of this Section are in addition to and do not affect Landlords right of reentry or any other rights of Landlord. If177、 Tenant fails to vacate the Premises at the end of the Term and Landlord does not consent, such occupancy will be an unlawful detainer of the Premises subject to the applicable laws of the Peoples Republic of China and, in addition, Tenant shall reimburse Landlord for any costs, damages, losses and 178、expenses incurred by Landlord as a result of Tenants failure to surrender the Premises in accordance with this Lease. 到期/终止后退房;交接。本租赁协议到期或提前终止后,承租方应向出租方退还房屋,承租方应返还与接收房屋时状态相同(正常使用产生的损耗与意外事故造成的损坏除外)。 承租方应撤除其所有家具和经营设备依出租方决定。如未撤除家具或经营设备视为放弃该等财产,出租方可以任何方式进行处置(费用由承租方承担),无需承担任何义务。如承租方在租赁期结束时未将房屋腾空,且出租方对此表示179、书面同意的情况下,本租赁协议将续展1个月,但最低租金要比租赁协议下最后适用的租金额高150%。出租方在协议到期或提前终止后仍接受租金不代表租赁期已获续展。本条前述规定是对出租方收回房屋的权利或其他任何权利的补充,并不影响出租方的该等权利。如承租方在租赁期结束时未将房屋腾空,且出租方未对此表示书面同意的情况下,承租方继续占用房屋将构成中国适用法律项下对房屋的非法占有,除此之外,对出租方因承租方未按照本租赁协议的规定腾空房屋所发生的费用、损害、损失和支出,承租方应向出租方做出赔偿。 27.Dispute Resolution. If Landlord and Tenant are unable t180、o resolve a dispute within 30 days after the date Landlord or Tenant notifies the other of such dispute (a “Disputed Matter”), then the senior managers of Landlord and Tenant shall meet to resolve the dispute within a reasonable period of time. If Landlord and Tenants senior managers are unable to r181、esolve the dispute within 90 days after Tenant or Landlords receipt of notice of such dispute, then the parties shall submit the Disputed Matter to the China International Economic Trade Arbitration Commission (CIETAC) for arbitration, which will be conducted in accordance with CIETACs arbitration r182、ules in effect at the time of submitting the Dispute for arbitration. The place of arbitration shall be in Beijing.争议解决。 如出租方或承租方任何一方就相关争议通知另一方后30日内,双方仍无法解决争议(“争议事项”),则双方的高级经理应在合理期限内为解决争议进行会谈。如任何一方在收到争议通知后90日内,双方的高级经理仍无法解决争议,则双方应将争议事项提交中国国际经济贸易仲裁委员会(“贸仲委”),根据其在提交仲裁时生效的仲裁规则进行仲裁。仲裁地点在北京。28.Hazardous M183、aterials. 有害物质a.Tenant Obligations. Tenant shall not dispose of or otherwise allow the release of any Hazardous Waste or Materials (defined later in this Section) in, on or under the Premises or the Building, or any adjacent property, or in any improvements placed on the Premises except for the use 184、and routine disposal of ordinary and general supplies typically used by offices providing telecommunications services and only in such quantities or concentrations as allowed under any Applicable Laws. Tenant represents and warrants to Landlord that Tenants intended use of the Premises does not invo185、lve the use, production, disposal or bringing on to the Premises of any Hazardous Waste or Materials, except only ordinary and general office supplies typically used in offices providing telecommunications services and only such quantities or concentrations as allowed under any Applicable Laws. As u186、sed in this Section, the phrase “Hazardous Waste or Materials” includes any substance, waste or material defined or designated as hazardous, toxic or dangerous (or any similar term) pursuant to any statute, regulation, rule or ordinance now or hereafter in effect. Tenant shall promptly comply with a187、ll such statutes, regulations, rules and ordinances, and if Tenant fails to so comply Landlord may, after reasonable prior notice to Tenant (except in case of emergency), effect such compliance on behalf of Tenant. Tenant shall immediately reimburse Landlord for all actual out-of-pocket cost incurre188、d in effecting such compliance. 承租方义务。承租方不得在房屋或建筑物、相邻不动产之内、之上或之下或在房屋的改进工程内部处理或以其他方式允许排放任何有害物质或废料(定义见下文),不包括使用和例行处理提供电信服务的办公室通常使用并仅按照适用法律允许的数量或浓度使用和处理的普通材料。承租方向出租方陈述和保证,承租方使用房屋不涉及使用、制造、处理或给房屋带来任何有害物质或废料,提供电信服务的办公室通常使用并仅按照适用法律允许的数量或浓度使用的普通材料除外。本条中,“有害物质或废料”包括当前或将来生效的法律、法规、规章或条例定义或确认为有害、有毒或危险(或其他类似表述)的189、物质、废料或材料。承租方应适时遵守所有该等法律、法规、规章或条例,否则,出租方经合理提前通知承租方后(除非为紧急情况)可代表承租方采取相关的合规行动。对采取合规行动时发生的所有实际费用,承租方应立即补偿出租方。b. Indemnification. Tenant shall indemnify, defend, and hold Landlord harmless against any and all losses, liabilities, suits, obligations, fines, damages, judgments, penalties, claims, charges, 190、cleanup cost, remedial actions, cost and expenses (including, without limitation, reasonable consultant fees, attorneys fees and disbursements) that may be imposed on, incurred or paid by Landlord, or asserted in connection with (i) any misrepresentation, breach of warranty or other default by Tenan191、t under this Lease, or (ii) the use, acts or omissions of Tenant or other person for whom Tenant would otherwise be liable, resulting in the release of any hazardous waste or materials to the extent caused thereby. 赔偿。对于针对 (i)承租方在本租赁协议下的虚假陈述、违反保证或其他违约,或(ii)承租方或承租方应为其承担责任的其他人导致任何有害物质或废料排放的使用、作为或不作为强制192、做出的、主张或出租方发生或支付的所有损失、责任、诉讼、义务、罚款、损害、判决、处罚、索赔、指控、清污费、补救措施、费用和支出(包括但不限于合理的顾问费、律师费和其他开支),承租方应向出租方做出赔偿,为其进行辩护并使其免于损害。29.Telecommunications Lines and Equipment. 通信线缆和设备a.Location of Tenants Equipment and Landlord Consent.承租方设备位置与出租方批准 i.Tenant shall order and utilize at its sole cost all telephone and te193、lecommunications services desired. Tenant will separately contract with a telecommunications provider (a “Provider”) to provide telephone and telecommunications services to the Premises. If Tenant desires to utilize the services of a Provider whose equipment is not then servicing the Building, such 194、Provider must obtain the written consent of Landlord before it will be permitted to install its lines or other equipment within the Building or use existing conduit or riser space within the Building. Tenant may install, maintain, replace, remove and use new communications or computer wires, cables 195、and related devices (collectively, the “Lines”) at the Building in or serving the Premises. If Tenant desires to utilize Lines that are not then servicing the Building or the Premises, Tenant must obtain Landlords prior written consent, which consent may be withheld in Landlords sole and absolute di196、scretion. Tenant shall locate all electronic telecommunications equipment within the Premises and shall relocate all Tenants equipment which is located within the Building telephone closets or riser spaces, at Tenants cost, to Tenants Premises. Any request for consent by Tenant should include plans,197、 drawings and specifications identifying all work to be performed, the time schedule for completion of the work, the identity of the entity that will provide service to the Lines and the identity of the entity that will perform the proposed work (which entity will be subject to Landlords approval). 198、承租方应自行付费订购和使用所需的所有电话和通讯服务。承租方将单独与一家电信服务商(“服务商”)签订向房屋提供电话和通讯服务的合同。如果承租方希望与建筑物当时并未采用其服务设备的服务商合作,在获准在建筑物内铺设线路或其他设备,或利用建筑物现有的导线管或立管的管道空间之前,必须事先取得出租方的书面批准。承租方可在建筑物安装、维护、更换、拆除或更新房屋内或向房屋提供服务的通信或计算机电缆、电线及相关设施(统称“线缆”)。如果承租方希望采用建筑物或房屋当时并未使用其服务的线缆,承租方必须事先取得出租方的书面批准,出租方根据自行判断可拒绝批准。承租方应自付费用将所有电子通信设备置于房屋内,并将位于建筑物199、电话布线室或立管空间内的承租方的所有设备迁至承租方的房间。承租方申请批准时应提交作业方案、图纸和规格,列明所有相关作业的内容、完工时间、线缆铺设单位名称与施工单位(需经出租方批准)名称等。 ii.Without in any way limiting Landlords right to withhold its consent, Landlord may consider the following factors, among others, in making its determination: (i) the experience, qualifications and prior 200、work practice of the proposed contractor and its ability to provide sufficient insurance coverage for its work at the Building; (ii) whether or not the proposed work will interfere with the use of any then existing Lines at the Building; (iii) whether or not an acceptable number of spare Lines and s201、pace for additional Lines shall be maintained for existing and future occupants of the Building; (iv) a requirement that Tenant remove existing abandoned Lines located in or servicing the Premises, as a condition to permitting the installation of new lines; (v) whether or not Tenant is in default of202、 any of its obligations under this Lease beyond any applicable cure period; (vi) whether the proposed work or resulting Lines will impose new obligations on Landlord, expose Landlord to liability of any nature or description, increase Landlords insurance premiums for the Building, create liabilities203、 for which Landlord is unable to obtain insurance protection or imperil Landlords insurance coverage; (vii) whether Tenants proposed service provider is willing to pay reasonable monetary compensation for the use and occupation of the Building; and (viii) whether the work or resulting Lines would ad204、versely affect the Land, Building or any space in the Building in any manner. 在不限制出租方拒绝批准的权利的前提下,出租方在做出相关决定时应考虑如下方面因素:(i)提议承包方的资质、经验与过往业绩,以及是否能够为其在建筑物的作业提供充足的保险;(ii)提议作业是否会妨碍对建筑物现有线缆的使用;(iii) 是否会为建筑物当前和未来占有人保留合理数量的备用线缆及线缆所需额外空间;(iv)要求承租方拆除房屋内存在或使用的当前已废弃的线缆,作为允许铺设新线缆的前提条件;(v)在规定的相关补救期外,承租方是否仍违反其在本租赁协205、议项下的任何义务;(vi)提议作业或相关线缆是否会向出租方施加新的义务,使出租方承担任何性质或形式的责任,增加出租方对建筑物的保险费用,产生出租方无法通过保险获得赔偿的义务或影响出租方的承保范围;(vii) 出租方提议的服务商是否愿意为使用和占用建筑物支付合理的金钱赔偿;以及(viii)作业或相关线缆是否以任何方式对土地、建筑物或建筑物内任何空间产生任何不利影响。 iii.Landlords approval of, or requirements concerning, the Lines or any equipment related thereto, the plans, specif206、ications or designs related thereto, the contractor or subcontractor, or the work performed hereunder, will not be deemed a warranty as to the adequacy thereof, and Landlord hereby disclaims any responsibility or liability for the same. If Landlord c208、onsents to Tenants proposal, Tenant shall (i) pay all costs in connection therewith (including all cost related to new Lines); (ii) comply with all requirements and conditions of the Section; and (iii) use, maintain and operate the Lines and related equipment in accordance with and subject to all la209、ws governing the Lines and equipment. In addition to any other indemnification obligations under this Lease, Tenant shall indemnify, defend, and hold harmless Landlord and its employees, agents, office216、rs, and contractors from and against any and all claims, demands, penalties, fines, liabilities, settlements, damages, costs or expenses (including reasonable attorneys fees) arising out of or in any way related to the acts and omissions of Tenant, Tenants officers, directors, employees, agents, con217、tractors, subcontractors, subtenants, and invitees with respect to: (i) any Lines or equipment related thereto exclusively serving (and maintained by) Tenant in the Building; (ii) any personal injury (including wrongful death) or property damage arising out of or related to any Lines or equipment re218、lated thereto exclusively serving (and maintained by) Tenant in the Building; (iii) any legal action brought or threatened, settlement reached, or governmental order, fine or penalty relating to such Lines or equipment related thereto; or (iv) any violations of Applicable Laws or demands of governme219、ntal authorities, or any reasonable policies or requirements of Landlord, which are based upon or in any way related to such Lines or equipment. Landlord in no event will be liable for damages by reason of loss of profits, business interruption or other consequentia224、l damage arising from any Line Problems. However, either party may disclose the terms of this Lease to its legal counsel, lenders, accountants and prospective transferees, provided that such legal counsel, lenders, ac233、countants, and prospective transferees have a reasonable, bona fide need to know such terms, and provided that the disclosing party ensures that such lenders, accountants and prospective transferees maintain the confidentiality of such terms. The toilet rooms, all washroom partitions, urinals, mirrors, basins, toilets, other fixtures and other apparatus shall be use278、d only for their intended purpose. The expense of any maintenance or repair required from any breakage, stoppage, damage or any other misuse shall be at the sole expense of the responsible Tenant. 化妆间、所有盥洗室隔间、便池、镜子、坐便器及其他装置和设备应仅用于预定用途。对渗漏、堵塞、损坏或其他不当使用进行维修或修理的费用由承租方自行承担。 13. No fence, wall, partition279、, rail or other structure shall be placed, kept, permitted or maintained upon the Common Areas, nor shall the Common Areas be used for advertising, solicitation, promotion, demonstration, storage, sale or any other activity that, in Landlords sole judgment, might be prejudicial to the safety, charac280、ter, reputation or interest of the Building or its tenants or interfere with the conduct of business by other tenants.禁止在公共区域设置、保留、允许或维持围栏、围墙、隔断、栏杆或其他构造物,亦不得在公共区域进行推销、招揽、促销、展览、存储、销售或出租方根据自行判断认为可能损害建筑物或其承租人的安全、特征、声誉或利益,或妨碍其他承租人开展业务的其他任何活动。14. Landlord may prohibit advertising, which in the sole judgm281、ent of Landlord may be prejudicial to the character, reputation or desirability of the Building. Without the written consent of Landlord, Tenant shall not use the name of the Building in connection with or in promoting or advertising the business of Tenant, except Tenants address.出租方可以禁止其根据自行判断认为可能损282、害建筑物特征、声誉或优势的广告推销活动。未经出租方书面批准,承租方不得在推广或促进承租方业务中使用建筑物的名称,承租方的地址除外。15. Except as included in Tenants Work which was approved by Landlord, no signs, placard, picture, advertisement, name, notice, symbols, graphics, decorations, draperies, blinds, coverings or other materials shall be displayed, affixed283、 on or installed in any part of the outside or inside of the Building, Premises or Common Areas without the prior written consent of Landlord, which Landlord may withhold in its sole and absolute discretion. Except as included in Tenants Work which was approved by Landlord, Landlord shall have the r284、ight to remove any such signs, placard, picture, advertisement, name, notice, symbols, graphics, decorations, draperies, blinds, coverings or other materials without notice to and at the expense of Tenant. 除非属于出租方批准的承租方工程,否则,未经出租方事先书面同意(出租方可根据自行判断拒绝同意),不得在建筑物、房屋或公共区域内外任何部分展示、贴附或安装任何标志、招牌、图片、广告、商号、通知285、符号、图形、装饰品、装饰织物、百叶窗、覆盖物或其他材料。除非属于出租方批准的承租方工程,否则,出租方有权清除该等标志、招牌、图片、广告、商号、通知、符号、图形、装饰品、装饰织物、百叶窗、覆盖物或其他材料,无需通知承租方,相关费用由承租方承担。All approved signs or lettering on doors shall be printed, painted, affixed or inscribed at the expense of Tenant by a contractor or person approved of by Landlord. 门上所有经批准的标志或文字286、应由出租方同意的承包商或个人绘制、印刷、贴附或刻制,费用由承租方承担。Tenant shall not place anything or allow anything to be placed near the glass of any window, door, partition or wall, which may appear unsightly from outside the Premises. Tenant shall not, without prior written consent of Landlord, install blinds, curtains, adhesi287、ve film or other types of screens to any storefront window. 承租方不得在任何窗户、门、隔断或墙玻璃旁边放置或允许他人放置任何从房屋外望去影响美观的物体。未经出租方事先书面同意,承租方不得在店面橱窗上安设百叶窗、窗帘、粘合薄膜或其他形式的屏蔽物。16. No additional locks or bolts shall be placed upon any doors or windows, nor shall any change be made to the existing locks, keying of existing l288、ocks or security system without the prior written consent of Landlord. All keys and security system cards furnished to Tenant shall be returned to Landlord upon the expiration or earlier termination of its lease, and if lost, Tenant shall reimburse Landlord for the total cost of replacement and chan289、ging or re-keying the lock or locks opened by the lost keys and cards.未经出租方事先书面同意,不得在任何门窗上安装额外的锁具或螺栓,亦不得对现有门锁、键控锁或安全系统进行任何改动。提供给承租方的所有钥匙和门禁卡需在租赁到期或提前终止后退还给出租方,如有丢失,承租方应补偿出租方更换或更新门锁的全部费用。17. No bicycles shall be brought into the Premises or Building or kept about the Common Areas except in locations 290、designated by Landlord. 不得携带自行车进入房屋或建筑物,亦不得停放在出租方指定地点以外的公共区域。18. The use of hand trucks shall be prohibited in the Common Areas unless equipped with rubber tires and side guards. 除非配置橡胶轮胎和侧护板,否则,禁止在公共区域使用手动搬运车。19. Landlord shall have the right to prescribe the weight, size and position of all safes 291、and other heavy equipment brought into the Premises and the manner of moving the same in and out of the Premises. Safes or other heavy objects shall, if considered necessary by Landlord, stand on supports of such thickness as is necessary to properly distribute the weight. Landlord will not be respo292、nsible for loss of or damage to any such safe or property from any cause and any damage to the Building, Common Areas or a Premises resulting from the moving of such items shall be repaired at the sole expense of Tenant. 出租方有权规定搬入房屋的所有保险柜及其他重型设备的重量、大小和位置以及搬出搬进房屋的方式。如出租方认为有必要,保险柜或其他重物应放置在适当分散重量所需厚度的支293、撑物上。出租方对不论何种原因导致保险柜或财产丢失或损坏,以及由于搬动该等物品给建筑物、公共区域或房屋造成的损坏不承担任何责任,承租方自行承担费用进行修复。20. Tenant shall not purchase or engage any utility or utility servi295、ce in the Building or Common Areas without the prior written consent of Landlord. Tenant shall not waste electricity, water or other utilities and agrees to cooperate fully with Landlord to achieve the most efficient operation of the Building and to comply with any governmental laws or regulations. 承租方不得浪费水电或其他公用设施,并同意全面配合出租方实现建筑物的高效运行,并遵守任何相关法律法297、规。24. Tenant shall close and lock the doors to its premises and shut off water faucets and water using appliances at the end of each business day. 承租方应在每个营业日结束时关闭并锁好屋门,关掉水龙头和其他用水设施。25. All refuse shall be placed in the receptacles provided for collection. No separate receptacle shall be placed, kept298、 or permitted by Tenant without the prior written consent of Landlord. Tenant shall not place in any receptacle any material which cannot be disposed of in the ordinary and customary manner of trash and refuse disposal. Tenant shall cooperate with all recycling programs for the Building. 所有垃圾应放入垃圾收集299、箱内。未经出租方事先书面同意,不得另行放置、保存或允许设置单独的垃圾箱。承租方不得在垃圾箱内放入任何不能通过正常垃圾和废物处理方式进行处理的材料。承租方应积极配合建筑物的所有回收安排。If a separate area for refuse receptacles (“Receptacle Area”) is part of the Premises, Tenant shall also be responsible for maintaining the Receptacle Area and shall ensure that the Receptacle Area, including300、 the individual refuse receptacles, is clean and sanitary at all times. 如垃圾箱所在的独立区域(“垃圾收集区”)属于房屋的组成部分,承租方还应负责该区域的维护管理,确保垃圾收集区(包括每个垃圾箱)在任何时候保持清洁和卫生。26. Tenant shall comply with all requirements necessary for the efficient operation and management of the Buildings Fire and Life Safety and security sys301、tems. 承租方应遵守保证有效运行和管理建筑物消防救生和安全系统的所有相关要求。27. Landlord reserves the right to exclude any person from access to the Building, Premises and Common Areas after regular business hours, and on weekends and legal holidays, unless that person is known to the person or employee in charge of the Building or h302、as a pass or other proper identification. Tenant shall be responsible for all persons for whom it requests passes, and shall be liable to Landlord for the acts of such person. Landlord shall not be liable for damages for any error with regard to the admission to or exclusion from the Building of any303、 person. In case of invasion, mob, riot, public excitement, or other commotion, Landlord reserves the right to prevent access to the Building during the continuance of the same by closing the doors or otherwise, for the safety of the tenants and protection of the Building and the property therein. 出304、租方有权在正常营业时间过后以及在周末和法定假期拒绝任何人进入建筑物、房屋和公共区域,除非建筑物的负责人或雇员认识该人或该人拥有通行证或其他适当的身份证明。承租方对其要求给予通行权的所有人员负责,并就该人员的行为向出租方承担责任。承租方对在允许或拒绝任何人进入建筑物方面的任何过失不承担损害赔偿责任。如发生入侵、暴动、暴乱、公告骚动或其他骚乱事件,出租方基于保障承租人安全及保护建筑物和相关财产的目的,有权在事件持续期间关门或以其他方式阻止进入建筑物。28. Tenant shall comply with all safety, fire protection and evacuation procedures and regulations established by Landlord or any governmental agency. No recreational vehicles, boats, trailers, trucks or automobiles shall be stored in the Building or Common Areas. Tenant shall not overload the floor of the Premises or in any way deface the Premises or any part thereof.312、 Landlord may prohibit or impose conditions upon the installation or placement of heavy objects in a tenants premises that might overload Building floors. 承租方不得使房屋地板负荷过重,亦不得以任何方式损伤房屋或其任何部分的外观。出租方可禁止在承租人的房屋内设置或安放可能超出建筑物地板承重负荷的重物,或对此行为设置条件。38.
